HomeMy Public PortalAboutAgreement_2023-07-18 6/30/2024_Sandra Medrano_Housing Rehabilitation Consultant Services_SECOND AMENDMENT TO AGREEMENT FOR SERVICES by and between the CITY OF TEMPLE CITY A municipal corporation and SANDRA Y D MEDRANO A sole proprietor Dated July 18, 2023 RIV #4840-1328-2571 vl SECOND AMENDMENT TO THE AGREEMENT OF SERVICES This Second Amendment to Agreement for Services ("First Amendment") for housing rehabilitation consultant services, which is dated for reference as indicated on the cover page, is hereby entered into by and between the CITY OF TEMPLE CITY, a California charter city ("City"), and Sandra Y D Medrano, a sole proprietor ("Contractor"), as follows: RECITALS A. City and Contractor entered in an Agreement for Services on July 6, 2021 ("Agreement"). The Agreement provides that Contractor will provide housing consultant services for the City's home improvement program as described in Exhibit "A". B. Section 1 of the Agreement provides that the Contractor shall provide services identified in Exhibit A to the Agreement beginning July 6, 2021, and ending June 30, 2022, but the City may extend the agreement for up to four additional years, in one-year increments. C. The First Amendment amended Section 1 "Term of Agreement" to extend the term for one year through June 30, 2022. D. The First Amendment amended Section 4 "Compensation" to increase the total compensation by Thirty -Four Thousand Four Hundred and Ninety -Five dollars ($34,495.00), not to exceed 20 percent of the home improvement program expenditures. The revised total compensation was increased to One Hundred Eight Thousand Two Hundred Ninety -Five dollars ($108,295.00). C. This Second Amendment amends Section 1 "Term of Agreement" to extend the term for one year through June 30, 2024. D. This Second Amendment amends Section 4 "Compensation" to increase the total compensation by Forty -Three Thousand Six Hundred Ninety -Eight dollars ($43,698.00), not to exceed 20 percent of the home improvement program expenditures. The revised total compensation will be increased to One Hundred Fifty -One Thousand Nine Hundred Ninety -Three dollars ($151,993.00). OPERATIVE PROVISIONS NOW, THEREFORE, in consideration of the promises made and recited herein, the parties do hereby enter into this First Amendment which modifies and amends the Agreement as follows: 1. AMENDMENT. Section 1, "Term of Agreement" shall be extend one year through June 30, 2024. "SECTION 1." TERM OF AGREEMENT. Contractor shall commence the services identified in Exhibit "A" on July 18, 2023, and shall cease to provide services on June 30, 2024. As a result of positive RIV #4840-1328-2571 vl -2- performances and available funds, the City may extend this Agreement up to three additional years, in one-year increments. 2. AMENDMENT. Section 4 (a), "Compensation and Method of Payment" shall be amended by increasing the total by an additional Forty -Three Thousand Six Hundred Ninety -Eight dollars ($ 43,698.00) for the administration of the City's housing rehabilitation program. "SECTION 4." COMPENSATION AND METHOD OF PAYMENT. (a) Subject to any limitations set forth in this Agreement, City agrees to pay Service Provider the amounts specified in Exhibit "B" "Compensation" and made a part of this Agreement by this reference. The total compensation, including reimbursement for actual expenses, is limited to 20 percent of the home improvement program, and shall not exceed One Hundred Fifty -One Thousand Nine Hundred Ninety -Three dollars ($ 151,993.00 ), unless additional compensation is approved in writing in accordance with Section 26 "Administration and Implementation" or Section 28 "Amendment" of this Agreement. 3. GENERAL PROVISIONS. 3.1 Remainder Unchanged. Except as specifically modified and amended in this First Amendment, the Agreement remains in full force and effect and binding upon the parties. 3.2 Integration. This First Amendment consists of pages 1 through _ inclusive, which constitute the entire understanding and agreement of the parties and supersedes all negotiations or previous agreements between the parties with respect to all or any part of the transaction discussed in this First Amendment. 3.3 Effective Date. This First Amendment shall not become effective until the date it has been formally approved by the City Council and executed by the appropriate authorities of the City and Contractor. 3.4 Applicable Law. The laws of the State of California shall govern the interpretation and enforcement of this First Amendment. 3.5 References. All references to the Agreement include all their respective terms and provisions. All defined terms utilized in this First Amendment have the same meaning as provided in the Agreement, unless expressly stated to the contrary in this First Amendment.
