HomeMy Public PortalAbout2022.06.09 Storm Drain Easement - Len K JordanSTORM DRAIN EASEMENT AGREEMENT THIS STORM DRAIN EASEMENT AGREEMENT ("Agreement") is made and entered into effective this q day of -Tune, , 2022, by and between LEN K. JORDAN, whose address is 2500 Magnolia Blvd., Seattle, WA 98199, hereinafter referred to as "JORDAN" and the CITY OF McCALL, a municipal corporation of the State of Idaho, whose address is 216 E. Park Street, McCall, Idaho, 83638, hereinafter referred to as the "CITY". RECITALS: A. WHEREAS, JORDAN is the owner in fee simple of real property which is located at 1415 Warren Wagon Rd., McCall, Valley County, Idaho, and which is legally described in Exhibit A attached hereto, (the "Property"); and B. WHEREAS, JORDAN has agreed to provide the CITY with an Easement across the Property for storm drainage to be maintained by the CITY. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, JORDAN and the CITY agree as follows: AGREEMENT: 1. Recitals. The above recitals are hereby incorporated into and made a part of this Agreement. 2. Grant of Easement. JORDAN hereby grants to the CITY, its successors and assigns, a permanent, irrevocable, non-exclusive 10 -foot -wide storm drain easement more particularly described in Exhibit B in the location depicted as "10' WIDE STORM DRAIN EASEMENT TO CITY OF MCCALL 0.05 AC" in Exhibit C attached hereto (the "Easement Premises"), for the diversion of surface and storm water drainage (the "Easement"). JORDAN, for himself, and his successors and assigns, reserves the right to use the Easement Premises in any manner whatsoever so long as JORDAN's use does not interfere with the CITY's use of the Easement Premises or otherwise violate the terms of this Agreement. Except as expressly reserved herein to JORDAN, the Easement granted hereby is exclusive to the CITY. JORDAN shall have no responsibility for the construction, maintenance, repair, replacement or management of the Easement. 3. Indemnification and Release. a. In the event that the CITY disturbs the Easement Premises in the exercise of its rights hereunder, it shall return the Easement Premises to the condition it was in, prior to the disturbance, including the replacement of any pavement, berming, or vegetation which is damaged or destroyed. To the maximum extent allowed by law, the CITY shall hold JORDAN harmless regarding, and shall indemnify JORDAN against, the costs of compliance with this STORM DRAIN EASEMENT AGREEMENT - 1 v2022-4-4 Section 3 as well as against any damage which occurs to the Property as a direct and proximate result of the exercise by the CITY of its rights hereunder. b. To the maximum extent allowed by law, the CITY does hereby agree to hold harmless, defend and indemnify JORDAN and JORDAN's successors, assigns, tenants and agents ("Indemnified Parties") against any and all claims, actions, causes of action, damages or liabilities of any description whatsoever arising out of, or in any manner connected with the use by the CITY, its employees, agents, or members of the public of the Easement as described herein, which might be asserted against or incurred by any of the Indemnified Parties. 4. No Encroachments. The CITY shall not erect, construct, or install any permanent improvement or structure on, in, over, upon, or through the Easement Premises. 5. Costs of Operation, Maintenance & Repair. The CITY shall be solely responsible for all costs of maintenance and repair to the Easement as may be required from time to time. 6. Run with the Land. All provisions of the Easement and its benefits and burdens shall run with the Property and shall benefit and bind the heirs, successors, and assigns of JORDAN and the CITY. 7. No Liens. JORDAN warrants and represents that there are no liens or encumbrances on the Property which would require the consent of any third parties to the rights granted to the CITY herein. 8. Entire Agreement. This, Agreement constitutes the entire agreement of JORDAN and the CITY. 9. Situs. This Agreement shall be construed under the laws of the State of Idaho, and venue shall be Valley County. 10. Remedies. The parties, their heirs, successors and assigns shall have all rights and remedies provided at law or in equity to enforce their rights hereunder. In the event of any action or proceeding by either party hereto against the other, in any way arising out of this Agreement, or attempting to enforce any right herein granted, the losing party shall pay the prevailing party's reasonable attorney fees and costs, including fees and costs incurred on appeal. WHEREAS, JORDAN is the owner in fee simple of real property which is located at 1415 Warren Wagon Rd., McCall, Valley County, Idaho, and which is legally described in Exhibit A attached hereto (the "Property"); and B. WHEREAS, JORDAN has agreed to provide the CITY with an Easement across the Property for snow storage and utilities to be maintained by the CITY. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, JORDAN and the CITY agree as follows: AGREEMENT: 1. Recitals. The above recitals are hereby incorporated into and made a part of this Agreement. 2. Grant of Easement. JORDAN hereby grants to the CITY, its successors and assigns, a permanent, irrevocable, non-exclusive 12 -foot -wide snow storage and utility easement more particularly described in Exhibit B attached hereto in, to, over, upon, across and through the Property in the location depicted in Exhibit C as " 12' WIDE SNOW STORAGE AND UTILITY EASEMENT 0.06 AC" attached hereto (the "Easement Premises"), for the purposes of snow storage and utilities (the "Easement"). JORDAN, for himself, and his successors and assigns, reserves the right to use the Easement Premises in any manner whatsoever so long as JORDAN's use does not interfere with the CITY's use of the Easement Premises or otherwise violate the terms of this Agreement. Except as expressly reserved herein to JORDAN, the Easement granted hereby is exclusive to the CITY. JORDAN shall have no responsibility for the construction, maintenance, repair, replacement or management of the Easement. In the event that the CITY desires to place utilities in the Easement, the following terms and conditions shall apply: a. Any utilities which are placed in the Easement shall be placed underground. b. The CITY shall coordinate the installation; so as to minimize any interference with or disruption of JORDAN's use of the Property. c. After the installation is complete, the CITY shall promptly return the disturbed portion of the Property to the condition in which it existed prior to installation. SNOW STORAGE AND UTILITY EASEMENT AGREEMENT - 1 v2022-4-4 3. Indemnification and Release. a. In the event that the CITY disturbs the Easement Premises in the exercise of its rights hereunder, it shall return the Easement Premises to the condition it was in prior to the disturbance, including the replacement of any pavement, berming, or vegetation which is damaged or destroyed. To the maximum extent allowed by law, the CITY shall hold JORDAN harmless regarding, and shall indemnify JORDAN against, the costs of compliance with this Section 3 as well as against any damage which occurs to the Property as a direct and proximate result of the exercise by the CITY of its rights hereunder. b. To the maximum extent allowed by law, the CITY does hereby agree to hold harmless, defend and indemnify JORDAN and JORDAN's successors, assigns, tenants and agents ("Indemnified Parties") against any and all claims, actions, causes of action, damages or liabilities of any description whatsoever arising out of, or in any manner connected with, the use by the CITY, its employees, agents, or members of the public of the Easement Premises as described herein, which might be asserted against or incurred by any of the Indemnified Parties. 4. Costs of Operation, Maintenance & Repair. The CITY shall be solely responsible for all costs of maintenance and repair to the Easement as may be required from time to time. 5. Run with the Land. All provisions of the Easement and its benefits and burdens shall run with the Property and shall benefit and bind the heirs, successors, and assigns of JORDAN and the CITY. 6. No Liens. JORDAN warrants and represents that there are no liens or encumbrances on the Property which would require the consent of any third parties to the rights granted to the CITY herein. 7. Entire Agreement. This Agreement constitutes the entire agreement of JORDAN and the CITY. 8. Situs. This Agreement shall be construed under the laws of the State of Idaho, and venue shall be Valley County. 9. Remedies. The parties, their heirs, successors and assigns shall have all rights and remedies provided at law or in equity to enforce their rights hereunder. In the event of any action or proceeding by either party hereto against the other, in any way arising out of this Agreement, or attempting to enforce any right herein granted, the losing party shall pay the prevailing party's reasonable attorney fees and costs, including fees and costs incurred on appeal. Visitors can personally experience the history, scenery, culture, and recreation opportunities of the area. This project will tell the visitor the stories of Central Idaho and speak to the intrinsic qualities of the region. The directional signs proposed in this grant will alert the visitor to the unique places of the region and make them accessible. This is especially helpful as some of the very appealing places are just off the Byway and it is often confusing to travelers trying to find their way. The Payette River National Scenic Byway is integral to the economy of the region; a significant percentage of our citizens in this region are employed in the hospitality industry. This project will assist in building the capacity of our tourism industry and contribute to the overall economic well- being of the area.
