THIS STORM DRAIN EASEMENT AGREEMENT ("Agreement") is made and entered
into effective this q day of -Tune, , 2022, by and between LEN K. JORDAN,
whose address is 2500 Magnolia Blvd., Seattle, WA 98199, hereinafter referred to as "JORDAN"
and the CITY OF McCALL, a municipal corporation of the State of Idaho, whose address is 216
E. Park Street, McCall, Idaho, 83638, hereinafter referred to as the "CITY".
RECITALS:
A. WHEREAS, JORDAN is the owner in fee simple of real property which is located at
1415 Warren Wagon Rd., McCall, Valley County, Idaho, and which is legally
described in Exhibit A attached hereto, (the "Property"); and
B. WHEREAS, JORDAN has agreed to provide the CITY with an Easement across the
Property for storm drainage to be maintained by the CITY.
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency
of which is hereby acknowledged, JORDAN and the CITY agree as follows:
AGREEMENT:
1. Recitals. The above recitals are hereby incorporated into and made a part of this
Agreement.
2. Grant of Easement. JORDAN hereby grants to the CITY, its successors and
assigns, a permanent, irrevocable, non-exclusive 10 -foot -wide storm drain easement more
particularly described in Exhibit B in the location depicted as "10' WIDE STORM DRAIN
EASEMENT TO CITY OF MCCALL 0.05 AC" in Exhibit C attached hereto (the "Easement
Premises"), for the diversion of surface and storm water drainage (the "Easement").
JORDAN, for himself, and his successors and assigns, reserves the right to use the Easement
Premises in any manner whatsoever so long as JORDAN's use does not interfere with the
CITY's use of the Easement Premises or otherwise violate the terms of this Agreement. Except
as expressly reserved herein to JORDAN, the Easement granted hereby is exclusive to the
CITY. JORDAN shall have no responsibility for the construction, maintenance, repair,
replacement or management of the Easement.
3. Indemnification and Release.
a. In the event that the CITY disturbs the Easement Premises in the exercise
of its rights hereunder, it shall return the Easement Premises to the condition it was in, prior to
the disturbance, including the replacement of any pavement, berming, or vegetation which is
damaged or destroyed. To the maximum extent allowed by law, the CITY shall hold JORDAN
harmless regarding, and shall indemnify JORDAN against, the costs of compliance with this

Section 3 as well as against any damage which occurs to the Property as a direct and proximate
result of the exercise by the CITY of its rights hereunder.
b. To the maximum extent allowed by law, the CITY does hereby agree to
hold harmless, defend and indemnify JORDAN and JORDAN's successors, assigns, tenants and
agents ("Indemnified Parties") against any and all claims, actions, causes of action, damages or
liabilities of any description whatsoever arising out of, or in any manner connected with the use
by the CITY, its employees, agents, or members of the public of the Easement as described herein,
which might be asserted against or incurred by any of the Indemnified Parties.
4. No Encroachments. The CITY shall not erect, construct, or install any permanent
improvement or structure on, in, over, upon, or through the Easement Premises.
5. Costs of Operation, Maintenance & Repair. The CITY shall be solely
responsible for all costs of maintenance and repair to the Easement as may be required from time
to time.
6. Run with the Land. All provisions of the Easement and its benefits and burdens
shall run with the Property and shall benefit and bind the heirs, successors, and assigns of JORDAN
and the CITY.
7. No Liens. JORDAN warrants and represents that there are no liens or
encumbrances on the Property which would require the consent of any third parties to the rights
granted to the CITY herein.
8. Entire Agreement. This, Agreement constitutes the entire agreement of JORDAN
and the CITY.
9. Situs. This Agreement shall be construed under the laws of the State of Idaho, and
venue shall be Valley County.
10. Remedies. The parties, their heirs, successors and assigns shall have all rights and
remedies provided at law or in equity to enforce their rights hereunder. In the event of any action
or proceeding by either party hereto against the other, in any way arising out of this Agreement,
or attempting to enforce any right herein granted, the losing party shall pay the prevailing party's
reasonable attorney fees and costs, including fees and costs incurred on appeal.

SNOW STORAGE AND UTILITY EASEMENT AGREEMENT
THIS SNOW STORAGE AND UTILITY EASEMENT AGREEMENT ("Agreement") is
made and entered into effective this q day of "34p f , 2022, by and between LEN
K. JORDAN, whose address is 2500 Magnolia Blvd., Seattle, WA 98199, hereinafter referred to
as "JORDAN" and the CITY OF McCALL, a municipal corporation of the State of Idaho, whose
address is 216 E. Park Street, McCall, Idaho, 83638, hereinafter referred to as the "CITY".
RECITALS:
A. WHEREAS, JORDAN is the owner in fee simple of real property which is located at
1415 Warren Wagon Rd., McCall, Valley County, Idaho, and which is legally
described in Exhibit A attached hereto (the "Property"); and
B. WHEREAS, JORDAN has agreed to provide the CITY with an Easement across the
Property for snow storage and utilities to be maintained by the CITY.
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which is hereby acknowledged, JORDAN and the CITY agree as follows:
AGREEMENT:
1. Recitals. The above recitals are hereby incorporated into and made a part of this
Agreement.
2. Grant of Easement. JORDAN hereby grants to the CITY, its successors and
assigns, a permanent, irrevocable, non-exclusive 12 -foot -wide snow storage and utility easement
more particularly described in Exhibit B attached hereto in, to, over, upon, across and through the
Property in the location depicted in Exhibit C as " 12' WIDE SNOW STORAGE AND UTILITY
EASEMENT 0.06 AC" attached hereto (the "Easement Premises"), for the purposes of snow
storage and utilities (the "Easement").
JORDAN, for himself, and his successors and assigns, reserves the right to use the Easement
Premises in any manner whatsoever so long as JORDAN's use does not interfere with the CITY's
use of the Easement Premises or otherwise violate the terms of this Agreement. Except as
expressly reserved herein to JORDAN, the Easement granted hereby is exclusive to the CITY.
JORDAN shall have no responsibility for the construction, maintenance, repair, replacement or
management of the Easement. In the event that the CITY desires to place utilities in the Easement,
the following terms and conditions shall apply:
a. Any utilities which are placed in the Easement shall be placed underground.
b. The CITY shall coordinate the installation; so as to minimize any
interference with or disruption of JORDAN's use of the Property.
c. After the installation is complete, the CITY shall promptly return the
disturbed portion of the Property to the condition in which it existed prior
to installation.

3. Indemnification and Release.
a. In the event that the CITY disturbs the Easement Premises in the exercise
of its rights hereunder, it shall return the Easement Premises to the condition it was in prior to the
disturbance, including the replacement of any pavement, berming, or vegetation which is damaged
or destroyed. To the maximum extent allowed by law, the CITY shall hold JORDAN harmless
regarding, and shall indemnify JORDAN against, the costs of compliance with this Section 3 as
well as against any damage which occurs to the Property as a direct and proximate result of the
exercise by the CITY of its rights hereunder.
b. To the maximum extent allowed by law, the CITY does hereby agree to
hold harmless, defend and indemnify JORDAN and JORDAN's successors, assigns, tenants and
agents ("Indemnified Parties") against any and all claims, actions, causes of action, damages or
liabilities of any description whatsoever arising out of, or in any manner connected with, the use
by the CITY, its employees, agents, or members of the public of the Easement Premises as
described herein, which might be asserted against or incurred by any of the Indemnified Parties.
4. Costs of Operation, Maintenance & Repair. The CITY shall be solely
responsible for all costs of maintenance and repair to the Easement as may be required from time
to time.
5. Run with the Land. All provisions of the Easement and its benefits and burdens
shall run with the Property and shall benefit and bind the heirs, successors, and assigns of JORDAN
and the CITY.
6. No Liens. JORDAN warrants and represents that there are no liens or
encumbrances on the Property which would require the consent of any third parties to the rights
granted to the CITY herein.
7. Entire Agreement. This Agreement constitutes the entire agreement of JORDAN
and the CITY.
8. Situs. This Agreement shall be construed under the laws of the State of Idaho, and
venue shall be Valley County.
9. Remedies. The parties, their heirs, successors and assigns shall have all rights and
remedies provided at law or in equity to enforce their rights hereunder. In the event of any action
or proceeding by either party hereto against the other, in any way arising out of this Agreement,
or attempting to enforce any right herein granted, the losing party shall pay the prevailing party's
reasonable attorney fees and costs, including fees and costs incurred on appeal.

DECLARATION OF EASEMENT COVENANT
THIS DECLARATION OF EASEMENT COVENANT is made this 21'" day of
44s4 , 2022, by LEN K. JORDAN, whose address is 2500 Magnolia Blvd.,
Seattle, WA 98199 ("JORDAN") ("Declarant").
ARTICLE 1 - GENERAL
1.1 Property Affected: Declarant owns certain real property in McCall, Valley County, Idaho,
which is described in attached Exhibit A and Exhibit B
(referred to herein as "Parcel A" and "Parcel B" accordingly.)
Parcel A and Parcel B are depicted in the Record of Survey attached hereto as Exhibit C.
Parcel A and Parcel B shall collectively be referred to as "the Properties."
The Properties (both parcels) abut Warren Wagon Road. A 25 -foot wide ingress and egress
easement within, which a driveway is located, will be utilized as access for the benefit of Parcel
B for ingress and egress as further described herein ("Easement"). A depiction of the Easement
is attached at Exhibit C and incorporated by reference herein.
1.2 Declaration: Declarant hereby declares and covenants that the Properties are and shall be
held, sold, conveyed, encumbered, hypothecated, leased, used, occupied and improved subject to
the following terms, covenants, conditions, easements and restrictions, all of which are declared
and agreed to be in furtherance of a general plan for the protection, maintenance and
improvement of the Properties. The terms, covenants, conditions, easements and restrictions set
forth herein: (i) shall run with the land constituting the Properties, and shall be binding upon all
persons having or acquiring any right, title or interest in the Properties or any portion thereof; (ii)
shall inure to the benefit of the Properties; (iii) shall inure to the benefit of and be binding upon
Declarant, Declarant's successor in interest and each grantee or Owner and such grantee's or
Owner's respective successors in interest; and, (iv) may be enforced by Declarant, by any Owner
or such Owner's successors in interest.
ARTICLE 2 - DEFINITIONS
2.1 Owner: The term "Owner" shall refer to that person, or entity or those persons or entities,
who hold the ownership interest in the Properties as shown on the records of the County
Recorder, Valley County, Idaho.
ARTICLE 3 - EASEMENT
3.1 Easement benefiting Parcel B:
1. Easement. Declarant declares a non-exclusive Easement is reserved for the benefit of
Parcel B, for ingress and egress to Parcel B over and across Parcel A, of which the
Easement is 25 -feet in width, and generally depicted on Exhibit C and more
particularly described on Exhibit D.
DECLARATION OF EASEMENT COVENANT - 1
2. Conditions of Easement.
a. The Easement is described as a non-exclusive easement because it will be used by the
Parcel B Owner and their licenses, guests, invitees, successors, and assigns, and the
Parcel A Owner, and their licensees, guests, invitees, successors and assigns.
b. The purpose of the Easement is to provide access to Parcel B.
c. The Owner of Parcel B and the Owner of Parcel A may place their utilities in the
Easement. Any damage to the driving surface of the Easement incurred due to
installation of utilities by the Owner causing damage will be repaired by that Owner
generally to the condition which existed prior to the installation of the utilities, at the
expense of the Owner causing such damage.
d. Any damage to the Easement caused by the Owner of Parcel B or Parcel A during
construction will be repaired by the Owner of the parcel doing the construction.
e. The driving surface located within the Easement shall be approximately 12 -feet wide
and improved to a gravel surface. The driving surface of the Easement may be
widened or improved by the Owner of either Parcel A or Parcel B at that Owner's
expense.
f. The Owners of Parcel A and Parcel B will share in the cost of maintenance of the
Easement pro -rata, including but not limited to snow removal and grading. The cost
sharing shall begin with the date upon which a Building Permit is issued for the
construction of a home on a Lot. Therefore, no contribution shall be required from
either Owner who has not yet obtained a Building Permit.
Each Owner shall indemnify and hold the other Owner harmless regarding, and waive
as to the other Owner, any claims of any kind for damages, fees, costs, or relief of any
kind whatsoever stemming from or related in any way to use of the Easement by the
Owner or their guests, invitees, or agents.
g.
ARTICLE 4 — MISCELLANEOUS PROVISIONS
4.1 Non-Waiver/Modification: The failure of a party to demand strict performance of or
compliance with this Declaration or any provisions hereof at any time or under any set of
circumstances will not be deemed a waiver by such party of its right to demand such
performance and compliance at any other time or under any other circumstances. This
Declaration may not be changed or modified orally. It may only be modified by a written
instrument executed by the Owners of the Properties.
4.2 Attorneys Fees: In the event that any dispute arises regarding the legal consequence,
interpretation, application or enforcement of this Declaration, then the prevailing party in
such dispute shall be entitled to recover his/her attorneys fees and costs incurred, including
attorneys fees and costs incurred on appeal.

IT IS AGREED, IN CONSIDERATION OF THE MUTUAL COVENANTS
CONTAINED IN THIS WARRANTY DEED AND ACCEPTANCE [RIGHT-OF-WAY
DEDICATION], AND OTHER GOOD AND VALUABLE CONSIDERATION:
Section 1: Definitions
1.1 Grantor: means and refers to LEN K. JORDAN, Grantor herein and party to this Warranty
Deed and Acceptance [Right -of -Way Dedication].
1.2 Grantee: means and refers to the Valley County Idaho, a municipal corporation of the
State of Idaho, Grantee herein and party to this Warranty Deed and Acceptance [Right -of -
Way Dedication].
1.3 Real Property: means that certain real property more particularly described on Exhibit A
attached hereto and, by this reference, incorporated herein as if set forth in full. The Real
Property being dedicated is depicted in the attached Record of Survey Exhibit B as "Right -
of -Way Dedication to Valley County."
Section 2: Recitals
The Parties recite and declare:
2.1 Grantor is the owner of the Real Property; and,
2.2 Grantee has determined the Real Property is desirable and necessary to accommodate the
existing location of the Warren Wagon Road right-of-way; and,
23 Grantor has agreed to dedicate the Real Property to Grantee for the purpose of confirming
the existing right-of-way to Grantee for Warren Wagon Road.
Section 3: Warranty Deed Grant and Conveyance of Real Property
3.1 Grantor has granted, bargained, and sold, and, by this deed, does grant, bargain, sell,
convey, and confirm to Grantee, and its successors and assigns forever, from the effective
date hereof the Real Property herein described.
WARRANTY DEED AND ACCEPTANCE RIGHT-OF-WAY DEDICATION — 1
3.2 Grantor covenants to Grantee that Grantor is the owner in fee simple of the Real Property;
that the Real Property is free from all monetary encumbrances, and that Grantor will
warrant and defend the same from all lawful claims.
Section 4: Acceptance of Warranty Deed and Conveyance
4.1 Grantee does hereby accept this Warranty Deed Grant and Conveyance of the Real
Property herein provided for, in accordance with the terms and conditions of this Warranty
Deed and Acceptance [Right -of -Way Dedication].
IN WITNESS WHEREOF, this Warranty Deed and Acceptance [Right -of -Way
Dedication] has been executed effective as of the date signed by all parties below, with the intent
that it shall be recorded in the office of the recorder of the County of Valley, State of Idaho.

On behalf of the City of McCall and the City Council, I would like to voice my support for the
Payette River National Scenic Byway Signage project. This grant is being submitted for
consideration to FHWA.
The Payette River National Scenic Byway draws visitors off our interstate system and into our
communities. Visitors can personally experience the history, scenery, culture, and recreation
opportunities of the area. This project will tell the visitor the stories of Central Idaho and speak to
the intrinsic qualities of the region.
The directional signs proposed in this grant will alert the visitor to the unique places of the region
and make them accessible. This is especially helpful as some of the very appealing places are just off
the Byway and it is often confusing to travelers trying to find their way.
The Payette River National Scenic Byway is integral to the economy of the region; a significant
percentage of our citizens in this region are employed in the hospitality industry. This project will
assist in building the capacity of our tourism industry and contribute to the overall economic well-
being of the area.
On behalf of the City of McCall, I urge your serious consideration of this proposal and thank you for
the investment these funds make in our local area.
