WHEREAS, the Borough of Carteret is in need of professional environmental services related to the DuPont Agrico property on Roosevelt Avenue; and WHEREAS, Excel Enviromnental Resources, Inc. possesses the requisite knowledge, training, experience and professional license to provide expert technical, regulatory, and strategic consulting to the Borough on the aspects of the subject property as it relates to the Borough's interests in property acquisition; and has submitted a proposal to provide said services at a cost not to exceed a total amount of $151,030.00; and WHEREAS, the Chief Financial Officer has certified that funds are or will be available for said purpose. Account #: NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Borough of Carteret as follows: 1. The proposal from Excel Environmental Resources, Inc. for professional environmental services related, to the DuPont Agrico property on Roosevelt Avenue in the Borough in an amount not to exceed $151,030.00 at the rate set forth in Excel Environmental Resources, Ine.'s existing contract with the Borough is hereby approved. 2. Annexed hereto is a copy of said proposal, Extension of Services Phase #3. 3. This action is approved as an award of a professional services contract pursuant to N.J.S.A. 40A:11-5(1)(a) in accordance with the Borough's Fair and Open Process as authorized by law. 4. A copy of this Resolution to be forwarded to the Borough's Purchasing Department, the Borough's Director of Engineering and Excel Environmental Resources, Inc. (Excel) has prepared this Extension of Services to cover the actual and estimated future level of effort for us to complete revision of the Soil RAR Text, Figures, and soil analytical Data Tables required by NJDEP rules and regulations, This additional level of effort is required because, after receipt from Geosyntec of the 3rd version of their Revised Soil RAR with Figures that were not corrected to address Excel's comments provided via virtual meetings and in writing, and given the demonstrated lack of Geosynteds willingness or ability to make the necessary changes, Excel requested the GIS-based soil analytical database from Geosyntec and created new AOC-specific Figures that are compliant with NJDEP requirements, The level of effort is for creation of new Figures using color -coded sample locations for ALL soil borings in each AOC along with all AOC-specific soil analytical data, and other information required by NJDEP rules and guidance, and creation of soil analytical data Tables for all ADCs because Geosyntec stated that they could not create the Tables themselves despite Tables being required for compliance with NJDEP rules and guidance. Based on review of the current status of the Revised Soil RAR Text, Figures and newly created soil analytical Data Tables, the level of effort for completion of the Text, Figures and Tables is significant because of the large amount of data embedded in each component of the RAR and the significant level of effort that remains for Excel to complete final text edits and conduct a thorough QA/QC review and scrub the Text, Figures and Tables to ensure accuracy within each of these NJDEP-required components of the Revised Soil RAR submission prior to release to Geosyntec for their review. The level of effort also includes a budgetary estimate for participation in in -person meetings, virtual meetings, and conference calls with the Borough, their legal counsel, CME (Borough Engineer) and/or representatives of DuPont/Geosyntec (the consulting firm for DuPont) to discuss the technical/regulatory/strategic aspects of the project, review/discussion regarding the approach/scope of the Soil Remedial Action Report (RAR) and the goal of issuance of a Soil Response Action Outcome (RAO), etc. Work will be conducted on a time and materials basis and we will not exceed the cost estimate summarized herein without prior discussion and receipt of prior authorization. The detailed Cost Estimate is provided in Attachment A. The work outlined in this proposal will be conducted in accordance with Excel's Terms and Conditions and labor rates provided with Excel's contract with the Borough of Carteret.
