HomeMy Public PortalAbout11563O R D I N A N C E NO. 11563 AN ORDINANCE, repealing Ordinance No. 11420, adopted January 23, 2003, and enacting a new ordinance in lieu thereof, authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to execute any and all instruments necessary to enable Banc of America Securities to serve as the Lead Underwriter for the District’s Financing Team also consisting of Bear Stearns – Senior Underwriter, A. G. Edwards – Senior Underwriter, Edward D. Jones/Stifel Nicolaus – Senior Underwriter, Kirkpatrick Pettis – Co-Manager, Loop Capital – Co-Manager, George K. Baum – Co- Manager, Siebert, Branford, Shank & Co. L.L.C. – Co-Manager, and Stern Brothers – Co-Manager, for the first issue of bonds as authorized through the election of November 4, 2003, and reaffirming that Gilmore & Bell, P.C. and Hardwick Law Firm, L.L.C. will serve as co-bond counsel for the first issue of bonds as authorized through the election of November 4, 2003. BE IT ORDAINED BY THE BOARD OF TRUSTEES OF THE METROPOLITAN ST. LOUIS SEWER DISTRICT: Section One. Ordinance No. 11420, adopted January 23, 2003, is hereby repealed. Section Two. The Executive Director and Secretary- Treasurer are hereby authorized on behalf of The Metropolitan St. Louis Sewer District to execute any and all instruments necessary to enable Banc of America Securities to serve as the Lead Underwriter for the District’s Financing Team also consisting of Bear Stearns -- Senior Underwriter, A. G. Edwards – Senior Underwriter, Edward D. Jones/Stifel Nicolaus – Senior Underwriter, Kirkpatrick Pettis – Co- Manager, Loop Capital – Co-Manager, George K. Baum – Co-Manager, Siebert, Branford, Shank & Co. L.L.C. – Co-Manager, and Stern Brothers – Co-Manager, for the first issue of bonds as authorized through the election of November 4, 2003. Section Three. Gilmore & Bell, P.C. and Hardwick Law Firm, L.L.C. are hereby reaffirmed to serve as bond counsel for the first issue of bonds as authorized through the election of November 4, 2003. Section Four. Any instrument executed pursuant to Section Two of this ordinance shall be comprised of such terms and conditions as are approved by the office of the General Counsel of the District. The foregoing Ordinance was adopted August 14, 2003.
