A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LYNWOOD, COUNTY OF
• LOS ANGELES, STATE OF CALIFORNIA AUTHORIZING THE MAYOR TO EXECUTE,
IN A FORM SATISFACTORY TO THE CITY ATTORNEY, AN EXTENSION OF THE ST.
FRANCIS MEDICAL CENTER LICENSE AGREEMENT FOR THE USE OF 100 CITY
OWNED PARKING SPACES BEGINNING NOVEMBER 1, 2018 — JUNE 30, 2019 AT
THE MONTHLY RATE OF $4,583.33 AND SUBJECT TO TERMINATION UPON THE
TRANSFER OF OWNERSHIP OF ST. FRANCIS MEDICAL CENTER
WHEREAS, on June 16, 2015, the City Council authorized the execution of a
License Agreement between the City and St. Francis Medical Center for the use of 100
City owned parking spaces; and
WHEREAS, the License Agreement expired on May 31, 2016; and
WHEREAS, from June 1, 2016 to July 31, 2018, the City had been on a month-to-
month agreement:with St. Francis Medical Center; and
WHEREAS, staff had been under negotiation with representatives of St. Francis
Medical Center for a new one year License Agreement; and
WHEREAS, staff had been unable to finalize a new License Agreement with St.
Francis Medical Center at the an agreeable term and rate; and
WHEREAS, staff had given a termination notice of the month-to-month agreement
with St. Francis Medical Center with an effective date of July 31, 2018; and
WHEREAS, St. Francis Medical Center had requested a three month extension to
the termination notice or until October 31, 2018, at the currently approved monthly rate of
$4,583.33.
WHEREAS, on August 8, 2018, the City Council authorized the first extension of
the License with St. Francis Medical Center for the period August 1, 2018 to October 31,
2018, at the monthly rate of$4,583.33.
WHEREAS, on August 31, 2018, a Bankruptcy - Chapter 11 case was filed by St.
Francis Medical Center in the jurisdiction of U.S. Bankruptcy Courts, California Central
Bankruptcy.
WHEREAS, the City and St. Francis Medical Center seek a second extension of
the License with a new expiration date of June 30, 2019, at the monthly rate of$4,583.33.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF LYNWOOD DOES
HEREBY FIND, PROCLAIM, ORDER, AND RESOLVE AS FOLLOWS:

Section 1. The City Council authorizes the Mayor to execute an extension of the
License Agreement at a monthly rate of$4,583.33, for a term of eight months (November
1, 2018 to June 30, 2019) substantially in the form attached to this resolution subject to
termination upon the transfer or sale of St. Francis Hospital to a third party.
Section 2. The License Agreement shall be in a form satisfactory to the City
Attorney.
Section 3. This resolution shall be effective immediately upon its adoption.
Section 4. The City Clerk shall certify to the adoption of this resolution and
hereafter the same shall be in full force and effect.
