AN ORDINANCE, with an emergency clause, authorizing the Executive Director
and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an
Addendum to the Sewerage System Agreement with the City of Arnold and Missouri American
Water Company to govern their relationship after the transfer of the sewerage system from the
City to Missouri American Water Company.
WHEREAS, in 1982, the City of Arnold and MSD entered into an agreement
whereby the District agreed to accept and treat sewage generated within the sewer system
boundaries of said City; and
WHEREAS, in 2008, the City of Arnold and MSD entered into the Sewerage
System Agreement (the “Agreement”), replacing the original 1982 agreement, and the Sewerage
System Agreement remains in full force and effect; and
WHEREAS, Missouri American Water Company has purchased the sewer system
owned and operated by the City of Arnold, and is assuming the City’s obligations to MSD under
the Agreement; and
WHEREAS, the Charter of The Metropolitan St. Louis Sewer District empowers
the District to contract with municipalities, districts, other public agencies, individuals, or private
corporations, or any of them whether within or without the District, for the construction, use, or
maintenance of common or joint sewers, drains, outlets, or disposal plants, or for the
performance of any service required by the District; and for the connection with and use of the
facilities of the District, and
NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF TRUSTEES OF
THE METROPOLITAN ST. LOUIS SEWER DISTRICT
Section One. The Executive Director and Secretary-Treasurer are hereby
authorized on behalf of The Metropolitan St. Louis Sewer District to enter into an Addendum to
the Sewerage System Agreement with the City of Arnold and Missouri American Water
Company, to govern their relationship after the transfer of the sewerage system from the City to
Missouri American Water Company.
Section Two. The Addendum to the Sewerage System Agreement authorized in
Section One of this ordinance shall be comprised of such terms and conditions as are approved
by the General Counsel of the District.
Section Three. Emergency Clause. The Addendum will govern the relationships
after the transfer of the sewerage system from the City to Missouri American Water Company
and needs to be enacted without delay, thus creating an emergency within the meaning of the
Charter. Accordingly, this ordinance shall take effect immediately upon its enactment.
The foregoing ordinance was adopted July 9, 2015.
