AN ORDINANCE, authorizing the Executive Director and Secretary-Treasurer
on behalf of The Metropolitan St. Louis Sewer District to enter into a contract with Prudent Man
Advisors, Inc. (PMA) whereby Prudent Man Advisors, Inc. (PMA) will provide general and
transactional professional financial advisory services to the District from July 1, 2015 through
June 30, 2017.
WHEREAS, the District requires professional financial advisory assistance in the
development of its near-term and long-term strategic and financing plans, the issuance of
revenue bonds and other debt instruments, the development of testimony for the Rate
Commission proceedings, the assistance with the investment management of surplus funds, and
WHEREAS, the firm of Prudent Man Advisors, Inc. (PMA) possess the expertise
and experience to provide said assistance.
NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF TRUSTEES OF
THE METROPOLITAN ST. LOUIS SEWER DISTRICT:
Section One. The Executive Director and Secretary-Treasurer are hereby
authorized on behalf of The Metropolitan St. Louis Sewer District to enter into a contract with
Prudent Man Advisors, Inc. (PMA) whereby Prudent Man Advisors, Inc. (PMA) will provide
general and transactional professional financial advisory services to the District from July 1,
2015 through June 30, 2017.
Section Two. The contract authorized in Section One of this ordinance shall be a
two-year contract and may be renewed at the option of the District for three (3) additional
one-year terms and be comprised of such other terms and conditions as are approved by the
Office of the General Counsel of the District. Accordingly, this ordinance shall take effect
immediately upon its enactment.
The foregoing ordinance was adopted on August 13, 2015.
