HomeMy Public PortalAboutAddendum No. 2 to Contract No. 158-2010 with Stericycle, Inc.pdADDENDUM THIS ADDENDUM, (Number 2 to Con ct No. 158-2 10, wit4 Statewide Medical Services) is made and entered into this day of � , 2012, by and between Richmond, Indiana, a municipal corporation acting through its Board of Public Works and Safety with its office at 50 North 5t' Street, Richmond, Indiana, (hereinafter referred to as "City"), and Stericycle, Inc., 4010 Commercial Avenue, Northbrook, IL 60062 (hereinafter referred to as "Contractor") on behalf of Statewide Medical Services. WHEREAS, City and Statewide Medical Services entered into Contract No. 158-2010 on November 18, 2010; and WHEREAS, Statewide Medical Services has recently gone through a merger with Stericycle, Inc., and a subsequent name change from "Statewide Medical Services" to the name "Stericycle, Inc." has occurred as evidenced by a letter from Pieter VanlAaaren, Owner of Med Dispose, Inc. DBA Statewide Medical Services, which letter is dated June 2012, and is attached to this Addendum as Exhibit A; and WHEREAS, City wishes to retain Contractor for the remainder of the term of the Contract which expires on December 31, 2012, with the understanding that Contractor will operate under its new name of "Stericycle, Inc." NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows: 1. The City and Contractor executed and entered into Contract No. 158-2010, on November 18, 2010, as well as Addendum No. 1 to said Contract on January 26, 2012, both of which are attached hereto, marked as Exhibit "B" and incorporated herein by reference. 2. Both parties agree that Contract No. 158-2010 and its previous Addendum shall remain in full force and effect and that the compensation terms will remain in full force and effect. 3. Both parties agree that Contractor shall continue to fulfill its obligations and duties listed within Contract No. 158-2010 and its previous Addendum and shall continue to provide professional services associated with that Contract until the Contract expires on December 31, 2012. Both parties acknowledge that Contractor has submitted or will submit a New Vendor Information form, E-Verify Affidavit, and updated Certificate of Insurance to the City Purchasing Department. 5. Both parties agree that City shall continue to retain the final annual option to renew Contract No. 158-2010, upon the same terms and conditions, for the calendar years 2013 as set forth in Section IV of Contract No. 158-2010, with the exception that Contractor will operate under its new name of "Stericycle Inc." if those options are exercised by the City for the 2013 calendar year. 6. Both parties agree that in accordance with Indiana Code 5-22-16.5-1 et seq., contracts with municipal units entered into or renewed after June 30, 2012, must include the Iran Investment Activities certification, which certification is set forth and incorporated into Contract Number 158-2010 as follows: SECTION X. IRAN INVESTMENT ACTIVITIES Pursuant to Indiana Code (IC) 5-22-16.5, Contractor certifies that Contractor is not engaged in investment activities in Iran. In the event City determines during the course of this Agreement that this certification is no longer valid, City shall notify Contractor in writing of said determination and shall give contractor ninety (90) days within which to respond to the written notice. In the event Contractor fails to demonstrate to the City that the Contractor has ceased investment activities in Iran within ninety (90) days after the written notice is given to the Contractor, the City may proceed with any remedies it may have pursuant to IC 5-22-16.5. In the event the City determines during the course of this Agreement that this certification is no longer valid and said determination is not refuted by Contractor in the manner set forth in IC 5-22-16.5, the City reserves the right to consider the Contractor to be in breach of this Agreement and terminate the agreement upon the expiration of the ninety (90) day period set forth above. 7. Both parties agree that with the exception of the name change and the addition of the Iran Investment Activities Certification, Contract No. 158-2010 and its prior addendum (Exhibit B) shall remain intact and unchanged. Both parties agree that any person executing this Contract in a representative capacity hereby warrants that he or she has been duly authorized by his or her principal to execute this Addendum.
