RESOLUTION NO. 2 -2013
A RESOLUTION OF THE BOARD OF DIRECTORS OF RICHMOND POWER &
LIGHT REQUESTING COMMON COUNCIL OF THE CITY OF RICHMOND,
INDIANA TO APPOINT A NEW COMMISSIONER TO THE INDIANA MUNICIPAL POWER
AGENCY
WHEREAS, the City of Richmond, Indiana, is a member of the Indiana Municipal Power Agency
(hereinafter referred to as "IMPA "), and Larry Parker, who was appointed by Common Council of the
City of Richmond, Indiana ( "hereinafter referred to as Council ") is now serving as a Commissioner on the
Board of Commissioners of IMPA on behalf of Richmond Power & Light (hereinafter referred to as
"RP &L "), and;
WHEREAS, the Board of Directors of RP &L wishes the City Council to appoint Jim
French, General Manager of RP &L to the Board of Commissioners of IMPA.
NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of RP &L, that:
Section 1. Said Larry Parker's tenure as a Commissioner on the Board of Commissioners of
E\4PA should be terminated in order that Jim French, General Manager of RP &L be appointed to replace
Larry Parker on the IMPA Board.
Section 2. .Tim French should be appointed by Council as a Commissioner on said Board of
Commissioners of IMPA.
Section 3. This resolution shall be in full force and effect from and after its passage in
accordance with the law.
Passed and Adopted this,? day of February, 2013, by the Board of Directors of Richmond
Power & Light.
