COUNTY OF CHATHAM
INTERGOVERNMENTAL AGREEMENT BETWEEN CHATHAM COUNTY, CEMA AND
THE CITY OF TYBEE ISLAND
This Intergovernmental Agreement is entered this day of by and
among CHATHAM COUNTY, a political subdivision of the State of Georgia, ("Chatham
County" or the "County"), Chatham Emergency Management Agency ("CEMA") and the City
of Tybee Island, a municipal corporation organized and existing under the laws of the State of
Georgia ("municipality") all of which will be referred collectively to as parties.
WHEREAS, the County entered into a contract for services with Hagerty Consulting to
provide Emergency Management Program Augmentation for CEMA and the County as a result
of a contract issue pursuant to a competitive bid process on October 21, 2011 identified as annual
contract no. 11-006-3 and subsequently extended said contract for an additional 180 days from
October 21, 2016 through April 19, 2017; and
WHEREAS, as CEMA pursuant to the Georgia Emergency Management Act has been
designated to serve in a leadership role in disaster responses and recovery operations within
Chatham County; and
WHEREAS, in order to take advantage of the economies of scale and program
administration to augment the disaster recovery capabilities for the entire county a decision was
made that other municipalities and non -profits may access and use Hagerty Consulting services
contract with the county made available to support the governmental entities and private non-
profits (collectively referred herein to as the eligible sub -recipients) so as to include
;and
WHEREAS, this access and use will allow the eligible sub -recipients the benefits of the
competitive bid procurement process of the county in entering its original contract with Hagerty
Consulting.
NOW THEREFORE, the county, CEMA and City of Tybee Island in consideration of the
foregoing and the representations, covenants and agreements herein flowing from each to the
other do hereby into this Intergovernmental Agreement as follows:
1. The recitals contained above are incorporated by reference and made a part of this
intergovernmental agreement.
2. The scope of services provided in this agreement are the services outlined in the
solicitation of service for county contract No. 11-006-005 or may be amended by mutual
agreement by the parties.
3. The municipality and non-profit shall be referred to collectively as eligible sub -recipients
and shall have the right of access and use to obtain the benefits of services described and to be
rendered in the contract pricing for services by Chatham County with Hagerty Consulting to the
extent such services and needs are provided within the jurisdiction of the municipality or
nonprofit qualified as an eligible sub -recipient.
4. The services to be provided by Hagerty Consulting are to be provided on a time and
expense basis in accordance with Exhibit A and shall be consistent with the time and expense
rates of the county contract with Hagerty Consulting.
5. Hagerty Consulting will bill on monthly basis the county and eligible sub -recipients with
a detailed time and expense charge, related subject matter identifying the services provided
within the jurisdiction of the county or participating eligible sub -recipient. The manner of billing
shall be detailed so as to allow the identification of expense and cost associated with services for
each individual jurisdiction. The intent and purpose of this billing process is that each
participating party shall pay its cost based on the proportionality of services rendered to each
individual participant. Invoices for reimbursement by FEMA, FHA, HUD or other sources of
grant funding as a result of Hagerty Consulting's services will be identified as part of the billing
process.
6. The county shall promptly and without delay pay the county portion of the associated
Hagerty Consulting service bill directly to Hagerty Consulting and shall immediately forward the
bill for such services rendered to each eligible sub -participant which said eligible sub -participant
without delay shall make payment directly to Hagerty Consulting.
7. Should there be any indirect cost allocation than such will be identified and shared
among the county and eligible sub -recipients on a fair and equitable basis proportionate to the
overall amount of services rendered to each eligible sub -recipient.
8. Each eligible sub -recipient shall designate a person or persons as a point of contact for
Hagerty Consulting to work with and such person shall be authorized by the eligible sub -
recipient to request services to be provided by Hagerty Consulting.
9. Prior to the initial work to the support eligible sub recipient under this agreement a
notice to procced (NTP) to provide services shall be issued by CEMA acknowledging receipt and
execution of this intergovernmental agreement. Thereafter each eligible sub -recipient shall issue
a written NTP directly to Hagerty Consulting to provide specified services.
10. The eligible sub -recipient will directly consult with Hagerty Consulting to set forth the
designated rendered services requested and shall be responsible for the monitoring of Hagerty
Consulting to ensure that the services requested have been properly provided.
11. The eligible sub -recipients shall be responsible for payment directly to Hagerty
Consulting for services provided and agrees to indemnify and hold harmless the county as to any
claim made pursuant to work performed or payment required under the terms and conditions of
this intergovernmental agreement.
12. During the 180 day extension of the Hagerty Consulting contract the county on behalf of
the county and eligible sub -recipients shall re -bid the emergency management program
augmentation services to ensure that there is a competitive selection process in accordance with
FEMA guidelines.

EMERGENCY MANAGEMENT PROGRAM AUGMENTATION FOR CHATHAM COUNTY EMERGENCY
MANAGEMENT AGENCY (CEMA)
Services will be provided in accordance with the following Labor Category Hourly Rates. Hourly rates are
fully burdened labor costs (direct labor, overhead and profit). All non -labor related other direct costs
will be billed to Chatham County at cost without mark-up. Reimbursements for travel and per -diem will
be based on the rates established by the US General Services Administration. In instances where lodging
is unavailable at GSA rates, CEMA and Hagerty will work together to approve a waiver to allow for
lodging reimbursement based on market rates.
