THIS ADDENDUM is made and entered into this 15th day of _March
2007, by and between City of Richmond, Indiana, a municipal corporation acting through
its Board of Public Works and Safety with its office at 50 North 5th Street, Richmond,
Indiana, (hereinafter referred to as "City"), and RailWorks Track Systems (RWTS) Group,
6601 Southpoint Drive, North, Suite 160, Jacksonville, FL 32216 (hereinafter referred to as
"Contractor").
WHEREAS, City and Contractor entered into Contract No. 165-2004; and
WHEREAS, City wishes to continue to retain Contractor to provide certain
services within the scope of Contract No. 165-2004.
NOW, THEREFORE, in consideration of the mutual promises and covenants
herein contained, including the above stated recitals, City and Contractor hereby agree as
follows:
The Contract shall reflect the Contractor's name change from Railworks
Track Services, Inc., to RailWorks Track Systems (RWTS) group. The
request for Contractor's name change is attached and hereby incorporated
by reference, made a part hereof and marked as Exhibit "A".
2. City and Contractor expressly agree that all other terms, conditions and
covenants contained in Contract No. 165-2004, shall be preserved and
hereby affirmed.

IN WITNESS WHEREOF, the parties execute this Agreement effective the day and year
first above written, although signatures may be affixed at different times.
