TH�ADDEN M, (Number 1 to Contract No. 101-2013) is made and entered into
this � day of , 2013, by and between Richmond, Indiana, a municipal
corporation acting throug its Board of Parks and Recreation, (hereinafter referred to as "City"),
and Ricoh, USA, Inc., 6680 Poe Avenue, Suite 100, Dayton, Ohio, 45414 (hereinafter referred to
as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 101-2013 on July 11, 2013, which
contract was for the purchase and maintenance service agreement coverage of one
(1) Ricoh MP4002sp Copier; and
WHEREAS, The parties wishes to correct and clarify the maintenance pricing for the
maintenance services that will be provided for the Copier as set forth within
Contract No. 101-2013.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 101-2013, on
July 11, 2013. Pursuant to Section XI (Miscellaneous), Contract No. 101-2013
may be amended in part by filing with the Agreement as written instrument
setting forth such changes signed by both parties. Both parties expressly agree
that as set forth in Section III (Compensation) of said Contract, that the
maintenance pricing shall be corrected and clarified and shall instead be the
amount of Five Cents ($.05) per copy billed as monthly usage under Contract
No. 101-2013. Contractor's replacement cover page is attached to this Addendum
as Exhibit A and is incorporated herein by reference and made a part of Contract
No. 101-2013. The maintenance pricing will continue to be locked for sixty (60)
months as set forth in Section III of the Agreement.
2. City and Contractor expressly agree that all other terms, conditions, and
covenants contained in Contract No. 101-2013, shall be applicable to the work
performed pursuant to this Addendum, unless such term, condition or covenant
conflicts with this Addendum Number 1, in which case this Addendum Number 1
shall be controlling.
3. Both parties hereby agree that with the exception of the above -referenced
correction and clarification to the pricing that will be charged for the monthly
copy usage, Contract No. 101-2013 shall remain intact and unchanged and in full
force and effect.

4. Both parties agree that any person executing this Contract in a representative
capacity hereby warrants that he or she has been duly authorized by his or her
principal to execute this Addendum.
