In consideration of the mutual covenants contained herein and for good and valuable
consideration, the receipt and sufficiency of which is expressly acknowledged, Deere Credit, Inc.
("Deere Credit') does hereby sell and transfer to CITY OF MCCALL ("the "Purchaser"), all of its
right, title and interest in and to the equipment described on Exhibit A (the "Equipment"), which is
incorporated herein by this reference.
The Equipment is in a used condition , having been returned to Deere Credit following the
termination of an equipment lease. Deere Credit is not a manufacturer, distributor, dealer or
merchant of the Equipment.
The Equipment is sold by Deere Credit to Purchaser "AS -IS, WHERE -IS" with all faults and Deere
Credit makes no express or implied warranty regarding the Equipment, including without limitation,
and implied warranty of merchantability. By acceptance of delivery of the Equipment, Purchaser
affirms that it has not relied upon Deere Credit's skill or judgment to select or furnish the Equipment
for any particular purpose, and that Deere Credit makes no warranty that the Equipment is fit for
any particular purpose and that there are no representations or warranties, expressed, implied or
statutory, except that Deere Credit does represent that it owns the Equipment free and clear of all
liens and encumbrances arising by, through or under Deere Credit and has full power, right and
authority to convey title.
This is a final and exclusive statement of the agreement between Deere Credit and Purchaser. No
course of dealing or usage of trade or course of performance shall be relevant to explain or
supplement any terms expressed in this Bill of Sale.
By accepting delivery of the Equipment, Purchaser acknowledges that Purchaser has either
examined that Equipment or has been given the opportunity to examine the Equipment.
IN WITNESS WHEREOF, Deere Credit Inc. has executed and delivered this Bill of Sale on
