AUTHORIZING AN AGREEMENT FOR EXTRAORDINARY,
UNSPECIFIABLE SERVICES - EMS BILLING SERVICES
WHEREAS, thc Borough of Carteret ("Borough") has determined to initiate a
municipal EMS/ambulancc service; and
WHEREAS, thc Borough has deemed it advisable to establish a billing
mechanism to rccover from primary and secondary payment providers some of
the costs associated with the provision of EMS/ambulance services; and
WHEREAS, the Borough has rcceived a proposal from Medical Outsourcc
Sen, ices, Inc. ("MOS"), an EMS billing service located at 899 Mountain Avenue,
Suite lB, Springfield, NJ 07081, to perform billing services and matters rclated
thereto, including the processing of claims with insurance companies, Medicare
and Mcdicaid, and the coordination of related activities with the area's emergency
medical institutions and hospitals, for the period from November 1,2002 to
Octobcr 31, 2004; and
WHEREAS, thc annual cost for said scrvices will be ten pcrcent (10%) of the
actual billings collected as set forth in the proposed contract; and
WHEREAS, the Borough has attempted to solicit competitive quotations for the
above describcd billing services, but has determined that the proposal from MOS
is most advantageous, considering all relevant factors including price; and
WHEREAS, has cxtensive expertise and training in the field of EMS billing and
related services and has demonstrated a proven reputation in the field of EMS
billing; and
WHEREAS, the Local Public Contracts Law, N.J.S.A. 40A:l l-5 (1)(a) (ii),
requires that the Resolution authorizing the award of contracts for extraordinary,
unspecifiable services without solicitation of competitive bids and the contract
itself must available for public inspection; and
WHEREAS, the governing body has decmcd it advisable to enter into a contract
with MOS to provide EMS billing services for the Borough from November 1,
2002 through October 31, 2004, in accordance with the terms of its proposed
contract.

NOW THEREFORE, BE IT RESOLVED by the Mayor and Council of the
Borough of Carteret, Comity of Middlesex, State of New Jersey as lbllows:
1. That the Mayor and appropriate Borough officials are
hereby authorized to exccutc and cntcr into a contract with Medical
Outsource Services, Inc. to provide EMS billing services for the
Borough of Cartcrct in a form acceptable to the Borough Attorney.
2. That this contract is awarded without competitive bidding
because it is for extraordinary, unspecifiable services in
accordancc with N.J.S.A. 40A:11-5 (1)(a)(ii) of the Local Public
Contracts Law because the provision of the billing scp,'iccs to be
contracted require special expertise and extensive training in the
area of said services and a proven reputation in said field which is
critical and essential 1.o the proposal.
3. That a notice of this award shall be advertised as required
by law.
