THIS ADDENDUM, (Number 1 to Contract No. 170-2011, with Public Safety
Health & Wellness, LL , f/k/ Corporate Health of Ohio, Inc.) is made and entered into
this day of , 2013, by and between the City of Richmond,
Indiana, a municipal corporation acting through its Board of Public Works and Safety with
its office at 50 North 51h Street, Richmond, Indiana, (hereinafter referred to as "City"), and
Key Pointe Medical LLC d/b/a Public Safety Health & Wellness LLC, 235 Industrial Drive,
Franklin, Ohio, 45005 (hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 170-2011 on December 1,
2011; and
WHEREAS, Section IV (Term of Agreement) in Contract No. 170-2011 contains an option
to renew the Agreement .for the 2014 calendar year and City wishes to exercise
that option in order to retain Contractor for the 2014 calendar year.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein
contained, including the_. above st-ated rccitals; City and Contractor hereby agree as follows:
1. The City and Corporate Health of Ohio, Inc. executed and entered into
Contract No. 170-2011, on December 1, 2011, which is incorporated herein
by reference as well Addendum No. 1 to said Contract on December 12, 2012,
which Addendum is also incorporated herein by reference.
2. The City and Contractor ("parties") agree that Contract No. 170-2011 shall
remain in full force and effect and that the compensation terms will remain in
full force and effect for the upcoming 2013 calendar year.
3. Both parties agree that Contractor shall continue to provide professional
services associated with that Contract and its Addendum No. I during the
2014 calendar year in accordance with the option to renew as set forth above.
4. Both parties acknowledge that Contractor has submitted or will submit a New
Vendor Information form, E-Verify Affidavit, and updated Certificate of
Insurance to the City Purchasing Department.
5. Both parties agree that Contract No. 170-2011 and its Addendum No. 1 shall
remain intact and unchanged.

6. Both parties agree that any person executing this Contract in a representative
capacity hereby warrants that he or she has been duly authorized by his or her
principal to execute this Addendum.
