Uh THIS ADDENDUM, (Number 2 to Contract No. 9-2012) is made and entered into this
`��' day of , 2013, by and between Richmond, Indiana, a municipal corporation
acting through its Board of Public Works and Safety with its office at 50 North 5 h Street, Richmond,
Indiana, (hereinafter referred to as "City"), and Overhead Door Company of Richmond, 411 NW F
Street, Richmond, IN 47374 (hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 9-2012 on January 26, 2012,
which contract is incorporated by reference, as well as Addendum Number 1
to said Contract on February 7, 2013 (effective as of January 1, 2013), which
Addendum is also incorporated by reference and made a part hereof; and
WHEREAS, Contract No. 9-2012 contains a final option to renew which the City wishes
to exercise for the 2014 calendar year; and
WHEREAS, City wishes to retain Contractor to continue providing services in connection
with on -call and as -needed general maintenance to the overhead doors and
openers located at Fire Stations 1, 2, 3, 4, 5, and 6 for the Richmond Fire
Department during the course of the 2014 calendar year within the scope of
Contract No. 9-2012.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein
contained, including the above stated recitals, City and Contractor hereby agree as follows:
Contractor shall continue to provide services in connection with on -call and as -
needed general maintenance to the overhead doors and openers located at Fire
Stations 1, 2, 3, 4, 5, and 6 for the Richmond Fire Department as identified within
Contract No. 9-2012 for the 2014 calendar year at the rate set forth said Contract.
Such services shall be performed in a manner consistent with Contract No. 9-2012,
which is hereby incorporated by reference and made a part hereof.
2. City and Contractor expressly agree that all other terms, conditions and covenants
contained in Contract No. 9-2012, shall be applicable to the work performed
pursuant to this Addendum Number 2, unless such term, condition or covenant
conflicts with this Addendum Number 2, in which case this Addendum Number 2
shall be controlling.
3. Both parties agree that Contract No. 9-2012 and its Addendum Number 1 shall
remain intact and unchanged.

4. Both parties agree that any person executing this Contract in a representative capacity
hereby warrants that he or she has been duly authorized by his or her principal to
execute this Addendum.
THIS ADDENDUM is executed and approved by the undersigned representatives of the City
