SECTION I. STATEMENT AND SUBJECT OF WORK City hereby retains Contractor to provide on -call professional engineering services at City's New Paris Pike Landfill. The Proposal of Contractor is attached hereto as Exhibit "A," which Exhibit is dated November 27, 2013, consists of six (6) pages, and is hereby incorporated by reference and made a part of this Agreement. Contractor shall perform the work and provide the services described on Exhibit "A." Should any provisions, terms, or conditions contained in any of the documents attached hereto as Exhibits, or in any of the documents incorporated by reference herein, conflict with any of the provisions, terms, or conditions of this Agreement, this Agreement shall be controlling. Contractor shall perform all work herein in a timely manner, conforming to aII applicable professional standards. The Contractor shall furnish all labor, material, equipment and services necessary for the proper completion of all work specified. No performance of services shall commence until the following has been met: 1. The City is in receipt of any required certificates of insurance and/or warranties; 2. The City is in receipt of any required affidavit signed by Contractor in accordance with Indiana Code 22-5-1.7-11(a)(2);and 3. A purchase order has been issued by the Purchasing Department. SECTION II. STATUS OF CONTRACTOR Contractor shall be deemed to be an independent contractor and is not an employee or agent of the City of Richmond. The Contractor shall provide, at its own expense, competent supervision of the work. SECTION 111. COMPENSATION City shall pay Contractor a sum based on Contractor's unit charges for services described in its proposal based on its "Standard Schedule of Charges for Professional Services" as previously provided to City in 2013, which schedule may be adjusted by Contractor annually in January of each succeeding year of this Agreement, not to exceed a total sum of Sixty -Nine Thousand One Hundred Dollars and Zero Cents ($69,100.00) for calendar year 2014, Sixty -Three Thousand Four Hundred Dollars and Zero Cents ($63,400.00) for calendar year 2015, and Fifty -Seven Thousand Nine Hundred Dollars and Zero Cents ($57,900.00) for calendar year 2016, for performing all work described herein in a satisfactory and proper manner. Contract No.181-2013 Page I of 6 091911[0]Z2-BA0N ,: -kvj i1MORM 19Mr10,1 -1 This Agreement shall become effective January 1, 2014 and shall continue in effect until December 31, 2016. Notwithstanding the term of this Agreement, City may terminate this Agreement in whole or in part, for cause, at any time by giving at least five (5) working days written notice specifying the effective date and the reasons for termination which shall include but not be limited to the following: a. failure, for any reason, of the Contractor to fulfill in a timely manner and/or competent manner its obligations under this Agreement, b. submission by the Contractor to the City of reports that are incorrect or incomplete in any material respect; c. ineffective or improper use of funds provided under this Agreement; d. suspension or termination of the grant funding to the City under which this Agreement is made; or e. unavailability of sufficient funds to make payment on this Agreement. In the event of such termination, the City shall be required to make prorated payment for all work performed prior to the date this Agreement is terminated, but shall be relieved of any other responsibility herein. This Agreement may also be terminated, in whole or in part, by mutual Agreement of the parties by setting forth the reasons for such termination, the effective date, and in the case of partial termination, the portion to be terminated. SECTION V. INDEMNIFICATION AND INSURANCE Contractor agrees to obtain insurance and to indemnify the City for any damage or injury to person or property or any other claims which may arise from the Contractor's conduct or performance of this Agreement, either intentionally or negligently; provided, however, that nothing contained in this Agreement shall be construed as rendering the Contractor liable for acts of the City, its officers, agents, or employees. Contractor shall as a prerequisite to this Agreement, purchase and thereafter maintain such insurance as will protect it from the claims set forth below which may arise out of or result from the Contractor's operations under this Agreement, whether such operations by the Contractor or by any sub -contractors or by anyone directly or indirectly employed by any of them, or by anyone for whose acts the Contractor may be held responsible. COMPLIANCE WITH WORKER'S COMPENSATION LAW Contractor shall comply with all provisions of the Indiana Worker's Compensation law, and shall, before commencing work under this Agreement, provide the City a certificate of insurance, or a certificate from the industrial board showing that the Contractor has complied with Indiana Code Sections 22-3-2-5, 22-3-5-1 and 22-3-5-2. If Contractor is an out of state employer and therefore subject to another state's worker's compensation law, Contractor may choose to comply with all provisions of its home state's worker's compensation law and provide the City proof of such compliance in lieu of complying with the provisions of the Indiana Worker's Compensation Law. SECTION VII. COMPLIANCE WITH INDIANA E-VERIFY PROGRAM REQUIREMENTS Pursuant to Indiana Code 22-5-1.7, Contractor is required to enroll in and verify the work eligibility status of all newly hired employees of the contractor through the Indiana E-Verify program. Contractor is not required to verify the work eligibility status of all newly hired employees of the contractor through the Indiana E-Verify program if the Indiana E-Verify program no longer exists. Prior to the performance of this Agreement, Contractor shall provide to the City its signed Affidavit affirming that Contractor does not knowingly employ an unauthorized alien in accordance with IC 22-5-1.7-11 (a) (2). In the event Contractor violates IC 22-5-1.7 the Contractor shall be required to remedy the violation not later than thirty (30) days after the City notifies the Contractor of the violation. If Contractor fails to remedy the violation within the thirty (30) day period provided above, the City shall consider the Contractor to be in breach of this Agreement and this Agreement will be terminated. If the City determines that terminating this Agreement would be detrimental to the public interest or public property, the City may allow this Agreement to remain in effect until the City procures a new contractor. If this Agreement is terminated under this section, then pursuant to IC 22-5-1.7-13 (c) the Contractor will remain Iiable to the City for actual damages. Page 3 of 6 SECTION VIII. IRAN INVESTMENT ACTIVITIES Pursuant to Indiana Code (IC) 5-22-16.5, Contractor certifies that Contractor is not engaged in investment activities in Iran. In the event City determines during the course of this Agreement that this certification is no longer valid, City shall notify Contractor in writing of said determination and shall give contractor ninety (90) days within which to respond to the written notice. In the event Contractor fails to demonstrate to the City that the Contractor has ceased investment activities in Iran within ninety (90) days after the written notice is given to the Contractor, the City may proceed with any remedies it may have pursuant to IC 5-22- 16.5. In the event the City determines during the course of this Agreement that this certification is no longer valid and said determination is not refuted by Contractor in the manner set forth in IC 5-22-16.5, the City reserves the right to consider the Contractor to be in breach of this Agreement and terminate the agreement upon the expiration of the ninety (90) day period set forth above. SECTION IX. PROHIBITION AGAINST DISCRIMINATION A. Pursuant to Indiana Code 22-9-1-10, Contractor, any sub -contractor, or any person acting on behalf of Contractor or any sub -contractor shall not discriminate against any employee or applicant for employment to be employed in the performance of this Agreement, with respect to hire, tenure, terms, conditions or privileges of employment or any matter directly or indirectly related to employment, because of race, religion, color, sex, disability, national origin, or ancestry. B. Pursuant to Indiana Code 5-16-6-1, the Contractor agrees: That in the hiring of employees for the performance of work under this Agreement of any subcontract hereunder, Contractor, any subcontractor, or any person acting on behalf of Contractor or any sub -contractor, shall not discriminate by reason of race, religion, color, sex, national origin or ancestry against any citizen of the State of Indiana who is qualified and available to perform the work to which the employment relates; 2. That Contractor, any sub -contractor, or any person action on behalf of Contractor or any sub -contractor shall in no manner discriminate against or intimidate any employee hired for the performance of work under this Agreement on account of race, religion, color, sex, national origin or ancestry; 3. That there may be deducted from the amount payable to Contractor by the City under this .Agreement, a penalty of five dollars ($5.00) for each person for each calendar day during which such person was discriminated against or intimidated in violation of the provisions of the Agreement; and 4. That this Agreement may be canceled or terminated by the City and all money due or to become due hereunder may be forfeited, for a second or any subsequent violation of the terms or conditions of this section of the Agreement. C. Violation of the terms or conditions of this Agreement relating to discrimination or intimidation shall be considered a material breach of this Agreement. Page 4 of 6 SECTION X. RELEASE OF LIABILITY Contractor hereby agrees to release and hold harmless the City and all officers, employees, or agents of the same from all liability which may arise in the course of Contractor's performance of its obligations pursuant to this Agreement. SECTION XI. MISCELLANEOUS This Agreement is personal to the parties hereto and neither party may assign or delegate any of its rights or obligations hereunder without the prior written consent of the other party. Any such delegation or assignment, without the prior written consent of the other party, shall be null and void. This Agreement shall be controlled by and interpreted according to Indiana law and shall be binding upon the parties, their successors and assigns. This document constitutes the entire Agreement between the parties, although it may be altered or amended in whole or in part at any time by filing with the Agreement a written instrument setting forth such changes signed by both parties. By executing this Agreement the parties agree that this document supersedes any previous discussion, negotiation, or conversation relating to the subject matter contained herein. This Agreement may be simultaneously executed in several counterparts, each of which shall be an original and all of which shall constitute but one and the same instrument. The parties hereto submit to jurisdiction of the courts of Wayne County, Indiana, and any suit arising out of this Contract must be filed in said courts. The parties specifically agree that no arbitration or mediation shall be required prior to the commencement of legal proceedings in said Courts. By executing this Agreement, Contractor is estopped from bringing suit or any other action in any alternative forum, venue, or in front of any other tribunal, court, or administrative body other than the Circuit or Superior Courts of Wayne County, Indiana, regardless of any right Contractor may have to bring such suit in front of other tribunals or in other venues. Any person executing this Contract in a representative capacity hereby warrants that he/she has been duly authorized by his or her principal to execute this Contract. In the event of any breach of this Agreement by Contractor, and in addition to any other damages or remedies, Contractor shall be liable for all costs incurred by City in its efforts to enforce this Agreement, including but not limited to, City's reasonable attorney's fees. In the event that an ambiguity, question of intent, or a need for interpretation of this Agreement arises, this Agreement shall be construed as if drafted jointly by the parties, and no presumption or burden of proof shall arise favoring or disfavoring any party by virtue of the authorship of any of the provisions of this Agreement. New Paris Pike Landfill Richmond Sanitary District Summary of Scope for Professional Engineering Services, 2014-2016 Including Groundwater Sampling, Stormwater Sampling, Corrective Action Plan Items, Abandonment of Plezorneters and Title V and Greenhouse Gas Compliance Monitoring and Reporting Professional Engineering Services Groundwater and storm water sampling services are fairly routine and on -going from previous years. Expanded groundwater assessment sampling is required every 3 years - this does not t:egaire much additional sampling labor; however, the analytical costs are greater for the expanded list of chemicals. This additional cost will occur in the fall semi-annual sampling event in 2014. In 2014, 3 piezometers (P4-7, 7a, and 7b) will be abandoned. An additional two piezometers may be abandoned, and it is assumed they will be abandoned in 2015. Air compliance services include routine tasks that occur each year. Also included is. the triennial emission report due In 2014. Unit charges for services described in this proposal will be based on Andrews' "Standard Schedule of Charges for Professional Services". The terms and conditions on the Standard Schedule will remain the same as the current Schedule provided to the District at the beginning of this year. In January of each succeeding year, Andrews will provide a copy of the newest Standard Schedule with revised unit labor rates that will apply to that year. However, the cost estimates provided below will not be exceeded without authorization by the Richmond Sanitary District (RSD). In other words, RSD will be invoiced on a time -and -materials basis according to the "Standard Schedule of Charges", but not to exceed the estimated total amount without RSD authorization. A. Groundwater Samplin_g Items 1. Semi -Annual Sampling: The scope for this item includes preparation for sampling events, field sampling, sample delivery and confirmation, data management, statistical analysis, and report. Laboratory analysis is currently sub -contracted to Sherry Laboratories, but could change if a lower cost option is available for comparable laboratory services. Estimated costs for routine semi-annual sampling in 2014 are projected to be approximately $36,000 for both. semi-annual sampling events. Invoices for the semi-annual sampling are concentrated in March, April, May, and again in September, October, November corresponding to the two semi-annual sampling events. The estimated cost of $36,000 does not include verification monitoring, however (see item 2). The greater cost in 2014 compared to 2015 and 2016 is due to the laboratory analysis for an expanded assessment list of chemical parameters for the second CAMy DoctimenisLmarketingWPPLFIA[Isccpe2p34-2(116 Nov 27.doc 11/27/2013 1 of 4 _AkAndrews Engineering, Inc. sampling event that is required by the landfill's permit every 3 years, and 2014 is a triennial year. 2. Verification Sampling: This item is reserved for a case in which a Statistically Significant Increase (SSI) isdetermined from a semi-annual sampling event, but the SSI has not been verified. If, however, no advantage is to be gained by attempting to nullify the SSI, a verification sampling event may not be appropriate. For example, if a well is already in assessment with verified exceedances and the new SSI is not above the GWPS, then a verification sampling event would generally not be conducted. A contingency of $3,000 is a reasonable estimate to add to the groundwater sampling cost for 2014 to cover potential verification re -sampling. The total groundwater sampling budget for 2014, including the $3,000 contingency for verification re -sampling, is $39,000. The total groundwater sampling budget for 2015 and 2016 is $37,400 and $38,300, respectively. B. stormwater 5amplinq It is assumed that stormwater sampling will be conducted during the same events as groundwater sampling: in March and September and for 2 stormwater ponds. This will reduce preparation time, travel time, and mileage costs. Stormwater samples will be obtained per the approved Storm Water Pollution Prevention Plan and submitted for analysis of the appropriate parameters. This scope also includes obtaining a leachate sample during each event for analysis of total suspended solids and BOD_ A report of the results will be submitted in draft to RSD and finally to ITEM as required. Laboratory analytical work is currently sub -contracted to Sherry Laboratories. The cost estimate to conduct the stormwater sampling and reporting for 2014, including analytical cost, is $2,100, C. Corrective Action This task item includes evaluating the current remedial measures taking place at the landfill as part of the corrective action plan and determining whether additions or changes are in order. Additions or changes may either be required, due to newsy discovered groundwater issues, or desirable to make the system more effective from the standpoint of environmental protection, or simply more cost-effective. This can .generally be done through an annual corrective action plan update report, which is submitted to IDEM. The cost for submitting an annual corrective action update report is approximately $1,200. A reasonable contingency for miscellaneous work related to corrective action items that are unforeseen is $3,000. D. Pieaorneter Abandonment As construction in the Phase 4 area progresses, piezometers that were installed for the Phase 4 permit application will need to be abandoned per IDEM regulations. It is assumed that piezometers P4-7, 7a, and 7b will be abandoned in 2014 and two more piezometers (as yet unspecified) will be abandoned in 2015. The cost estimate assumes arranging and coordinating for a drilling subcontractor, communications with the client and IDEM, overseeing the abandonments by a field geologist, drilling subcontractor costs, and abandonment documentation for submittal to IDEM. The estimated cost for 2014 is $7,500, and for 2015 is $5,000, for a category total of $12, 500. E. Air Compliance Air quality compliance requirements at the landfill have increased in recent years with the advent of new federal greenhouse gas reporting regulations and with the reversion of the landfill gas collection and control system operation to the District from Richmond Power & Light. While most reporting occurs on a quarterly or annual basis, some of the compliance requirements under the site's Title V air operating permit have longer recurrence intervals. The following is a list of anticipated compliance activities Under this category: m Weekly gas flow readings (GHG regulations), ® Quarterly surface methane monitoring (Title V), • Quarterly deviation reports (Title V), • Semi-annual NSPSINESHAP report (Title V), a Annual compliance report (Title V), • Annual greenhouse gas report (GHG regulations), ® Triennial emissions report (Title V, due in 2014), and • Miscellaneous compliance assistance. 1. Weekly gas readings: Weekly readings of gas flowrate, temperature and pressure are taken by landfill personnel. These data are sent to us for review and compilation in preparation for the annual GHG report (see subtask 6 below). Our estimated budget for 2014 for this work is $1,800, 2. Surface methane monitoring: Methane emissions will be monitored over the surface of the landfill on.a quarterly basis. If methane concentrations over any part of the landfill exceed 500 ppm during this initial monitoring, a minimum of 2 re - monitoring events must be performed at 10 days and ,I month after the initial exceedance to verify the effectiveness of corrective action work Our estimated budget for the four routine monitoring events and reports is $4,400. Should an additional site visit be required because of exceedances noted in the routine monitoring, our budget for each additional monitoring event and report is $1,100. For budgeting purposes, we recommend an annual budget of $5,500 for 2014. Quarterly deviation reports: These reports are prepared by the landfill manager. No budget is required for this task at this time. If assistance is needed in preparing these reports, we will include the charges under miscellaneous assistance. 4. Semi-annual reports: The federal NSPS and NESHAP regulations for landfills require submittal of semi-annual reports on the effectiveness of the gas collection and control system. These reports are due in January and July of each year covering the preceding G months of operation. Our estimated budget for this work in 2014 is $2,100, 5. Annual compliance report. An annual report must be fled with IDEM and the USEPA by July 1 of each year that summarizes the landfill's compliance with the terms of its Title V permit for the preceding year. Our estimated budget for this work in 2014 is $900. . 6. Annual: GHG report: This report is required under the federal greenhouse gas regulations that were promulgated in 2009. Our budget of is $2,500 for assistance in preparing the report. 7. `triennial emissions report: Every 3 years, the landfill must calculate and report air emissions from the site using software provided by IDEM. This information is used to set the annual Title V permit fees. The next report is due July 1, 2014. We will perform the calculations and prepare the report for review by the District before submittal to IDEM. Our estimated budget for this work in 2014 is $2,000. & Title V permit renewal application: A permit renewal application was submitted earlier this year and the renewed permit is expected to be issued before the end of this year. The next renewal will be due after the 3-year period of this budget. Therefore, no costs are included for this task. 9. Miscellaneous compliance assistance: This task includes general assistance on air compliance and permitting issues not covered by the other tasks above. Typical services include review and consultation on new air regulations, assistance With IDEM inspection information requests, and assistance with gas system equipment or usage. Miscellaneous expenses and outsourucd priuting/reproduction will also be billed at cost plus ten percent (10%). Other direct project related expenses, such as eNTresslshipping, etc. will be billed at cost. Mileage will be billed at fifly-seven cents (570) per (Wile -- subject to possible daily minimums and a fuel surcharge if ges prices surge sigiflcantly. Computer charges for CAD and modeling will be $1 O,OGItr. SUBCONTRACTUAL SERVICES For services rendered by others under Subcontract to the CONSULTANT, the CONSULTANT will be paid at Cost plus fztteen percent (1594,D). BILLrNG AYD PAYMENT SCHEDULE The CONSULTANT'S services under ibis Schedule will be billed monthly for services rendered during the preceding tnonth. Payment for said service is due mrithin thirty (30) days. A Finance Charge (La(e Fee) of one and one-half percent (1.5%) per month, which is an annual percentage rate of eighteen percent (18%), will be added to delinquent accounts. NOTES: I. Testing andEquipment Rates and Miscellaneous Charges are available upon request. 2. A premium rate of one and one-half (1.5) times the regular rate shown Nvill be billed for services rendered on Sundays, Holidays and Holiday weekends. 3. A surcharge of Nventy percent (2054a) will be added for expert witness testimony and preparation for testimony. 4. Certain specialty services may be subject to minimum charges. 5.
