REAL ESTATE, LLC, an Idaho limited liability company, hereinafter referred to as "Grantor," and THE CITY OF McCALL, IDAHO, a municipal corporation and all other regulated public utilities hereinafter referred to as "Grantee." RECITALS: WHEREAS, Grantor is the owner in fee simple of real property located at 400 E. Deinhard Lane, McCall, Valley, County, Idaho 83638, more particularly described on Exhibit A attached hereto and, by this reference, incorporated herein as if set forth in full (the "Property"); and WHEREAS, Grantor has agreed, for good and valuable consideration, the receipt of which is hereby acknowledged, to grant unto Grantee an easement for a recreational pathway, snow storage, landscaping, and public utilities to be located over, a portion of the Property in such locations as are more particularly described on Exhibit B attached hereto and, by this reference, incorporated herein as if set forth in full (the "Easement"); and WHEREAS, Grantor agrees, for good and valuable consideration, the receipt of which is hereby acknowledged, to grant unto Grantee an easement in, to, over, upon, across and through a portion of the Property for the construction and maintenance of a recreational pathway, snow storage, landscaping and public utilities within the Easement, and for access, ingress and egress thereto for construction, installation, operation, inspection, maintenance and repair of the Easement, or for removal of utilities, and other purposes as may be required by the Grantee; and WHEREAS, Grantor acknowledges and agrees that the Easement is intended to used by Grantee as a public recreational pathway, and the same shall be open and available to the public according to the ordinances and policies of Grantee, and that Grantor agrees not to interfere with this intended use and purpose of the Easement premises in any way or for any purpose. WHEREAS, by this Easement Agreement, Grantor does not waive any of its rights and privileges as provided in Idaho Code 36-1604. AGREEMENT/GRANT OF EASEMENT NOW, THEREFORE, in consideration of the recitals above, which are incorporated below, and good and valuable consideration, the receipt and sufficiency of which hereby is acknowledged, Grantor, by giving this Easement, and Grantee, by recording this Easement and/or exercising the rights granted herein, agree as follows: 1. Grant of Easement. Grantor hereby grants to Grantee, its heirs, successors, and assigns, forever a perpetual easement in, to, over, upon, across and through the Exhibit A property in the location indicated in Exhibit B hereto, for construction, use and access for a public EASEMENT AGREEMENT - 1 RECREATIONAL PATHWAY, SNOW STORAGE, LANDSCAPING AND PUBLIC UTILITIES EASEMENT AG REEM ENT THIS RECREATIONAL PATHWAY, SNOW STORAGE, LANDSCAPING , AND PUBLIC UTILITIES EASEMENT AGREEMENT, is made and entered into by and between L .N. REAL ESTA TE, LLC, an Idaho limited liability company, herein after refen-ed to as "Grantor," and THE CITY OF McCALL , IDAHO, a municipal corporation and all other regulated public utilities hereinafter referred to as "Grantee ." Grant of Easement. Maintenance and Repair. Grantee shall b e responsible for all maintenance and repair of the easement premi ses , including all recreational pathway and landscaping facilities at Grantee's own cost and expense . 3 . Run with the Land. All pro visions of this Easement, including the b enefits and burdens and the agreement as to payment of costs and ex penses shall run with the land and shall benefit and bind the heir s, successors and assigns of Grantor and Grantee. 4 . No Liens. Grantor warrants and represents that Grantor can convey the easement to Grantee in fee simp le, free and clear of encumbrance s, and subject only to taxes, assessments , easements , and restrictions as appear of record. 5. Structures on Easement Grantor Interference. Grantor will not erect or place any permanent or temporary structur es on the Easement Premi ses that will not materially interfere wi th the Grantee's intended u se of the easement, or wi thout written consent from the Grantee. Grantor shall not grant to any other Person or party any right or estate in the Property which would in any way interfere with Grantee's intended use of the Easem ent for a public recreational pathway. 6. Entire Agreement; Indemnification. This easement constitutes the entire agreement of Grantor and Grantee and, only to the ext ent allowable under Idaho Law, each party sha ll indemnify and hold the other party harml ess from any los s, claim, or damage, demand, cause of action, costs or attorney' fees ar ising from any claims related to the exerc ise of its ri ght s under the easem ent. 7. Situs. This easement shall be construed under th e laws of the State ofldaho. 8. Remedies. The parties hereto, their heirs , succ essors and assigns shall have all rights and remedies pro vid ed at law or in eq uity to enforce their rig ht s hereund er. In the event of any action or proceeding by either party h ereto against the other, in any way arising out of this Easement Agreement , or attempting to enforce any right herein granted , the los ing party shall pay the prevailing party's rea so nabl e attorney fees and cost s.
