HomeMy Public PortalAbout2021.142 - (12-14-21) RESOLUTION NO. 2021.142 A RESOLUTIONOF THE CITY COUNCIL OF THE CITY OF LYWOOD, COUNTY OF LOS ANGELES, STATE OF CALIFORNIA, AUTHORIZING THE MAYOR TO EXECUTE, IN A FORM SATISFACTORY TO THE CITY ATTORNEY, An EXLCUSIVE NEGOTIATION AGREEMENT BETWEEN THE CITY AND PRIMESTOR DEVELOPMENT, LLC FOR THE PURPOSE FACILITATING THE SALE AND DEVELOPMENT OF CITY OWNED LAND (PARCEL NO. 6169-002-004) WHEREAS, the City is the owner of that certain real property located at southwest corner of Fernwood Avenue and Imperial Highway, Lynwood (APN 6169-002-904) and more specifically described in Exhibit A attached hereto ("City Land"). The City Land is also referred to as the"Property"; and WHEREAS, Primestor Development, LLC has presented the City with a proposed Project (as defined in Exhibit B, "Project") that the City is interested in exploring as a potential development of affordable residential within the City; and WHEREAS, the intent of the City and the Developer in entering into this Agreement is to establish a specific, limited period of time to negotiate an agreement between them governing the potential acquisition of the City Land and development of the Project, all subject to mutually agreeable terms, conditions, covenants, restrictions and agreements to be negotiated and documented in a future disposition and development agreement or Purchase and Sale Agreement (collectively "DDA"); and WHEREAS, the DDA is anticipated to cause the City to sell the City Land subject to development obligations. The City shall have the right to enforce all rights and obligations associated with the development of the Land after the close of escrow to Developer pursuant to the terms and conditions of the DDA, NOW, THEREFORE, THE CITY COUNCIL OF TH CITY OF LYNWOOD DOES HEREBY FIND, DETERMINE, ORDER AND RESOLVE AS FOLLOWS: Section 1. The City Council of the City of Lynwood hereby finds and declares that the foregoing recitals are true and correct, and incorporates them herein as findings and as a substantive part of this Resolution. Section 2. The City Council authorizes the Mayor to execute the Exclusive Negotiation Agreement (ENA) with Primestor Development, LLC on behalf of the City of Lynwood, substantially in the form attached to this resolution as Exhibit A. The ENA shall be in a form satisfactory to the City Attorney. Section 3. The City Clerk shall certify to the adoption of this Resolution and hereafter the same shall be in full force and effective immediately. PASSED, APPROVED AND ADOPTED this 14th day of December 2021.
