Date: March 26, 2013 Project: P1428 — McCall Downtown Master Plan Update
SCOPE OF SERVICES
This contract is for services related to the McCall Downtown Master Plan Update. The project
scope and deliverables shall include the items listed below. These items are further described in
more detail in the "Detailed Proposal for the McCall Downtown Master Plan Update" by
Harmony Design & Engineering, Logan Simpson Design Inc., and RPI Consulting dated March
4, 2013 (The Proposal).
L Background Analysis
a. Review the Vision — Review existing documents that summarize the community's
vision regarding Downtown McCall.
b. Physical Assessment — Work with public works, the advisory committee, and the
public to identO, areas of stability and potential change.
c. Regulatory Assessment — Work with City planning and community development
staff to identify regulations and processes that may need to be modified.
d. Downtown Market Assessment — Includes sales tax analysis, business inventory,
ident6 development and re -development potential areas, survey of business
owners, determine special events facilities (conference, wedding, etc), and retail
leakage analysis.
2. Public Outreach
a. Develop a Public Opinion Questionnaire (electronic and hardcopy distribution)
to be distributed by City staff and advisory committee.
b. Workshops — We will facilitate three on -site workshops with the public, staff;
advisory committee, and key stakeholders. Workshop details are included in the
schedule that follows.
c. Mobile Workshops -To -Go /Display — We will prepare a workshop package that
can be used by City staff, advisory committee members, or other volunteers to
present to various groups or civic organizations to solicit input on the plan. This
package can also be used as a display at public events for additional public
outreach.
d. Community Project — We will facilitate a community project that will include one
of the following as determined through the planning process:
i. Temporary Installation
ii. Window Displays
iii. Logo Contest
iv. Art Box Competition
3. Plan Components
a. Land Use / Urban Design — 'den* and map desired land uses in downtown and
indicate urban form that reinforces and accommodates the desired uses. The City
of McCall GIS department will provide mapping services.
b. Transportation / Streetscape /Parking / Maintenance — Identify desired
configurations and locations of street cross sections and pedestrian
infrastructure. We will review the Downtown parking needs assessment and
check it for relevancy for present conditions and update if necessary.
c. Identify Strategies for Downtown Public Art — Work with the existing Arts
Committee to identib, the best strategies for incorporating public art in
Downtown McCall.
d. Ident Funding Opportunities — Work with the City Grant Coordinator and
community development staff to identify funding.
e. Ident Strategies to Build a Healthy Economy — Includes conducting a business
community forum, identification of economic opportunities, profiling existing and
potential businesses, identify residential development strategies, feasibility study,
written economic development report included in Master Plan report.
4. Implementation Plan — Develop an implementation plan and matrix that identifies
proposed improvements, responsible parties, priorities, timelines, funding options, cost
projections, and capacity building. This task also includes a cost -benefit analysis for
evaluating implementation steps and recommendations for downtown promotion and
marketing.
5. Compile Final Master Plan Report — A written document will be provided in PDF and
Microsoft Word format. The report will include contents as outlined in the Proposal and
will summarize all work shown above.

Day 1 - Project kick-off meetings with City and Advisory Group, Site inventory.
Day 2 - Stakeholder Interviews, Open Studio, Business Community Forum.
Day 3 - Walking Tours, Evening Public Meeting for Goals and Vision review, Visual
Preference Survey and Peer Community Comparison.
Day 4 - Solutions Polling, Areas of Change Identification, begin to develop initial Concept
Plans.
Subsequent online / hardcopy survey reflecting the workshop materials.
June -July -August:
Develop initial goals, strategies and vision.
Develop initial design options by vision.
Refine opportunity areas and areas of change.
Finalize Downtown Market Assessment.
Mobile workshops -to -go (by Advisory Group members or Staff)
Prepare for Workshop #2
August 20-22, Workshop #2 - (3 days):
Day 1 — Design elements options exercises to review choices. Community Project.
Day 2 — Review Concept Master Plan, Drop -in all day open -house /store front to walk-
through the plan.
Day 3 - Field tours discussions. Other activities based on Workshop #1 outcome.
Subsequent online / hardcopy survey reflecting the workshop materials.
September -October:
Refine Master plan design elements and strategies.
Develop Implementation Plan.
Economic Development Strategy.
November 5-7, Workshop #3 - (2 days):
Day 1 — Open Studio / Open House to review and refine Draft Master Plan, Drop -in all day
to walk-through the plan.
Day 2 — Evening Public Meeting to present Draft Master Plan and gather feedback.
December -January:
Final revisions to Master Plan
February:
Public Hearing, Adoption

Note that GIS mapping services for the Downtown Master Plan Update will be provided by the
City of McCall.
The fee for services will be based on the cost of time and materials using the enclosed hourly
rate schedule, not to exceed the amount of $65,000.
We will maintain professional liability, general liability and workers compensation insurance
policies, which will name the City of McCall as an additional named insured.
This AGREEMENT is between 03 (4 a Me&ll
Inc. for services as described above and subject o the following.

Compensation
The fee for the listed scope of services will be on a TIME AND MATERIALS, NOT TO EXCEED basis, at
the rates on the attached standard fee schedule.
Invoicing
All invoices are considered to be due and payable upon receipt unless otherwise set forth in this Agreement.
Each invoice will represent services completed during the prior month unless otherwise noted on the invoice.
Payment not received within 3o days of the invoice date will be considered past due. All past due invoices will
be subject to a 1.5 (v. per month late charge applied to outstanding balances including late charges. Payments
shall be first applied to late charges and then to the principal unpaid amount. If the invoice, including late
charges due, is not paid in full within 6o days of the invoice date, Harmony Design Inc. may cease all services
on the project and may commence the exercising of its legal remedies. These include, but are not limited to,
mechanics' lien rights under applicable law.
The Client shall notify Harmony Design Inc. in writing within to calendar days of the date of the invoice if the
Client objects to any portion of the charges on the invoice, and shall promptly pay the undisputed portion.
Invoices not contested within to calendar days are assumed to be accurate and acceptable to all parties, and all
rights to withhold payment shall be forfeited after that time. This Agreement shall authorize Harmony Design
Inc. to collect any fees and expenses incurred, including reasonable attorney's fees as well as any time billed by
Harmony, at our current standard fee schedule, related to the collection of any amounts due from the Client.
Payment under this agreement is not contingent upon: i) the Client being reimbursed by any third party; 2)
upon the Client obtaining financing: or 3) completion of the overall project.
Information Provided by Others
All data and information provided to Harmony Design Inc. through the Client will be assumed to be complete
and accurate unless otherwise informed by the Client. Harmony Design Inc. will endeavor to identify obvious
errors and bring them to the attention of the Client; however, Harmony Design Inc. cannot be responsible for
the work of others unless the Client has authorized an independent analysis of the data and information
provided.
Ownership of Documents
Drawings, Plans, Reports, and all other products resulting from this design process shall be the property of the
City of McCall.
Third -Party Exclusion
The Agreement shall not create any rights or benefits to parties other than Client and Harmony Design Inc,
except such other rights as may be specifically called for herein.

Conflict Resolution
All claims, disputes, or controversies arising out of, or in relation to the interpretation, application, enforcement
or implementation of this Agreement or provision of the services indicated herein shall first be attempted to be
resolved through non -binding mediation. The parties further agree that the project Owner will require, as a
condition for participation in the project and their agreement to perform labor or services, that all contractors,
all subcontractors at all tiers, and all suppliers whose portion of the work amounts to five thousand dollars
(g5,000) or more, and their insurers and sureties, shall agree to this procedure. If a party does not agree to
mediation, that party shall hereby forfeit the collection of any attorney fees arising from any subsequent legal
actions.
Termination
Either party may terminate this Agreement by providing seven (7) days written notice in the event of a
substantial failure by one party through no fault of the other party to perform in accordance with the terms and
conditions of this agreement. Either party may terminate this Agreement without cause by fifteen (15) days
written notice to the other.
Upon termination, payment will be made to Harmony Design, Inc. for all services performed and reimbursable
expenses up to the date of the termination. Deliverables will be turned over to the Client upon full payment.
Any deliverables released prior to completion of work shall absolve Harmony Design, Inc. of all liability
associated with the project
IN WITNESS WHEREOF, this agreement, including all exhibits and attachments, has been fully executed on
behalf of Harmony Design Inc by its duly authorized officers, and the Client has caused the same to be
executed in its name and in its behalf by its duly authorized officers as of the date indicated below.
