HomeMy Public PortalAbout2019.031-A (04-02-19) RESOLUTION NO. 2019.031-A A RESOLUTION OF THE CITY COUNCIL OF CITY OF LYNWOOD MAKING CERTAIN FINDINGS PURSUANT TO CALIFORNIA GOVERNMENT CODE SECTION 4217.10-4217.18, AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE A FINANCE AGREEMENT AND RELATED LOAN DOCUMENTS WITH GO GREEN CONSULTANTS, LLC WHEREAS, on March 6, 2018, the City Council adopted the Energy Action Plan (EAP); and WHEREAS, the EAP defined the City's long-term vision for achieving energy efficiency in the City's facilities and within the community; and WHEREAS, the EAP recommends that the City implement energy savings measures; and WHEREAS, Go Green Consultants, LLC (Go Green) submitted an Energy Assets Management Program which proposes to create a special purpose entity for an energy savings project along with its financing partners; and WHEREAS, Go Green estimated $9.6 cumulative savings over 25 year term with the Capital Improvement recommendations; and WHEREAS, California Government Code Section 4217.10 to 4217.18 authorizes a public agency to enter into an energy service contract and any necessarily related facility ground lease on terms that its governing bod determines are in the best interests , of the public agency if the determination is made at a regularly scheduled public hearing, public notice of which is given at least two weeks in advance, and if the governing body finds: (1) that the anticipated cost to the public agency for thermal or electrical energy or conservation services provided by the energy conservation facility under the contract will be less than the anticipated marginal cost to the public agency of thermal, electrical, or other energy that would have been consumed by the public agency in the absence of those purchases; and (2) That the difference, if any, between the fair rental value for the real property subject to the facility ground lease and the agreed rent, is anticipated to be offset by below-market energy purchases or other benefits provided under the energy service contract; and WHEREAS, although Go Green will assist the City in completing an application to the California Energy Commission, in the event CEC loan is not available, Go Green offers financing mechanism; and WHEREAS, the City Council has conducted a public hearing at its regularly scheduled Council Meeting on April 2, 2019 and the public hearing was noticed in accordance with Government Code section 4217.12. NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF LYNWOOD DOES HEREBY FIND, PROCLAIM, ORDER AND RESOLVE AS FOLLOWS: Section 1. That the anticipated cost to the City for the Energy Conservation Measures (OCMs) which includes installation of 700 LED Exterior Lights across 10 facilities, 1,357 LED Retrofits to Streetlights, Pool Pump Replacement at the Natatorium, 3 Transformer Replacements at the Public Works Yard and 1 Transformer Replacement at the Community Center, and 1,708.5 kW Carport/Roof Mounted Solar System across 10 sites as proposed by Go Green, LLC, will be less than the anticipated marginal cost to the City of thermal, electrical, or other energy that would have been consumed by the City in the absence of those purchases and installations. Section 2. Based on the report from Go Green, LLC, that the costs of financing the proposed energy conservation measures, either with a CEC loan or another loan from a third party, will be offset by the estimated savings from the utility cost avoidance, rebates, incentives, operational and maintenance savings. Section 3. That it is in the best interest of the City to approve the financing documents and related loan documents with Go Green, LLC for.the implementation of certain energy saving measures. Section 4. That the City Manager is authorized to negotiate and to execute loan documents and other financing documents with Go Green, LLC or with third party as long as it has been determined that the savings will offset the cost. Section 5. That this Resolution shall take effect immediately upon its adoption. PASSED, APPROVED and ADOPTED this 2nd day of April, 2019. Josia.ta.
