THIS ADDENDUM is made and entered into this 19th day of _April ,
2007, by and between Richmond, Indiana, a municipal corporation acting through its
Board of Public Works and Safety (hereinafter referred to as "City"), and Ground Rules,
Inc., 1455 West Oak Street, Studio C, Zionsville, IN 46077 (hereinafter referred to as
"Contractor").
WHEREAS, City and Contractor entered into a Contract No. 40-2007; and
WHEREAS, City wishes to retain Contractor to provide certain additional
services ancillary to those within the scope of Contract No. 40-2007; and
NOW, THEREFORE, in consideration of the mutual promises and covenants
herein contained, including the above stated recitals, City and Contractor hereby agree as
follows:
1. Contractor shall update and illustrate the City's subdivision Control
Ordinance and integrate it with the Zoning Code. These certain services
are provided in connection with the revising and drafting of the City's
Zoning Code and Zoning Maps. Such services shall be performed in a
manner consistent with its proposal. Contractor shall provide said services
described on Exhibit "A", as attached to Contract No. 40-2007.
2. Contractor shall be paid a sum not to exceed Seven Thousand Five
Hundred Dollars ($7,500.00) for all services described on Exhibit "A", at
page 7 of 8.
3. City and Contractor expressly agree that all other terms, conditions and
covenants contained in Contract No. 40-2007, shall be applicable to the
work performed pursuant to this Addendum, unless such term, condition
or covenant conflicts with this Addendum, in which case this Addendum
shall be controlling.

IN WITNESS WHEREOF, the parties execute this Agreement effective the day and year
first above written, although signatures may be affixed at different times.
