( o2I AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH COLE COUNTY FOR THE LAFAYETTE ENHANCEMENT PROJECT. BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and City Clerk are hereby authorized and directed to execute an agreement with Cole County for a cost share agreement for the Lafayette Enhancement Project. Section 2. The agreement shall be substantially the same in form and content as that agreement attached hereto as Exhibit A. Section 3. This Ordinance shall be in full force and effect from and after the date of its passage and approval. Passed: 76 l/ (f Approved: ( (QC AL/_airid Presiding Officer Mayor - ATTEST: APPROVED AS TSS" ORM: i ity Clerk - - - City •unselor Agreement Setting Forth Procedures for the Lafayette Enhancement Project A Joint City and County Capital Improvement Sales Tax Projects THIS CONTRACT, made and entered into this ,x.32-J day of 2014 by and between the City of Jefferson, Missouri hereinafter called "City" an the County of Cole, Missouri hereinafter called "County". 1. Capital Improvement Sales Tax Joint Projects. The Lafayette Enhancement project has been identified as a project which shall be a part of the cooperative City/County projects that will utilize the Capital Improvement Sales Tax to fulfill the Parties' promises to the electorate. 2. Project Administration. a. The County Public Works Director shall administer this project. b. The County shall establish an account for this project from which all costs are paid and tracked or for deposit of reimbursement contributions. Upon notification by the County to the City that the account has been created, the City shall deposit its entire financial commitment, and the County will then forward both City and County contributions to the Missouri Department of Transportation (MoDOT) for construction of the project. c. If any "in-house" staff services that are provided for a particular project, such as engineering, construction inspection, etc., those services shall not be charged to the project. d. If needed, the project shall follow the County's normal purchasing, procurement and contracting procedures for the portions of the projects within their agency's charge. e. The Cole County public Works Director shall, if authorized by MoDOT, erect information signage on each project indicating the work is a "Joint City and County Capital Improvement Sales Tax Project". 3. Financial Contributions. The County has contracted with MoDOT for a total cost of one million five hundred thousand ($1,500,000). The City agrees to pay 1/3 of the cost of the project up to five hundred thousand ($500,000) toward the County's share of their agreement with MoDOT. Upon completion of the agreed upon project, any unexpended funds shall be redistributed to the City and County pro rata. 4. Future projects. In 2013 the City of Jefferson entered into an agreement with the State of Missouri for Remediation of MSP building and allocated up to one million dollars ($1,000,000) for the project. Although not a City-County joint project, the County agreed that the project would be treated as utilizing funds for purposes of this agreement. Upon completion of the Lafayette Enhancement and MSP Remediation projects the parties shall review all funds spent thus far on joint city-county sales tax projects and plan that future project costs will be allocated to assure each party spends one-half of the total project costs for all joint projects. 5. Notices. All notices required or permitted hereunder and required to be in writing may be given by first class mail. If to the City, notice shall be sent to the City Administrator at 320 East McCarty Street, Jefferson City, MO 65101. If to the County, notice shall be sent to the Cole County Commission at the Cole County Courthouse Annex, 311 East High Street, Room 200, Jefferson City, MO 65101. The date of the delivery of any notice shall be the date falling on the second full day after the day of its mailing. 6. Agreement Binding. This agreement is to be binding on the successors and assigns of the parties hereto and is not to be assigned by either party without first obtaining the written consent of the others. 7. Applicable Law. The Laws of the State of Missouri shall govern the validity, performance and enforcement of this agreement.
