R. SIMPLOT COMPANY, its successors and assigns (hereinafter called the "Grantor"), and CITY OF McCALL, a municipal corporation of the State of Idaho (hereinafter called the "Grantee") as of May 1, 2023 ("Effective Date"). RECITALS a) Grantor owns certain real property situated in Valley County, Idaho, more particularly described in Exhibit A hereto; and (b) Grantee will utilize and construct a recreational pathway and store snow on a portion of Grantor's real property as described in Exhibit B attached hereto ("Easement Area"); and (c) Grantor will grant to Grantee, and Grantee desires to accept under the terms and conditions of this Agreement, a conditional, perpetual, non-exclusive easement (the "Easement") over, across and through the Easement Area for the purposes of constructing, operating, cleaning, maintaining, and repairing the recreational pathway located within the Easement Area; and for above ground snow storage; and for no other purpose. AGREEMENT/GRANT OF EASEMENT NOW, THEREFORE, in consideration of the recitals above, which are incorporated below, and good and valuable consideration, the receipt and sufficiency of which hereby is acknowledged, Grantors, by giving this Easement, and Grantee, by recording this Easement and/or exercising the rights granted herein, agree as follows: 1. Grant of Easement. Grantor hereby grants and conveys to Grantee, in perpetuity, subject to the subordination and reversion contained below, a non-exclusive Recreational Pathway and Snow Storage Easement over, upon, across and through the Easement Area for use as a non - motorized, recreational pathway accessible to the general public, and for above ground snow storage, and for performing repairs and maintenance of these facilities located within the Easement Area, and for no other purpose. All rights granted herein shall be subordinate to Grantor's ingress and egress to and from Deinhard Lane, together with any revisions Grantor installs for improving such ingress and egress. Grantee represents and warrants Grantee's re -construction of Deinhard Road and its recreational pathway shall be constructed to substantially conform to the plans shown on Exhibit C attached hereto. Failure to construct improvements within the easement in substantial conformity with Exhibit C shall authorize Grantor to terminate this Agreement, and Grantee authorizes Grantor to record a termination and release of this Agreement in the official real property records of Valley County, Idaho. 2. Condition of Easement Area. Grantee accepts the Easement Area in its "as -is" condition, including, but not limited to, physical attributes and any condition of title. Grantor makes no representation or warranty that the Easement Area is free and clear of encumbrances RECREATIONAL PATHWAY AND SNOW STORAGE EASEMENT AGREEMENT - 1 RECREATIONAL PATHW AYAND SNOW STORAGE EASEMENT AGREEMENT This Recreational Pathway and Snow Storage System Easement Agreement ("Agreement") is made by and between J. R. Grantee shall construct a recreational pathway within the Easement Area at the sole expense of Grantee and in conformance with the plans approved by Grantor, as described in Exhibit C attached hereto. Grantee's construction of the recreational pathway shall be completed within two (2) years of the Effective Date. If construction of the recreational pathway is not completed within two (2) years of the Effective Date, this Agreement shall automatically terminate and Grantee hereby provides its consent for Grantor to record a termination and release of this Agreement in the official real property records of Valley County, Idaho. 4. Structures on Easement. Grantee will not erect any temporary or permanent structures other than the recreational pathway roadway improvements and landscaping (as identified in Exhibit C) on the Easement Area, without written approval of the Grantor, such approval not to be unreasonably conditioned, withheld or delayed. Grantor will not erect any temporary or permanent structures within the easement area except as may be required to temporarily close public access to the easement premises for purposes of permitted construction. 5. Landscaping. Grantor shall use the Easement Area for purposes that do not materially interfere with Grantee's authorized use which shall include, but shall not be limited to planting trees, shrubs or ground cover and installing irrigation facilities within the Easement Area. Grantee shall be responsible to reasonably restore or replace any landscaping or irrigation systems existing as of the Effective Date or installed by the Grantor after the Effective Date damaged or destroyed by Grantee during the construction or use of the Easement by Grantee. 6. Maintenance, Repair; Costs and Expenses. Grantee shall be permitted to operate, maintain, and repair such pathways, landscaping and other improvements constructed within the Easement Area according to the terms provided herein and at the sole expense and cost of Grantee. Grantee hereby waives all rights pursuant to City of McCall ordinance §8-5-010 and 8-5-020 and any amendments thereto, to require Grantor to repair, maintain, replace, or conduct snow removal on any recreational pathways constructed by Grantee or constructed on behalf of Grantee on Grantor's real property prior to or after the Effective Date. Any repair, maintenance, or replacement of all such pathways, shall be conducted by the Grantee, and Grantee shall be responsible for defending Grantor from all damages, injury and claims of damage and injury arising from or related to Grantee's failure to repair, maintain and replace such pathways. Any repair, maintenance or replacement of any improvements installed in accordance with this Agreement shall be conducted by Grantee at Grantee's sole expense. 7. Limitation of Liability. The provisions of Idaho Code Section 36-1604 shall apply with regard to the use of the Easement .by the public, including but not limited to the following: (1) Grantors Exempt from Warning. Grantors owe no duty of care to keep the Easement safe for entry by others for recreational purposes, or to give any warning of a dangerous condition, use, structure, or activity on such premises to persons entering for such purposes. Neither the installation of a sign or other form of warning of a dangerous condition, use, structure, or activity, nor any modification RECREATIONAL PATHWAY AND SNOW STORAGE EASEMENT AGREEMENT - 2 made for the purpose of improving the safety of others, nor the failure to maintain or keep in place any sign, other form of warning, or modification made to improve safety, shall create liability on the part of Grantors where there is no other basis for such liability. (2) Grantors Assume No Liability. Grantors do not, with regard to individuals who are either directly or indirectly invited or permitted to use the Easement for no charge for recreational purposes, thereby: (i) Extend any assurance that the Easement is safe for any purpose; or, (ii) Confer upon such person the legal status of an invitee or licensee to whom a duty of care is owed; or, (iii) Assume responsibility for or incur liability for any injury to person or property of such persons. (3) Grantors Not Required to Keep Easement Safe. Nothing in this section shall be construed to: (i) Create a duty of care or ground of liability for injury to persons or property; or, (ii) Relieve any person using the Easement for recreational purposes from any obligation which they may have in the absence of this section to exercise care in their use of such land and in their activities thereon, or from legal consequences or failure to employ such care; or, (iii) Apply to any person or persons who for compensation permit the land to be used for recreational purposes. (4) User Liable for Damages. Any person using the Easement for recreational purposes, with or without permission, shall be liable for any damage to persons or property which they may cause while on said property. 8. Run with the Land. All provisions of this Easement Agreement, including the agreement as to payment of all costs and expenses therefor shall run with the real property described on Exhibit A and shall benefit and bind the heirs, successors and assigns of Grantors and Grantee. 9. Remedies. The parties hereto, their heirs, successors and assigns shall have all rights and remedies provided at law or in equity to enforce their rights hereunder. In the event of any action or proceeding by either party hereto against the other, in any way arising out of this Recreational Pathway and Snow Storage Easement Agreement or attempting to enforce any right RECREATIONAL PATHWAY AND SNOW STORAGE EASEMENT AGREEMENT-3 herein granted, the Grantee shall pay Grantor's reasonable attorney fees and costs., only if Grantor should prevail in such action. Likewise, Grantor shall be required to pay Grantee's reasonable attorney's fees and costs associated with enforcement of Grantee's rights, should Grantee prevail against Grantor in a court action to enforce the same.
