A RESOLUTION OF THE VILLAGE COUNCIL OF THE
VILLAGE OF KEY BISCAYNE, FLORIDA; AUTHORIZING
THE VILLAGE MANAGER TO EXECUTE THE ATTACHED
MIAMI-DADE COUNTY SCHOOL BOARD AMENDMENT
TO THE EXISTING LANDSCAPING SERVICES LEASE
AGREEMENT FOR THE KEY BISCAYNE COMMUNITY
SCHOOL PROPERTY, APPROVED SUBSTANTIALLY AS TO
FORM; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the original Landscaping Services "lease Agreement" between the Miami -Dade
County School Board and the Village of Key Biscayne was executed on January 1, 1994, adopted
via Resolution 93-39, on September 14, 1993; and
WHEREAS, in January, 1999 discussions began between the Office of the Village Manager
and Miami -Dade County Public Schools (MDCPS) concerning possible expansion of the
Landscaping Service Agreement due to the new school addition and development of the
Village/MDCPS Landscape Plan; and
WHEREAS, on June 8, 1999 Village Council directed the Village Manager to investigate
the feasibility of the Village assuming all landscaping responsibilities at the Key Biscayne
Community School in response to resident concerns for safety and aesthetics; and
WHEREAS, the Miami -Dade County School Board has approved said amendment at their
August 25, 1999 meeting.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE
VILLAGE OF KEY BISCAYNE, FLORIDA AS FOLLOWS:
Section 1. The Village Manager is hereby authorized to execute the attached Miami -Dade
County School Board Amendment to the existing Landscaping Services Lease Agreement for the
Key Biscayne Community School property, approved substantially as to form.
Section 2. This resolution shall take effect immediately upon adoption.

LEASE AMENDMENT
THIS LEASE AMENDMENT, made and entered into this // day of,OtizAP—ce,4 ,
1999, by and between THE SCHOOL BOARD OF MIAMI-DADE COUNTY, FLORIDA, a political
subdivision of the State of Florida (hereinafter called the "LESSOR") and the VILLAGE OF KEY
BISCAYNE, a municipal corporation of the State of Florida (hereinafter called the "LESSEE").
WITNESSETH:
WHEREAS, the LESSOR and LESSEE entered into that certain Lease Agreement dated
January 1, 1994 (hereinafter called the "Lease"); and
WHEREAS, the LESSOR and LESSEE now desire to amend certain terms and conditions
of said Lease, as more specifically set forth below.
NOW, THEREFORE, in consideration of the mutual covenants hereinafter contained and
other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
the parties hereto agree as follows:
1. Exhibit "A" to the Lease, describing the DEMISED PREMISES in sketch form, is
hereby replaced with Revised Exhibit "A".
2. Paragraph six of Article III shall read as follows:
"In addition to it's use of the DEMISED PREMISES, LESSEE and/or it's
landscape maintenance contractor shall have the right to occupy and use the balance of the grounds
of the Key Biscayne Elementary School site solely for the provision of certain landscape maintenance
activities, as enumerated in Article X, together with any incidental purposes related thereto."
3. The first sentence of paragraph one of Article IV is hereby amended to read as
follows:

"The LESSEE shall have the right to construct recreational facilities and other
improvements on the DEMISED PREMISES at such time as the LESSEE determines it to be in the
best interest of the community, subject to the prior written approval of the LESSOR."
4. The first sentence of paragraph four of Article IV is hereby amended to read as
follows:
"The LESSOR shall have the right to construct recreational facilities and other
improvements, and maintain equipment related to the construction of said facilities, on the DEMISED
PREMISES at such time as it shall be in the best interest of the school district to do so."
5. The first sentence of paragraph one of Article VII shall be amended to read as
follows:
"LESSOR shall not be liable for any damage or injury which may be sustained by
LESSEE or any persons on the DEMISED PREMISES and balance of the Key Biscayne Elementary
school site during the LESSEE's period of use or in connection with LESSEE's provision of its
landscape maintenance activity, other than damage or injury resulting from the negligence or improper
conduct on the part of LESSOR, its agents, representatives or employees, or failure of LESSOR to
perform its covenants under this Lease Agreement."
6. Paragraph three of Article VIII shall read as follows:
"Further, the LESSEE shall cause the landscape maintenance contractor performing
work on the school site to indemnify, defend and hold the LESSOR harmless from and against any and
all liabilities, damages, claims, cost or expenses whatsoever (including reasonable attorney's fees and
cost at both the trial and appellate levels) for death, personal injury, and/or property damage
(collectively, "Claims") arising from the work. Additionally, the LESSEE shall cause the landscape

maintenance contractor performing the work on the school site to name the SCHOOL BOARD OF
MIAMI-DADE COUNTY FLORIDA as an additional insured with respect to the insurance policy
provided by the contractor to the LESSEE in connection with the landscape maintenance activity to
be performed; a copy ofsuch insurance policy shall be supplied to Miami -Dade County Public Schools
Division of Site Planning and Acquisitions prior to the commencement of the work."
7. Article X is modified to as follows:
"MAINTENANCE OF DEMISED PREMISES AND BALANCE OF SCHOOL SITE
Notwithstanding the provisions of Article XI, responsibility for the maintenance of the DEMISED
PREMISES and balance of school site shall be as follows:
LESSOR's RESPONSIBILITIES
a. removal of trash or litter generated during the period of LESSOR's use
b. repair of equipment or facilities necessitated exclusively by LESSOR's actions
c. perimeter fence repair
d. replace trees at the sole discretion of the LESSOR
LESSEE's RESPONSIBILITIES
a. landscape maintenance of DEMISED PREMISES and balance of the grounds
of the school site
b. landscape maintenance at a level consistent with, and no less than the landscape
maintenance specifications outlined in Exhibit C
c. replace the use of item G in Part II - Products of Exhibit C (cypress mulch)
with the use of Miami -Dade County Public Schools approved shredded

eucalyptus mulch
d. apply all pesticides within the parameters indicated in Exhibit D
e. obtain pre -approval, by the school principal or designee, of the scheduling of
any and all landscape maintenance activity to ensure student safety and non -
disruption to the learning environment
f. shall cause the landscape maintenance contractor performing the work on the
DEMISED PREMISES and balance of the grounds of the school site to
immediately upon demand remediate and/or remove, at the landscape
maintenance contractor's sole cost and expense, any hazardous materials,
contaminants, and/or pollutants on the property due to the contractor's actions,
that is in an amount in violation of any applicable federal, state, county,
municipal law, code, ordinance, rule or regulation
g. shall coordinate its work on the DEMISED PREMISES and balance of the
grounds of the school site with the school site administrator in such a manner
as to minimize interference with ingress, egress and access to the school site
and shall cause the contractor performing the work on the DEMISED
PREMISES and balance of the grounds of the school site to be responsible for
safety precautions and programs required in connection with the work
h. shall develop, or cause to be developed, a program for ensuring safety of all
person and property affected by the work, particularly students and staff
members of the BOARD located on the DEMISED PREMISES and balance
of the grounds of the school site affected by the work

i. mowing, edging and trimming of field and balance of the grounds of the school
site
j maintain swale area contiguous to DEMISED PREMISES and balance of
grounds of the school site
k. removal of trash or litter generated during the period of LESSEE's use,
including the trash or litter left on the DEMISED PREMISES and balance of
the grounds of the school site over the weekend
1. repair of equipment or facilities located on the DEMISED PREMISES and
balance of grounds of the school site necessitated exclusively by LESSEE's
actions
m. maintain ballfield, including backstop and player benches
n. annual or seasonal fertilizing, weed and insect control of turf
o. provide sand -clay, grading and contouring of ballfield one time per year
p. weed control along ballfield fence
q. maintain and repair irrigation system in playfield and ballfield area
LESSOR and LESSEE agree to equally share the cost for routine maintenance, repair or replacement
of equipment, supplies or other recreational facilities located on the DEMISED PREMISES and
balance of the grounds of the school site not enumerated above that are necessitated by normal wear
and tear. Improvements now existing on the DEMISED PREMISES and balance of the grounds of
the school site consisting of, among other things, an asphalt basketball court as well as those placed
thereon by LESSEE or LESSOR in the future, shall be maintained by LESSEE or LESSOR as
stipulated above.

Notwithstanding the above, LESSOR reserves the right to promulgate and enforce reasonable
rules and regulations regarding the responsibility for the maintenance of the DEMISED PREMISES
and balance of grounds of the school site."
8. Article XVII shall be amended as follows:
"For purposes of this Lease Agreement, the Superintendent of Schools shall be the
party designated by LESSOR to grant or deny all approvals required by the Lease Agreement or to
cancel this Lease Agreement."
9. All other terms and conditions of the Lease shall remain in full force and effect.
IN WITNESS WHEREOF, the LESSOR and the LESSEE have caused this Lease
Amendment to be executed by their respective and duly authorized officers the day and year first
herein above written.

3.02 Public Safety and Convcniericc
A. The Contractor shall, at all times. conduct the work in such mariner as to tnsurc the least
practicable obstruction to public travel. The convenience of thc general public and of the
