WHEREAS, the Key Biscayne Public Library is under Miami -Dade County control; and WHEREAS, on April 20, 1999, due to public request, Village Council directed the Village Manager to negotiate with Miami -Dade County to extend Key Biscayne Public Library hours of operation. NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE OF KEY BISCAYNE, FLORIDA AS FOLLOWS: Section 1. The Village Manager is hereby authorized to execute the attached agreement with Miami -Dade County to increase the Key Biscayne Public Library hours of operation, at a cost of $35,000 for Fiscal Year 2000. ALVAREZ, CMC, VILLAGE C APPROVED AS TO FORM AND LEGAL SUFFIC AGREEMENT THIS AGREEMENT is made and entered into this / day of , 1999, by and between MIAMI-DADE COUNTY, a political subdivision of the State of Florida, hereinafter "THE COUNTY" and the VILLAGE OF KEY BISCAYNE, a municipal corporation, hereinafter called "THE VILLAGE." WITNESSETH: WHEREAS, THE COUNTY and THE VILLAGE desire to increase the operating hours of the Key Biscayne branch library. NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable considerations, it is expressly understood and agreed: ARTICLE I CONSTRUCTION OF INTERLOCAL AGREEMENT The word "shall" as used in this Agreement shall in all cases be construed to be mandatory and to require the action so modified by the word "shall" to be taken without regard to the exercise of discretion. ARTICLE II SCOPE AND PURPOSE OF AGREEMENT This Agreement is entered into in order to increase the Key Biscayne branch library's hours of operation and to set forth the terms upon which the resulting increased costs will be paid. ARTICLE III RESPONSIBILITY OF THE PARTIES A) THE VILLAGE shall pay all costs associated with the increase in the operating hours of the Key Biscayne branch library. Specifically, THE VILLAGE shall pay the additional salary costs, including any and all COLA and merit salary increases, and cleaning service costs 1 of 5 resulting from the increased operating hours. The estimated additional annual salary costs will depend on the ability to recruit and hire part-time librarians. In the event that part-time librarians are added to the current staff to cover the expanded hours, the estimated additional annual salary cost would be $33,213.38, broken down as follows: Two part-time librarians @ $9,247.92 each (total cost = $19,494.84); Two part-time library pages @ $6,858.27 each (total cost = $13,717.54). If, on the other hand, part-time professional staff cannot be recruited, the estimated additional annual salary cost would be $49,463.82, broken down as follows: One librarian @ $43,605.05; One part-time library page @ $6,858.77. The estimated additional annual cleaning service costs, based on the current agreement for cleaning services at the Key Biscayne branch library, would be $4,764.00. Lastly, provision shall be made to allow for cost of living and merit salary increases and contract cleaning costs. B) In the event THE COUNTY either increases or decreases the number of hours of operation for all of the other branches within the County's Library System, THE COUNTY shall similarly increase or decrease the number of hours of operation at the Key Biscayne branch library. Such a change in the system -wide operating hours will not impact the additional, paid -for hours at the Key Biscayne branch library. ARTICLE IV EXPANDED HOURS OF OPERATION The current hours of operation of the Key Biscayne branch library are as follows: Monday 1:00 p.m. — 6:00 p.m.; Tuesday and Wednesday 12:30 p.m. — 9:00 p.m.; Thursday 9:30 a.m. — 6:00 p.m.; Saturday 8:30 p.m. — 5:00 p.m. The increase in operating hours shall result in the Key Biscayne branch library's hours of operation to be as follows: Monday, Thursday, Friday and Saturday 9:30 a.m. — 6:00 p.m.; Tuesday and Wednesday 9:30 a.m. — 9:00 p.m.; and Sunday (from October through May only) 2of5 1:00 p.m. — 5:00 p.m. Thus, a total of 64 additional hours will be added to the Key Biscayne branch library's operating schedule from October through May and 60 additional hours will be added from June through September. ARTICLE V TERM OF THE AGREEMENT The term of this Agreement shall be effective October 1, 1999, and shall continue with automatic annual renewal until terminated as provided herein. Either party may cancel this Agreement by written notice delivered to the other, but such notice must be delivered at least one hundred eighty (180) days prior to October 1St of each year, said cancellation to take effect on October 1St of that year. ARTICLE VI HEADINGS Captions and headings in this Agreement are for ease of reference only and do not constitute a part of this Agreement and shall not affect the meaning or interpretation of any provisions herein. ARTICLE VII AGREEMENT'S EFFECT ON OTHER AGREEMENTS; ENTIRE AGREEMENT This Agreement is supplementary to, and not intended to supersede, any other interlocal agreement entered into by and between THE COUNTY and THE VILLAGE. This writing embodies the entire Agreement and understanding between the parties hereto, and there are no other agreements or understandings, oral or written, with reference to the subject matter hereof that are not merged herein and superseded hereby. 3 of 5 ARTICLE VIII REPRESENTATIONS OF THE COUNTY The County represents that (a) this Agreement has been duly authorized, executed and delivered by the board of County Commissioners as the governing body of the County, and (b) it has the required power and authority to perform this Agreement. ARTICLE IX REPRESENTATIONS OF THE VILLAGE The Village represents that (a) this Agreement has been duly authorized, executed and delivered by the Governing Body of the Village, and (b) it has the required power and authority to perform this Agreement. ARTICLE X AMENDMENT TO THE AGREEMENT This Agreement may be modified, altered or amended only by a written amendment duly executed by the parties. ARTICLE XI COUNTERPARTS This Agreement may be executed in one or more counterpart(s), each of which shall be deemed an original. IN WITNESS WHEREOF, Miami -Dade County, Florida, has caused this Agreement to be executed in its name by the County Manager or his designee, attested by the Clerk of the Board of County Commissioners and has caused the seal of the Board of County Commissioners to be hereto attached; and the Village of Key Biscayne, Florida has caused this Agreement to be 4of5 executed in its name by the Village Manager or his designee, attested by the Clerk of the Village Council and has caused the seal of the Council to be hereto attached, all on the day and year written above. 0 etwx,ANi i$s.��` at.
