A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LYNWOOD
AUTHORIZING THE MAYOR OR DESIGNEE TO EXECUTE, IN A
FORM SATISFACTORY TO THE CITY ATTORNEY, A FIFTH
AMENDMENT TO THE CONSULTING SERVICES WITH TYLER
TECHNOLOGIES - EDEN DIVISION - TO EXTEND ANNUAL
MAINTENANCE AGREEMENT FOR CITY'S FINANCIAL
MANAGEMENT SYSTEM THROUGH FISCAL YEAR 2022-23 WITH AN
OPTION TO RENEW FOR FISCAL YEAR 2023-24
WHEREAS, on July 19, 2006, the City and Consultant entered into an
agreement for the maintenance agreement for the City's financial management
system; and
WHEREAS, the City Council has renewed this service agreement with
Tyler Technologies since Council's authorization to purchase the financial
management system in 2006; and
WHEREAS, on September 15, 2020, Council amended the City's contract
with Tyler Technologies to extend the annual maintenance agreement from
FY2020-21 to FY2021-22; and
WHEREAS, on May 2, 2006, Council authorized the purchase and
maintenance agreement with Eden Tyler Technologies for a comprehensive
financial management system; and
WHEREAS, the annual maintenance agreement provides the City with
technical support for all modules being utilized by the City; and
WHEREAS, staff uses this service regularly for issues that arise in the
daily course of business; and
WHEREAS, without this annual maintenance agreement and access to
professional support services, many business processes such as Core
Financials, Permits, and Utility Billing could be severely impacted without this
valuable resource; and
WHEREAS, the City's financial management system is a critical business
necessity and staff requests Council authorization to amend the contract with
Tyler Technologies — Eden Division — to extend annual maintenance agreement
through Fiscal Year 2022-23 with an option to renew for Fiscal Year 2023-24.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF LYNWOOD
DOES HEREBY RESOLVE AND DETERMINE AS FOLLOWS:

Section 1. The City Council of the City of Lynwood hereby finds and
determines that all of the foregoing recitals are true and correct and are
incorporated herein by reference.
Section 2. The City Council herby authorizes the Mayor or designee to
execute the Fifth Amendment (in a form approved by the City Attorney) with Tyler
Technologies — Eden Division to extend annual maintenance agreement for
City's financial management system through Fiscal Year 2022-23 with an option
to renew for Fiscal Year 2023-24 not to exceed $70,000 for Fiscal Year 22-23
and $70,000 for Fiscal Year 23-24.
Section 3. The term of the Agreement shall expire on June 30, 2023
with an option to renew and extend the date to June 30, 2024.
Section 4. This resolution shall go into effect immediately upon its
adoption.
Section 5. The City Clerk shall certify to the adoption of this resolution
and hereafter the same shall be in full force and effect.
