A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LYNWOOD
AUTHORIZING A SECOND AMENDMENT TO THE MASTER TOWING
AND FRANCHISE AGREEMENT WITH MR. C'S TOWING SOUTH GATE,
INC.
WHEREAS, on June 20, 2017, the City Council authorized the execution of a
Towing and Franchise Agreement ("Master Agreement"); and
WHEREAS, the City of Lynwood and the Operator entered into a three (3) year
Master Agreement for the period August 9, 2017 to August 8, 2020; and
WHEREAS, on November 17, 2020, the City Council authorized a First
Amendment which extended the Master Agreement for two (2) years commencing on
August 9, 2020 and terminating on August 8, 2022.
WHEREAS, the Master Agreement requires the monthly payment of sixteen
percent (16%) of the Operator's gross receipts for each City generated tow and
impound/storage, and a payment of $25 for each authorized release of a City generated
tow and impound/storage to the vehicles legal or registered owner; and
WHEREAS, the City and the Operator wish to extend the term of the Master
Agreement for the allowable two (2) year extension covering the period of August 9, 2022
through August 8, 2024.
NOW, THEREFORE, THE LYNWOOD CITY COUNCIL DOES HEREBY
RESOLVE AND DETERMINE AS FOLLOWS:
Section 1. The City Council of the City of Lynwood hereby finds and declares
that the foregoing recitals are true and correct, and incorporates them herein as findings
and as a substantive part of this Resolution.
Section 2. Section 2 of the Master Agreement entered into on August 9, 2017,
shall be amended to read:
Term of Agreement. The term of this Master Agreement shall be extended
for two (2) years commencing on August 9, 2022 and terminating on August
8, 2024 (he "Termination Date"), unless earlier terminated as provided herein.
Operator shall complete the services within the term of this Master
Agreement.
Section 3. All other terms, conditions, and provisions of the Master Agreement
not in conflict with this Second Amendment, shall remain in full force and effect.
Section 4. The City Clerk shall certify as to the adoption of this Resolution.
