HomeMy Public PortalAbout1999-90 Authorizing to execute the agreement with Coastal Systems International, Inc. re: Village Ocean ParkRESOLUTION NO. 99-90 A RESOLUTION OF THE VILLAGE OF KEY BISCAYNE, FLORIDA; AUTHORIZING THE VILLAGE MANAGER TO EXECUTE THE ATTACHED AGREEMENT WITH COASTAL SYSTEMS INTERNATIONAL, INC., CORAL GABLES, FLORIDA, FOR PROFESSIONAL ENGINEERING SERVICES RELATED TO THE DEPARTMENT OF ENVIRONMENTAL PROTECTION - BUREAU OF BEACHES AND COASTAL SYSTEMS (DEP) PERMIT RELATIVE TO THE PROPOSED OCEAN PARK; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, Village Council, via Resolution 98-20, adopted April 28, 1998, authorized the preparation of schematic documents for the Village Ocean Park; and WHEREAS, Village Council, via Resolution 99-13, adopted February 9, 1999, authorized the final phase of design development for the Village Ocean Park; and WHEREAS, on June 8, 1999 by motion, Village Council authorized the construction of the "Palm Court" and items not required to be permitted by the State of Florida; and WHEREAS, permitting for the remaining project items is required by the State of Florida Department of Environmental Protection (DEP); and WHEREAS, via Resolution 98-41, adopted August 25, 1998, Coastal Systems International, Inc. was selected as a Village Coastal Engineer, signing a contract for General Professional Architectural and Engineering Services on August 26, 1998. NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE OF KEY BISCAYNE, FLORIDA AS FOLLOWS: Section 1. The Village Manager is hereby authorized to execute the attached agreement with Coastal Systems International, Inc., Coral Gables, Florida for professional engineering services related to the Department of Environmental Protection - Bureau of Beaches and Coastal Systems (DEP) permit relative to the proposed Ocean Park. Section 2. The Village Manager is hereby authorized to execute each "Task" separately, partially or completely, as is deemed necessary for this project, at a total cost not to exceed $15,000. RECITALS: The VILLAGE wants to engage the CONSULTANT to perform certain professional services as specifically described in Exhibit A to this Agreement ("Specified Services"). The CONSULTANT wants to provide such Specified Services in connection with Department of Environmental Protection peiniit relative to the proposed Beach Front Park project. In consideration of the mutual covenants set forth in this Agreement, the parties agree as follows: 1. SCOPE OF SERVICES The CONSULTANT agrees to provide Specified Services upon written request from the Village Manager as provided for in this Agreement. 2. FEES FOR SERVICES The CONSULTANT agrees to charge the VILLAGE for Specified Services provided in accordance with Exhibit A not to exceed $15,000 . The CONSULTANT will issue an invoice once a month for the work which has been completed. Said invoices is payable by the VILLAGE within 30 days. The VILLAGE shall pay to the CONSULTANT for the faithful performance of this agreement, in lawful money of the United States of America. 3. TERM The term of this Agreement is 2 year(s) unless earlier teirninated pursuant to paragraph eight. 4. GENERAL TERMS AND CONDITIONS All original sketches, tracings, drawings, computations, details, design calculations, work papers and other documents and plans that result from the CONSULTANT providing Specified Services shall be the property of the VILLAGE. Upon teiiiiination of this agreement or upon request of the Village during the term of this Agreement, any and all such documents shall be delivered to the VILLAGE by the CONSULTANT. 5. INSURANCE The CONSULTANT shall at all times carry liability insurance in the minimum amount of $1,000,000. The Village shall be named as an additional insured on all the liability insurance policies. Each insurance policy shall state that it is not cancelable without written notice to the VILLAGE 30 days prior to the effective date of said cancellation. 6. ASSIGNMENT This Agreement shall not be assignable by the CONSULTANT. 7. PROHIBITION AGAINST CONTINGENT FEES The CONSULTANT warrants that it has not employed or retained any company or person, other than a bona fide employee working solely for the CONSULTANT, to solicit or secure this Agreement, and that it has not paid or agreed to pay any person (s), company, corporation, individual or firm, other than a bona fide employee working solely for the CONSULTANT any fee, commission, percentage, gift, or any other consideration, contingent upon or resulting from the award or making of this Agreement. 8. TERMINATION This Agreement may be terminated by the VILLAGE upon ten days' written notice with or without cause and by the CONSULTANT upon 45 days' written notice with or without cause. If this Agreement is terminated, the CONSULTANT shall be paid in accordance with the provisions of Exhibit A for all acceptable work performed up to the date of termination. 9. NONEXCLUSIVE AGREEMENT The services to be provided by the CONSULTANT pursuant to this Agreement shall be nonexclusive and nothing herein shall preclude the VILLAGE from engaging other firms to perform the same or similar services for the benefit of the VILLAGE within the VILLAGE'S sole and absolute discretion. 10. ENTIRE AGREEMENT The parties hereby agree that this is the entire agreement between the parties. This Agreement cannot be amended or modified without the express written consent of the parties. 11. WARRANTIES OF CONSULTANT The CONSULTANT hereby warrants and represents that at all times during the teiui of this Agreement it shall maintain in good standing all required licenses, certifications and permits required under Federal, State and local laws necessary to perform the Specified Services. " " 12. ATTORNEYS FEES The parties agree that State courts in Miami, Florida shall resolve all disputes or differences arising under this Agreement. The prevailing party in any dispute shall be entitled to recover its reasonable attorney's fees and court costs, including such fees and costs incurred during any appeal of any judgement or order. The parties waive the right to trail by jury. 13. NOTICES All notices and communications to the VILLAGE shall be in writing and shall be deemed to have been properly given if transmitted by registered or certified mail or hand delivery. Samuel Kissinger Village Manager VILLAGE OF KEY BISCAYNE 85 West McIntyre Street Key Biscayne, Florida 33149 135040.03R RE: ENGINEERING SERVICES RELATIVE TO DEPARTMENT OF ENVIRONMENTAL PROTECTION - BUREAU OF BEACHES AND COASTAL SYSTEMS (DEP) PERMIT RELATIVE TO THE PROPOSED VILLAGE OF KEY BISCAYNE BEACH FRONT PARK PROJECT, MIAMI-DADE COUNTY, FLORIDA. Dear Mr. Kissinger: Pursuant to your request, this is to submit a proposal for services relative to DEP permitting for the proposed Village of Key Biscayne Beach Front Park project. The following are proposed terms of agreement for services to be provided by Coastal Systems International (Coastal Systems) for Village of Key Biscayne (Village): PART I - CONCEPTUAL DESIGN AND PRE -APPLICATION MEETINGS Coastal Systems will attend two (2) meetings with the Village and/or architect to review the conceptual design details of the proposed project and provide input as to DEP permit requirements. Coastal Systems will review and evaluate the plans and surveys for the proposed project and advise the Village of the project's compliance with code requirements (Chapter 62B-33 — Florida Administrative Code [F.A.C.]) and policies of the DEP. Coastal Systems will direct the surveyor, as necessary, to ensure that the survey meets DEP requirements. Subsequent to completion of the conceptual design drawings by the architect, Coastal Systems will attend one (1) meeting in Tallahassee with the Village and/or architect to present the conceptual design details and receive DEP input as to the acceptability of specific critical elements of the design. Coastal Systems will prepare a Conference Report for the meeting documenting the discussions and summarizing DEP's acceptance of specific design elements. This report will serve as DEP's conceptual approval and will become the basis for the final design and working drawings. Fees for Part I services are lump sum $2,500.00 PART II - DEP COASTAL CONSTRUCTION CONTROL LINE AND MARINE TURTLE PERMIT APPLICATIONS The Village will provide Coastal Systems with a copy of the Warranty Deed for the subject property, a signed "Certificate of Owner's Authorization", and a DEP permit application fee, to be determined. Samuel Kissinger July 26, 1999 Page No. 2 The Village and/or architect will provide Coastal Systems with three (3) copies of the conceptual design plans, 8-1/2" x 14" sized permit sketches, and three (3) copies of a survey meeting the standard requirements of the DEP. The plans and sketches must be signed and sealed by a registered professional engineer or architect, and the survey by a registered land surveyor. The Village will issue a letter indicating their approval and confirming that the project "does not contravene local setback requirements or zoning or building codes" and "is consistent with the local Comprehensive Plan." Coastal Systems will prepare a permit application for the proposed project. These items will be forwarded to the DEP by Coastal Systems as formal application for a DEP permit. Coastal Systems will prepare and submit a DEP Marine Turtle application with all necessary attachments, as provided by the lighting consultant, landscape architect, and/or architect, and submit it to the DEP-Bureau of Beaches and Coastal Systems (DEP-BB&CES). Specifically, the Village shall provide Coastal Systems with an executed "Certificate of Coastal Construction Control Line (CCCL) Permit Applicant's Authorization", photographs of existing site conditions of the project, an anticipated construction schedule, and three (3) sets of signed and sealed landscape and exterior lighting plans. Fees for Part II services are lump sum $2,500.00 PART III - DEP PERMIT PROCESSING Coastal Systems will confer with DEP staff to advise them of the details of the proposed construction and to identify areas of staff concern. Coastal Systems will make telephone contacts with the DEP to expedite their review and processing of the permit application. Coastal Systems anticipates an additional two (2) meetings in Tallahassee to review conceptual and preliminary plans. Coastal Systems will begin to review available working drawings to ensure their compliance with DEP criteria towards expediting the DEP permit approval. Coastal Systems will confer with the Village and/or architect as to questions, revisions, or additional items that may be required by the DEP. Coastal Systems will represent the project before DEP staff and secure a DEP Permit (Final Order) for the proposed project. Coastal Systems will also make telephone contact with the DEP-BB&CES to expedite their review and processing of the Marine Turtle application. Coastal Systems will confer with the Village, and architect as to questions, revisions, or additional items that may be required by the DEP-BB&CES. Fees for Part III services are lump sum $7,000.00 PART IV - "NOTICE To PROCEED" AND PROJECT ADMINISTRATION Coastal Systems will provide additional services in securing a "Notice to Proceed" with construction. Specifically, Coastal Systems will provide services relative to coordinating and COASTAL SYSTEMS INTERNATIONAL, INC. • Coastal, Environmental, Civil Engineering and Management 135040.03R Mr. C. Samuel Kissinger July 26, 1999 Page No. 3 processing final construction plans and meeting Special Permit Conditions. In addition, Coastal Systems will attend a Pre -Construction Conference with a DEP Representative, as required in the Special Permit Conditions outlined in the Final Order. After initiation of construction, Coastal Systems will provide project administration relative to advising the Village of their responsibilities to meet the conditions of the DEP Permit. Specifically, Coastal Systems will advise the architect, and surveyor as to their responsibilities in preparing the necessary engineering certifications, Foundation Location Certification, Monthly Periodic Progress Reports, and Final Certification Report, as required by the DEP. Fees for Part IV services are lump sum $3,000.00 GENERAL Coastal Systems will invoice the Village monthly on a percent complete basis for Parts I, II, III, and IV services. Expenses will be invoiced separately pursuant to the attached Rate Schedule. The Village shall make payment to Coastal Systems upon receipt of an invoice. Invoices not paid within thirty (30) days and not in dispute shall incur interest at a rate of 1.5 percent per month. The Village agrees to pay any cost of collection including reasonable attorney's fees incurred whether or not a - suit is commenced or an appeal is taken.
