RESOLUTION 2 -2007
A RESOLUTION AUTHORIZING THE GENERAL MANAGER TO APPROVE
TO SIGN A POWER OF ATTORNEY
WHEREAS, The Board of Directors of Richmond Power & Light, on behalf of the city
of Richmond (hereinafter referred to as "Member ") is a municipal
corporation created and existing under the laws of the state of Indiana; and
WHEREAS, Richmond Power and Light ( "RP &L ") and Amcast Industrial Corporation
(now General Aluminum Manufacturing Company ( "General Aluminum "))
entered into a lease agreement, dated August 31, 1992, whereby RP &L
agreed to lease certain real property owned by the City of Richmond to
Amcast for the purpose of allowing Amcast to construct a manufacturing
facility and conduct industrial operations on the property; and
WHEREAS, Amcast previously contacted RP &L and expressed an interest in assigning,
its rights under the lease to General Aluminum; and
WHEREAS, RP &L approved the assignment of Amcast's rights under the lease in
Resolution 4 -2004 on August 16, 2004; and
WHEREAS, according to August 31, 1992 lease agreement, General Aluminum pays the
property taxes for the leased property; and
WHEREAS, General Aluminum needs assistance with their Real and Personal Property
tax documents and the filing of any appeals concerning the real property
tax, requiring it to hire a tax consulting firm; and
WHEREAS, In order to effectuate the hiring of the tax consulting firm on an expedited
basis, if necessary, the General Manager of RP &L should be authorized to
sign a Power of Attorney to allow the tax consulting firm to review and file
property tax documents, including appealing of the real property tax,
provided, that any document authorizing such power is reviewed by the
General Manager and the City Attorney prior to execution.
NOW, THEREFORE BE IT RESOLVED THAT:
1. The General Manager of RP &L is authorized to sign a Power of Attorney allowing
General Aluminum's tax consultant to review and file real property tax documents
on RP &L's behalf provided that such Power of Attorney and documents are
reviewed and approved by the City Attorney prior to execution and further
provided that such Power of Attorney expires at a date agreed to by the General
Manager of RP &L and the City Attorney, but in no event shall such date extend
beyond December 1, 2007.
2. This authorization is set forth in paragraph one (1) above shall expire upon the
earlier of the accomplishment of the General Aluminum's tax consultant's needs
with respect to the real property tax documents or December 1, 2007.
