A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF McCALL, VALLEY
COUNTY, STATE OF IDAHO, PROVIDING FOR FINDINGS AND PURPOSES;
PROVIDING NOTICE BE PUBLISHED FOR THE ELEMENTS XS ASSET MANAGEMENT
SOFTWARE; PROVIDING FOR AUTHORIZATION OF THE MAYOR TO ENTER INTO,
ON BEHALF OF SAID MUNICIPALITY, A CONTRACT BETWEEN THE CITY OF
McCALL AND NOVOTX, LLC; AND PROVIDING AN EFFECTIVE DATE.
BE IT RESOLVED by the City Council of the City of McCall:
WHEREAS, Idaho Code §67-2808(2) provides that the City Council of the City of
McCall may request a sole source expenditure if it declares that there is only one (1) vendor for
the personal property to be acquired; and
WHEREAS, for the purpose of promoting the health, safety, and general welfare of the
City of McCall, software that allows the public works staff to effectively manage the physical
assets of the City's infrastructure including streets, water and sewer facilities; and
WHEREAS, City staff has conducted an extensive review of available asset management
software and has evaluated different software packages from different software developers; and
WHEREAS, software is a copyrighted product and no software exactly matches the
software available from another developer/manufacturer; and
WHEREAS, Novotx, LLC produces Elements XS asset management software which is
compatible with the City's Casselle financial accounting software, and also with the City's GIS
software; and
WHEREAS, Elements XS asset management software is not available from any other
vendor; and
WHEREAS, Public Works staff recommends Elements XS asset management software
as meeting all criteria necessary for use by the City of McCall.
NOW, THEREFORE be it resolved by the Mayor and City Council of the City of
McCall, Valley County, Idaho, as follows:
Section 1. Findings
The McCall City Council finds as follows:
1. The City has need for asset management software in order to assist Public Works
staff in maintenance of existing and future infrastructure.

2. Pursuant to Idaho Code 67-2808(2) there is only one (1) vendor for Elements XS r "'
asset management software.
3. Novotx, LLC is the owner/developer of Elements XS software and holds the
copyright to the same.
4. Elements XS is the asset management software which is best suited to meet the
needs of the City of McCall.
Section 2: Directing the City Clerk.
The City Clerk shall cause a notice of sole source procurement to be published in the
official newspaper of the City.
Section 3: Entering of Contract.
The contract to procure the Elements XS software may be awarded fourteen (14) days
following publication of the notice of sole source procurement, but not before.
Section 4: Effective Date.
This Resolution shall take effect and be in force from and after its passage and approval.
