R. SIMPLOT COMPANY of 999 Main Street, Suite 1300, Boise, ID 83702, hereinafter referred to as "Grantor," and THE CITY OF McCALL, IDAHO, a municipal corporation whose mailing address is P.O. Box 986, McCall, ID 83638-0986, hereinafter referred to as "Grantee." WITNESSETH: WHEREAS, Grantor is the owner in fee simple of real property located in McCall, Idaho more particularly described on Exhibit A attached hereto and, by this reference, incorporated herein as if set forth in full; and WHEREAS, Grantor has agreed, for good and valuable consideration, the receipt of which is hereby acknowledged, to grant unto Grantee a non-exclusive easement through and underneath the property of Grantor along a route described on Exhibit B attached hereto to construct or reconstruct, maintain, inspect, operate, protect, repair, alter or remove an 8" (eight inch) diameter underground sewer pipeline, subject to the use restrictions and Grantee's obligations for repairing any and all damages to Grantor's improvements and other property as set forth herein; and WHEREAS, the easement is subject to all prior easements and encumbrances of record or apparent upon Grantor's property. NOW, THEREFORE, in consideration of the recitals above, which are incorporated below, and for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Grantor, by giving this Easement, and Grantee, by recording this Easement and/or exercising the rights granted herein, agree as follows: 1. Grant of Easement. Grantor hereby grants to Grantee, its successors, and assigns, an easement particularly described as an underground sewer pipeline that shall be used to transport domestic sanitary effluent in such capacity as Grantee shall determine and for no other purpose. Grantee shall not allow storm water to be discharged into the underground sewer pipeline to Grantee's sewage treatment system. The rights granted hereunder do not include any rights to grant others the use of the underground sewer pipeline. Subject to all security protocols of Grantor, , the rights granted hereunder by Grantor to Grantee shall include rights of ingress and egress reasonably necessary for the installation, use, maintenance and repair of Grantee's underground sewer pipeline. Grantee's underground sewer pipeline shall be buried at least seven (7) feet below the existing ground surface. UNDERGROUND SEWER PIPELINE EASEMENT- 1 2. Costs of Construction, Installation, Maintenance & Repair of the Easement. Grantee agrees to remove all rubbish and debris on a daily basis during construction and, once the installation of the sewer pipeline is completed, Grantee shall promptly repave, resurface, or restore, as applicable, the surface of Grantor's property to its pre-construction condition. Grantee shall, and shall cause its contractors to, perform all work in a good and workmanlike manner in accordance with all applicable codes, laws, and regulations. Grantee shall pay, when due, all claims for labor and materials furnished, or alleged to have been furnished to, for or on behalf of Grantee in connection with any work on Grantor's property that may be secured by any mechanic's or materialman's liens against any interest in Grantor's property. Grantee shall promptly cause any liens that do attach to Grantor's property to be discharged or bonded. Grantee shall maintain the underground sewer pipeline in good condition and repair. 3. Insurance Requirements. Grantee shall require its construction contractors to, acquire and maintain comprehensive general liability insurance with a combined single limit of not less than $1,000,000 and aggregate limits of not less than $2,000,000, and maintain workers compensation insurance in compliance with applicable law. Grantee shall, and shall require its construction contractors to, deliver certificates of insurance to Grantor evidencing the insurance required hereby prior to entry onto Grantor's property. 4. Structures on Easement. Grantor may use Grantor's property for any purpose that is consistent with the rights herein granted. Grantor will not erect any permanent structures within the easement route. 5. Relocation of the Underground Sewer Pipeline. Grantor may relocate the underground sewer pipeline, at the expense of Grantor after providing Grantee with not less than 120 days advance written notice, and provided the relocated underground sewer pipeline does conform to reasonable engineering design standards for comparable 8" underground sewer pipelines. The timing of any such relocation shall be scheduled within 120 days following Grantor's written notice to Grantee. In the event Grantor and Grantee cannot arrive at a mutually acceptable schedule for relocating the underground sewer pipeline within 120 days after Grantor provides Grantee with written notice, Grantor may relocate the sewer pipeline regardless of the impacts of the relocation on Grantee. Grantor shall provide the City/Grantee with an appropriate utility easement for the relocated sewer pipeline, prior to construction of the relocated sewer pipeline. 6. Entire Agreement; Indemnification. Grantee shall indemnify and hold Grantor harmless from and against any and all loss, damage, or injury to persons or property which may result from the construction, operation, maintenance, relocation, and use of the sewer pipeline, except to the extent arising from the negligence or willful acts of the Grantor, its agents or employees. 7. Landscaping. Grantee agrees to reimburse Grantor for the cost to repair or, if necessary, replace any improvements, asphalt, paving, portable tankage, temporary structures, fencing, landscaping or any portions thereof that are damaged as a result of Grantee exercising the rights granted hereunder. UNDERGROUND SEWER PIPELINE EASEMENT-2 8. Terms. The rights granted by Grantor to Grantee hereunder shall terminate should Grantee fail to install its underground sewer pipeline on or before August 1, 2014. In the event of a termination in accordance with this paragraph, Grantee hereby authorizes and provides its consent to Grantor to record a termination and release of this easement, whereupon this easement with all rights and privileges shall be fully cancelled and terminated. 9. Remedies. It is understood and agreed that in case suit or action is instituted to enforce or obtain compliance with any of the provisions hereof, then and in either of such events, the prevailing party shall be entitled to receive, in addition to its costs and disbursements, such sums the court may adjudge as reasonable attorney's fees in such suit or action and on the appeal of any such suit or action. 11. Notices. All notices required to be given to each of the parties hereto under the terms of this Agreement shall be given by depositing a copy of such notice in the United States mail, postage prepaid and registered or certified, return receipt requested, to the respective parties hereto at address listed immediately below, or to such other address as may be designated by writing delivered to the other party. All notices given by certified mail shall be deemed completed as of the date of mailing, except as otherwise expressly provided herein: Grantor: J.R.
