HomeMy Public PortalAboutAmendment One to Agreement signed.pdfDOE Grant #DE-EE0000806 / CFDA# 81.128 GEFA Contract ARRA EECBG LocGov2010 135 AMENDMENT ONE TO AGREEMENT BY AND BETWEEN GEORGIA ENVIRONMENTAL FINANCE AUTHORITY AND THE CITY OF TYBEE ISLAND This Amendment One is made and entered into by and between Georgia Environmental Finance Authority (GEFA), whose address is 233 Peachtree Street, Harris Tower, Suite 900, Atlanta, Georgia 30303 and the City of Tybee Island (GEFA and The City of Tybee Island collectively referred to as the "Parties"). This Amendment shall constitute the first amendment to the Contract between the City of Tybee Island and GEFA, which was duly executed and became effective on June 7, 2010. This Amendment shall commence on , , and shall remain in full force and effect through June 30, 2012, the term of the Contract renewal term, unless terminated at an earlier date pursuant to the provisions of the Contract. T The parties agree to the following terms and conditions and expressly agree that if any of the following terms and conditions conflict with any of the terms and conditions of the Contract, then, notwithstanding any term in the Contract, the following terms and conditions govern and control the rights and obligations of the parties. Entirety of Contract. This Amendment One, consisting of six (6) pages, and the Original Contract consisting of fifty (50) pages, represents the entire and integrated Contract between the parties and supersedes all prior negotiations, representations, and agreements, whether written or oral. Term, Consideration, and Method of Payment This Amendment One will increase the consideration by Eighty -Nine -Thousand and Six -Hundred Seventy -Five Dollars and no/ Cents ($89,675) to the contract that GEFA executed with The City of Tybee Island. In consideration of the City of Tybee Island performing the Services, GEFA shall pay The City of Tybee Island a fee of no more than Three -Hundred -Eighty -Six -Thousand and Two - Hundred -Twenty Dollars and no/ Cents ($385,352), subject to the availability of funds from the U.S. Department of Energy. 1 DOE Grant #DE-EE0000806 / CFDA# 81.128 GEFA Contract ARRA EECBG LocGov2010 135 IN WITNESS WHEREOF, GEFA and the City of Tybee Island, through their duly authorized officers and representatives, have signed, sealed, and delivered this Agreement as of the date first above written. Since we are going to be among the first impacted by rising sea levels, Tybee officials, residents, and business owners have a vested interest in reducing carbon emissions by conserving energy and developing renewable energy production systems. In May, 2009, the City of Tybee Island became one of the first in Georgia to accept the Governor's Energy Challenge and pledge to reduce our energy consumption 15% by 2020, and by means of this proposed Efficiency and Renewable Energy Initiative the city hopes to at least double that reduction. The city is also a member of ICLEI (Local Governments for Sustainability) and is partnering with them for technical support. The original EECBG funds Tybee Island received have been spent retrofitting six city buildings and installing the in -ground portion of a geothermal system, and the results are very encouraging. In the first quarter of FY 2012, the six buildings retrofitted under the grant have saved 20,478 kWh and $2109 compared to the 2008 base year. Of these savings 11,718 kWh and $1207 were realized in city hall, a reduction of 26.9% compared to 2008 energy consumption. These numbers should improve as our Green Team gains more buy -in from staff in implementing BMP's in all city buildings. One of the major components of Tybee's energy efficiency strategy is the 40 -ton geothermal system shared by Tybee Island City Hall and the Tybee branch of the Chatham County Library next door. The library's system is fully operational, and a publically-accessible monitoring system has been installed to serve as an outreach tool. The ground loop system, which will serve city hall, is complete, but all funds were expended before the mechanical systems could be switched from air -source to ground -source. The city has planned to make this transition using energy savings per the terms of the original GEFA grant, but if this process can be accelerated with an infusion of remaining stimulus funds, greater energy and cost savings will be realized much sooner, and the resultant cost savings can be directed toward the next phase, which is a solar PV system. The cost of the ground -loop system that will serve city hall was $94,900, and the projected cost of the ground -source heat pumps is $90,200, including the monitoring system, installation, and administration. Based upon the energy auditor's calculation that the building's retrofit cut electricity consumption for lighting by 43%, we anticipate that 80% of the remaining base load is heating and cooling. The geothermal system should cut this by an additional 40%. Extrapolating the 26.9% energy reduction for 2008 we project additional annual savings of 35,163 kWh and $3622, bringing total savings from GEFA grant implementation for city hall alone to 75,597 kWh and $7787. Actual dollar savings will be even greater, since the city's average rate for electricity has risen from $ .103 to $ .133/kWh. Again, we anticipate even greater kWh savings as BMP's are consistently implemented. The contractor has confirmed the attached engineering specifications, costs, and time -line for installation of the equipment and monitoring system. The City of Tybee Island plans to share the energy, cost savings, carbon off -sets, and other benefits of this and the other efficiency measures implemented through the EECBG grant in order to educate residents and business owners about the importance and potential savings they can realize in their homes and businesses by making similar improvements. The monitoring system included in the proposal will be accessible via internet, the city's cable TV channel, and/or a monitor at city hall. Tybee will strive to use 100% Georgia based and US businesses and products where feasible as vendors and partners in this program. The contractor will notify GEFA in writing if it falls behinds schedule. GEFA reserves the right to revoke the contract with 15 days' notice if the contractor fails to show progress.
