CLOSED SESSION MINUTES
HILLSBOROUGH TOWN BOARD
April 10, 2006
7:30 PM, Town Barn
The Town of Hillsborough held a Closed Session on April 10, 2006 in the Hillsborough
Town Barn. Present for the Closed Session were Mayor Tom Stevens, and
Commissioners Frances Dancy, Brian Lowen, Eric Hallman, Michael Gering, and Evelyn
Lloyd. Staff present were Town Manager Eric Peterson, Assistant Town Manager/Public
Works Director Demetric Potts, Planning Director Margaret Hauth, Town
Clerk/Personnel Officer Donna Armbrister, Town Engineer/Utilities Director Kenny
Keel, Town Attorney Bob Hornik, and Police Chief Clarence Birkhead.
Town Attorney Bob Hornik reported on EYC. We are now down to the last two points.
1. The MAHS coordinating with Orange County Department on Aging. Mr. Coleman
does not agree to the requirement that he contract with the Orange County
Department of Aging Services to provide an on-site coordinator. Mr. Coleman
stated that based on conversations he has had with other operators, it seems no
“high end” provider would agree to this provision. Rather, a “high end” assisted
living facility operators have a full time, on-site service coordinator. Also, Mr.
Coleman was concerned that representatives of the Orange County Department
of Aging Services may also work for, for example, Cedars, and, therefore, such
an arrangement would make them privy to confidential information;
Mr. Coleman’s attorney further advised that the MAHS operators he has
spoken with all indicated that they will have on-staff full time
coordinators, and, therefore, the expense of the Orange County contract is
unnecessary and the service would be duplicative.
2.MAHS being required to have a full time operator on site. We had proposed:
(e)The MAHS operator would create and help administer a Resident Council,
one member of which would be a “management liaison” to help ensure or
facilitate communication between residents and management about
concerns/ideas for services, etc.
(e)Mr. Coleman agrees to this provision (creating a “residents council”) in
concept, and noted that something similar to it may already be a requirement for
the operator and/or may already be the operator’s standard procedures.
Mr. Coleman’s attorney and I discussed the possibility that the combined
effect of the periodic independent inspection and the “Residents Council,”
plus disclosure (by filing with the Town) of grievance procedures might

accomplish at least some of what the Board sought via the Orange County
contract – independent “eyes on” the facility.
Town Manager Eric Peterson reported on the Skanska litigation. The amount of
$350,000 has been agreed upon. The Town Board wanted it called Liquidated Damages
which Skanska did not. Peterson reported that since he has been unable to reach Mr.
Rose, he had already authorized the paperwork be sent to Skanska with the Liquidated
Damages. Peterson attempted to contact Mr. Rose unsuccessfully again today.
Upon a motion by Commissioner Hallman, seconded by Commissioner Lowen, the
Board moved to return to Open Session by a vote of 5-0. The motion was declared
passed.
