Shroy, Council- men: The Minutes of the 'fleeting heli on October 14th, 1935, were read and approved. On motion dr.*,ax made by J. H. Turley and Aseconded by L. C. Hollins, the follo',ing Motion was adopted: Those voting in favor of the Motion were: H. 1. Newton, R. D. Shroy, J. H. Turley, L. C. Rollins, and Herbert Howard. Voting against the Motion was: W. E. Plaster. The .".otion heretofore referred to to accept the amended agree.ent of the Rust Engineering Company was duly adopted by the vote as above recorded, as follows: 148 0 THIS AGREMIENTT made this 14th day of October, 1935, by and be- tween The Rust Engineering Company, a corporation chartered under the laws of the State of Delaware, with its general offices in the Clark Building, Pittsburgh, Pennsylvania, and the Town of Leesburg, in Virginia, a corporation; WIT.TJESSETH: That letter of the said The Rust Engineering Company, dated August 24, 1935, and resolution adopted by the Council of the Town of Leesburg in Virginia on September 2, 1935, and a further resolution adopted by the Council of the Town of Lees- burg in Virginia on October 14, 1935, comprise the basis of this agreement; the letter and excerpts from the resolutions being set out as follows: "August 24, 1935. Honorable Mayor & Council Leesburg, Loudoun County VirCir_ia Gentlemen: In compliance with your request, vie are pleased to submit our bids in connection with your proposed SeweraZe System and Disposal Plant at Leesburg, Virginia, as follows: ITMi 1. For preparing preliminary plans and report necessary for making application to the Not to exceed the PML foraloan and grant to do this work, sum of exceed ,u fee would be the cost of the work to us plus SIX PER CEITT (6j). However, all legal services required in connection with Preparing the preliminary plans and report and preparing and making the application to the PWA for this loan and grant, to be furnished by the Town of Leesburg, free of cost to us. However, in case P:7A refuses to mate the 45% grant, or you are unable to make ar- rangements for the 550 loan, or the voters of Leesburg refuse to approve the project, we will expect no payment for the work ' under Item 1. ITEM 2. If and when P17A gives you a 45;; grant and a 55j4 loan, or Jou receive from PS7A the 45 a grant and secure the other 55;�" from a bank, then, for the general engineering covering the project, our fee would be SIX PER CERT (6%). This service would in- clude the preparation of complete plans - 2 - and specifications, securing the approval of the State Board of Health and the PWA Director, securing bids for the cork and all engineering services necessary to supervise the cork, and finally, a com- plete plan of the cork as installed. This SIX PR CENT (60) fee to be computed on the cost of the construction, exclusive of legal fees, land, right of ways, etc. If during the preparation of the final plans and the instal- lation of the work, it becomes necessary, upon authorization by the Council, for the Engineer in charge of the work to make any out of town trips to secure approvals of the State Board or other governing bodies, or to expedite the work, it is understood that such travelling em ense shall be borne by the Town of Leesburg. Our offer under Item 1 is contingent upon being awarded the general engineering in connection with the -�r oject, as covered under Item 2. Of course, no work will be done by us under Item 2 until after the P77A has approved the 45;� grant and you complete arrangements for the 55;71 loan, and after the voters of the Town of Leesburg have approved the project. Cutler" The excerpt from the resolution adopted September 2, 1935, being: "The Rust Engineering Company, a corporation, Washington, D. C., is hereby designated and appointed by the said Council to per- form services in connection with proposed Sewerage System and Disposal Plant at Leesburg, Virginia, which services are to be performed according to the following conditions and terms: (1) If end when the Public Works Administration gives the said Town a 45cp grant and a 551,; loan; or when the Public works Administration gives a 45;:1 grant and a 55;, Of the oust necessary to complete the said work, shall MGM become available by bond issue or otherwise; then the said Town of Leesburg shall be liable to the said I Rust Engineering Company for sir, per cent (o) of the total cost of the Seweralge and Disposal Plant to be provided for the said Town of Leesburg, (if same shall be completed), and the said Rust Engineering Company shall prepare preliminary and complete plans and Il { specifications of the said it oject; make application to the Public Works administration for a loan and grant or grant; secure the approval of the State Board of Health; secure the approval of the Public Works Administration Director; secure bids for the work; furnish all engineering services necessary to super- vise the work; a complete plan of the work as installed; and in addition to the allowance heretofore set out if II it become necessary and proper authorization is given by the Council for the Engineer in charge of the work to make any out of town trips to secure aaprovals of the State Board cr other governing bodies, or to expedite the viork, the said Council shall allow for traveling III expenses" II� The excerpt from the resolution adopted October 14, 1935, being: "Whereas, by resolution formally adopted by the Council IIIff of the Town of Leesburg in Virginia, on September 2, Il I 1935, The Rust Engineering Company, a corporation, Washington, D. C., was designated and appointed by said Council to perform certain services in connection With I Proposed Sewerage System and Disposal Plant at Leesburg, Virginia, pursuant to its proposal as set forth under i Item 2 of the Rust Engineeri Co � mpany s le tter dated l I August 24, 1935, without first authorizing the accept-ance of its proposal as set forth under Item 1 of said �' letter of August 24, 19354 - 4 - NOW THEREFORE BE IT RESOLVED: That the proposal of The Rust Engineering Company set forth under Item 1 of its letter of August 24, 1935, be and the same hereby is accepted on the part of the Town of Leesburg in 0 Virginia, and The Rust Engineering Company be and it hereby is authorized to proceed with the work by it to be performed as set forth under Item 1 of said letter of August 24, 1935." And it being deemed expedient and necessary that an agreement be entered into by and between the aforesaid parties setting forth the duties and the amount for each service to be allowed for en- gineering and for azpervision of the work in connection with the construction of a sever system and a sewage disposal plant. NOW, THEREFORE IDT. CONSIDERI�TION of the sum of Ten Dollars and other valuable consideration it is hereby agreed by and between the aforesaid parties that the Town of Leesburg in Virginia, shall pay to the said Rust Engineering Company for this service as set forth in its proposal dated August 24, 1935, the actual costs incurred in preparing preliminary plans, specifications and making application to the Public 1,7orks Administration, a branch of the United States overnment, plus six per cent (6;') payable as hereinafter provided. And also, for the preparation of the final plans, specifications, engineering service, general supervision and inspection of the in- stallation of the above named projects the sum of Six per cent (6 ) on the contract price, plus Six per cent (60) on any additions to the contract price, payable as hereinafter provided and divided as follows: Four Per Cent (4i4o) for the preparation of final plans and specifications and Tv,o Per Cent (e) for the field engineering, general supervision and inspection. - J - It is further agreed and understood that The Rust Engineering Company is authorized to let contracts for the said projects subjact to the approval of the qualified members of the Council for the Town of Leesburg, in Virginia, and the said The Rust Engineering Company is hereby authorized to act solely for the Town of Leesburg, in Virginia as regards relations between the contractor or contractors and the Town of Leesburg in Virginia. And it is further agreed and. 1_nderstooi: that the Rust Engineer- ing Company are to make field surveys and establish grades for the contractor and do all the field engineering necessary in comm ction with these projects; and shall furnish general inspection and super- vision of the ucrk, in an engineering capacity, as it is installed, and the said The Rust EngineerinC; Company shall make firial inspection of the projects upon their completion and shall accept the work for the To7in of Leesburg in Virginia upon its completion in accordmee with the plans and specifications. It is further agreed and understood that the Town of Leesburg in VirCinia, shall furnish such inspector and inspectors, at its expense, as ray be required by the Public Works Administration, a branch of the United States Government, and such inspector or in- spectors shall be under the immediate supervision of The Rust Engineering Company and the said inspector or inspectors shall re- port any objectionable or unsatisfactory work to the said The °ust Engineering; Company and shall in no evert take up any official business with the contractor or contractors without the written instruction of The Rust Engineering Company. And it is further agreed and understood that the Town of Leesburg in Virginia, after and when the contract is let; the Fant is received from the Public Forks Administration, a branch of the United States Government, and the sale of the bonds has been oon- summated, that the said Town of Leesburg in Virginia, shall pay to the said The P.ust Engineering Company as follows: 15- - 6 10 (1) For preparing preliminary plans and costs incurred in the preparation and Presenting for approval to the State Board of Health and Public ;forks Administration, a branch of the United States Government, the tovm. of Leesburg, in Virginia shall pay The Rust Engineering Company for their services the actual costs in - not to exceed the sum of 4500. curred.plus Six Per Cent (6'�o) of the tote! costs incurred; and, the total costs incurred shall be allowed in accordance with a state- ment prepared and submitted by The Rust Engineering Company, payable at the time when a contractor's bid is legally, regularly and duly accepted for the projects. The cost of the work (under Item I of The Rust Engineering Company's proposal dated August 24, 1935) shall consist of all costs necessarily incurred by it for the Tr oper performance of the cork and shall include the following items, for which costs The Rust Engineering Company shall be reimbursed by the Town of Leesburg in Virginia: (a) Salaries of The Rust Engineering, Company's engineers, draftsmen and other employees while emgaged in the work. (b) The transportation, traveling and hotel expenses of The Rust Engineering Company's officers or employees incurred in discharge of duties connected with the work. (c) Minor expenses, such as telegrams, telephone service, and similar petty cash items. (d) Materials and supplies required for the proper execution of the work. The cost of the work and reimbursement of The Rust Engineering Company shall not include any of the following: (a)-. Salary of any person employed during the execution of the work in the main office of the Rust Engineering Company, except as may be herein otherwise provided- (b) rovided.(b) Overhead or general expenses of any kind, except as may be herein otherwise provided. (2) And it is further agreed and understood that the Torn of Leesburg in Virginia after and when the bond issue has been submitted to the qualified voters of the Town of Leesburg in Virginia, and a majority of the said qualified voters have voted in favor of the said bond issue at a duly called and authorized election favoring the construction of a seder system and sewage disposal plant, shall pay To The Rust Engineering Company the sum of Six Per Cent (6,L) on the bid which is legally, regularly and duly accepted for these Trojects plus additions thereto or deductions therefrom. The said payments for these services shall be _:ade within ten (10) days after the approved monthly estimate of the con- tractor, (approved by the Public ;forks Administration, a branch of the United States Government) said monthly payments s"all be based upon Six Per Cent (6;;) of such contractor's approved es- timate; that the said Town of Leesburg, in Virginia, withholding Ten Per Cent (10�) of the total amount due the said The Rust Engineering Company for all services and charges until final acceptance and approval of the projects has been made for the Town of Leesburg, in Virginia, after which approval all sums payable to The Rust Engineering Company, due and payable, shall be remitted within thirty days from the final acceptance. And it is further agreed and understood that the Torr_ of Leesburg in Virginia shall not be liable to The Rust Engineering Comlany in any amount whatsoever, until and unless: (1) The majority of the qualified voters of the Town of Leesburg, in Virginia, shall at a legal election vote in favor Of bonding the said torn for the projects hereinbefore set out; (2) The bond issue authorized at said election shall be sold; (3) Contract shall be let for said projects. -8 - And this agreement is to supersede and re_rlace all prior and existing agreements heretofore entered into by and between the parties hereto.
