WAIVER OF NOTICE
r
OF
SPECIAL MEETING
June 10 , 1968
We , the undersigned , being members of the Town Coun-
cil of the Town of Leesburg , in Virginia , do severally
waiver all Statutory and Charter requirements as to
notice of time , place and purpose of a Special Meeting
of the Town Council and consent that the meeting shall
be held in the Council Chambers of the Town Council at
11: 30 A.M. , D.S.T. Monday, June 10, 1968, for the pur-
pose of considering the execution of contract between
the Limbach Company and the Town of Leesburg , and ap-
proval of performance bond covering Contract S-SL,
Tuscorora Creek Interceptor Sewer , and any such other
business as may come before said Council .

MINUTES OF SPECIAL MEETING OF LEESBURG TOWN COUNCIL, JUNE 10 , 1968.
A Special Meeting of the Leesburg Town Council was held in the
- Council Chambers on June 10 , 1968 at 11 :30 A .M. , pursuant to Waiver of
Notice attached hereto. Those present were Mayor Kenneth' B. Rollins ,
Councilmen C. Maloy Fishback, G . Dewey Hill , Frederick R . Howard , Wal-
ter F. Murray and John W. Pumphrey ; also Town Manager James W. Ritter,
Jr . Absent from the meeting was Councilman Robert A . Orr .
On motion of Councilman Murray , seconded by Councilman Hill , the fol-
lowing resolution was unanimously adopted:
BE IT RESOLVED by the Town Council of the Town of Leesburg , that
the Mayor be authorized to sign the following contract between Lim
bach Company, Inc . and the Town of Leesburg , covering Contract
S-II , Tuscarora Creek Interceptor Sewer , and
• BE IT FURTHER RESOLVED, that the following Performance Bond and
Power of Attorney be approved , such Bond and Power of Attorney
having been reviewed and approved by the Town Attorney , and
BE IT FURTHER RESOLVED , that the attached Certificate of Insur-
ance be accepted as representing the contractor' s liability for
coverage on• the above contract , such insurance to be approved
upon receipt of information from the Town of Leesburg ' s insur-
ance carrier certifying that the coverage shown thereon fully
meets the contractor ' s obligations on this contract , and
BE IT FURTHER RESOLVED , that the six (6) counterparts of the
construction contract fully executed , together with a copy of
the contractor ' s proposal , and also six ( 6) copies of the Per-
formance Bond and Power of Attorney be resubmitted to Johnson
and Williams for proper dating and distribution , and
BE IT FURTHER RESOLVED, that , at the time the contractor ' s fully
executed counterpart of the contracte;is forwarded to him, he
will be notified to proceed with the work under- this- contract .
CONSTRUCTION CONTRACT
This contract , made this tenth day of June in the year 1968 ,
by and between Limbach Company , Inc . , hereinafter called the Con-
• tractor , and Town of Leesburg , Virginia , hereinafter called the
Owner .
• Witnesseth: That the Contractor and the Owner for the here-
inafter named consideration , do agree as follows :
The Contractor shall furnish all of the materials and per-
form all of the work called for by specifications and plans , which
specifications and plans are as fully a part hereof as if hereto
attached , and described in the following enumerated specifications:
Specifications
Town of Leesburg , Virginia
Sanitary Sewerage Facilities Extension
Tuscarora Creek Interceptor Sewer
Contract S-II
(Utilizing bid listed in Construction Proposal as (A ) Using con-
crete sewer pipe)
The Advertisement for Bids , Information for Bidders , the ac-
cepted Proposal , General Conditions , Performance Bond and the
above Specifications and plans are hereby made a part of this
Contract to the same extent as if incorporated hereto in full .
The Contractor shall commence the work to be performed under
this contract on a date to be specified in a written order of the
Owner and shall fully complete all work hereunder within 240 days
(consecutive calendar days) from and including said date .

The Contractor is to keep in repair for 12 months after •
date of final acceptance for entire work embraced in this con-
tract , and is to replace any defective work, and upon his fail-
ure to do so, such repairs-may be made and such defective work
replaced by the Owner at the cost of the Contractor who agrees
to pay for same .
The Owner shall pay the Contractor for the performance of the
contract , subject to additions and deductions provided in the :-
specifications or proposals , in current funds as follows:
On or before the 14th day of each calendar month , the
Owner will make partial payment to the Contractor as
set forth in the specifications .
Thirty days (30) after approval of the Contractors Final
Estimate by the Owner , the Owner shall pay the Contractor
the final ten percent of the contract provided all claims
have been fully satisfied or secured as provided in the
Project Specifications .

N Before -final payment shall be made , the Contractor shall sub-
N mit evidence satisfactory to the Owner that all payrolls , ma-
t=
terial bills , and other indebtedness connected with the work have
been paid .
During the performance of this contract , the contractor agrees
as follows:
( 1) The contractor will not discriminate against any employee
or applicant for employment because of race , creed , color ,
or national origin . The contractor wicll take affirmative
action to ensure that applicants are employed , and that
employees are treated during employment , without regard
to their race , creed , color , or national origin . Such ac-
tion shall include , but not be limited , to the following :
employment , upgrading , demotion or transfer ; recruitment
or recruitment advertising , layoff or termination ; rates
of pay or other forms of compensation ; and selection for
training, including apprenticeship. The contractor agrees
to post in conspicuous places , available to employees and
applicants for employment , notices to be provided by the
contracting officer setting forth the provisions of this
non-discrimination clause .
(2) The contractor will , in all solicitations or advertise-
ments for employees placed by or on behalf of the con-
tractor , state that all qualified applicants will receive
consideration for employment without regard to race , creed ,
color, or national origin .
( 3) The contractor will send to each labor union or representative
of workers with which he has a collective bargaining agree-
ment or other contract or understanding, a notice , to be pro •
-
vided by the agency contracting officer , advising the labor
union or workers ' representative of the contractor ' s com-
mitments under Section 202 of Executive Order No . 11246 of
September 24 , 1965 ,. and shall post copies of the notice in
conspicuous places available to employees and applicants for
employment .
(4) The contractor will comply with all provisions of Executive
Order No . 11246 of September 24, 1965 , and of the rules ,
regulations , and relevant orders of the Secretary of Labor.
( 5) The contractor will furnish all information and reports re-
quired by Executive Order No. 11246 of September 24, 1965,
and by the rules , regulations , and orders of the Secretary
of Labor , or pursuant thereto, and will permit access to his
books , records , and accounts by the United States Department
of the Interior and the Secretary of Labor for' purposes of
investigation to ascertain compliance with such rules , regu- N
lations , and orders.

' ( 6) In the event of the contractor's noncompliance with the
non-discrimination clauses of this contract or with any
of such rules , regulations , and orders , this contract may
be cancelled , terminated , or suspended in whole or in part
and the contractor may be declared ineligible for further
Government contracts in accordance with procedures author-
ized in Executive Order No. 11246 of September 24, 1965,
and such other sanctions may be imposed and remedies in-
voked as provided in the Executive Order No . 11246 of Sep-
tember 24 , 1965 , or by rule , regulation , or order of the
Secretary of Labor or as otherwise provided by Law.
(7) The contractor will include the provisions of paragraphs
( 1) through ( 7) in every subcontract or purchase order un-
less exempted by rules , regulations , or orders of the Sec-
retary of Labor issued pursuant to Section 204 of Executive
Order No. 11246 of September 24 , 1965, so that such provi-
sions will be binding upon each subcontractor or vendor .
The contractor will take such action with respect to any
subcontract or purchase order as the United States Depart-
ment of the Interior may direct as a means of enforcing
such provisions , including sanctions for noncompliance:
Provided , however , That in the event the contractor be-
comes involved in , or is threatened with , litigation with
a subcontractor or vendor as a. result of such direction
by the contracting agency , the contractor may request the
United States to enter into such litigation to protect the
interests of the United States .
IN WITNESS WHEREOF the parties have executed the contract the
day and year first above written in six counterparts , each of
which shall , without proof of the accounting for any other counter-
part , be deemed an original contract .

PERFORMANCE BOND
KNOW ALL MEN BY THESE PRESENTS : That we Limbach Company ,
Inc . , Contractors , Springfield , Virginia , as Principal , and
INSURANCE COMPANY OF NORTH AMERICA as Surety , are jointly and
severally held and bound unto Town of Leesburg , Virginia , Owner ,
in the amount of three hundred sixty-seven thousand three hundred
seven and 75/100 Dollars , ($367};307`. 75) ,•; for -the payment of which
we jointly and severally bind ourselves , our heirs , executors ,
administrators and assigns , and successors and assigns , firmly
by these presents .

THE CONDITION"4OF THIS BOND IS SUCH that , whereas , the said
Principal has made and entered into a certain contract dated
June 10, 1968, with the Town of Leesburg , Virginia , Owner , for
constructing Sanitary Sewerage Facilities Extension , Tuscarora

Creek Interceptor Sewer , Contract S-II , using concrete sewer pipe
in accordance with drawings and specifications prepared by John-
son and Williams , Consulting Engineers , which contract together
with the plans , specifications , general provisions , and special
provisions, is hereby made a part hereof , whereby the said Prin-
cipal agrees to furnish certain materials , to perform certain'
work, to assume certain obligations and to do certain other
things , all of which things he agrees to do in accordance with
•
the certain terms , conditions , requirements and specifications
set out in said contract , and
WHEREAS , the said Surety hereby waives notice of any exten-
sion of time , alteration or addition to the terms of the contract
or to the work to be performed thereunder or the specifications
accompanying the same made by the Owner.
NOW, THEREFORE , if the Principal herein shall faithfully and
truly observe and comply with the terms , conditions , and provi-
sions of the said contract , in all respects , and shall well and
truly do and perform all matters and things by him undertaken to
,� be performed under said contract , upon the terms proposed therein ,
and within the time prescribed therein , or as extended as pro-
Cg vided in the general provisions ; and shall indemnify and save
(,7 harmless the Owner and Engineer, and their agents , against any
V direct or indirect damages that shall be suffered or claimed , or
injuries to persons or property during the construction of said
work, and until the same is accepted ; and shall promptly pay all
laborers , mechanics , subcontractors , and material men , and all
persons who shall sup; ly such laborers , mechanics or subcon-
tractors with material , supplies , or provisions for carrying on
such work , and all just debts , dues and demands incuired in the
performance of such work ; and shall pay said Owner such liquidated
damages as may accrue to said Owner under said contract ; and shall
in all respects faithfully perform said contract according to law,
then his obligation is to be void , otherwise to remain in full
force and effect .
Any suit under this bond must be instituted before the expira-
tion of one ( 1) year from the date bn which final payment under
the contract falls due .

AMERICA, a corporation of the Commonwealth of Pennsylvania, having its principal office in the
City of Philadelphia, Pennsylvania, pursuant to the following Resolution, which was adopted by the
Board of Dircctora of the said Company on dune 9, 1953, to wit:
'RESOLVED, pursuant to Articles 3.6 and 5.1 of the By-Laws, that the following Rules shall govern the execution
for the Company of bonds, undertakings, recognisances, contracts and other writings in the nature thereof:
(1) "Such writings shall be signed by the President, a Vire President, an Assistant Vice President, a Resident Vice
Per:tdaat or an Attorney-in-Fact.
(8) "UM= signed by an Attorney-in-Fact such writings shall have the seal of the Company affixed thereto, duly
stunted by the Soerowry, an Assistant Secretary or a Resident Assistant Secretary. When such writings are signed byan
Attorney-hi-Fact, hi shall either affix an Impreoaion of the Company's seal or use some other generally accepted metod
of indicating use of a seal (as by writing the word "Seal" or the letters "L.S." after his signature).
(3) "Resident Vice Presidents, Resident Assistant Secretaries and Attorneys,in-Fact may be appointed by the President
or any Vies President, with such limits on their authority to bind the Company as the appointing officer may zee fit to
impose.
(4) "Such Resident Officers and Attorneys-in-Fact shall have authority to act as aforesaid, whether or not the President,
the Secretary, or both, be absent or incapacitated; and shall also have authority to certify or verify copies of this Resolu-
tion, the By-Laws-of the Company, and any affidavit or record of the Company necessary to the diecharge of their duties.
(6) "Any such writing executed in accordance with these Rules shall be as binding upon the Company in any case an •
though signed by the President and attested by the Secretary."

and as its act and deed any and all bonds and undertakings in its business of guaranteeing the fidelity

insurance policies, and executing and guaranteeing bonds or other undertakings, required or permitted
in all actions or proceedingn or by law required or permitted.
All ouch bonds and undertakings as aforesaid to be signed for the Company and the Seal
of tho Company attached thereto by the said Donald G. Smith, individually.
And the execution of ouch bonds or undertaking° in pursuance of these presents, shall be as binding
upon said Company, an fully and amply, to all intents and purposes, as if they had been duly executed
and acknowledged by the regularly elected officers of the Company at its office in Philadelphia, Coa
monwealth of Pennsylvania, in their own proper persona.
