Rafael Conte, Mayor Village of Key Biscayne 85 West McIntyre Street Key Biscayne, Florida 33149 Dear Mayor Conte: Please find enclosed a fully executed copy of the Interlocal Agreement Film Permitting between Metropolitan Dade County and the Village of Key Biscayne. I will be calling you to arrange for a small ceremony with your village officials recognizing the merger. At that time, my staff and I would be available to tour the community and arrange for appropriate file photos and video reports. Thank you for your cooperation. I rrERLocAL AGE FILM PERMITTING TBIs AGRrIlmx T, mad. , and entered into this 2641/ day of ALA-- 194 by and between METROPOLITAN DADE COUNTY, R nA ("County") and the VILLAGE 0P KEY BISCAYNE ("village"). WITNESSETH; WHEREAS, the Board of County Commissioners passed Ordinance 90-50, in order to effect a ono stop permitting process within the Miami -Dade Film Office ("Film Office") and WHEREAS, the ordinance allows for the County to enter into interlocal agreements with the various municipalities within Dada County in order for the Miami -Dads Film Office; to permit for use of municipal property and services; and WHEREAS, the village of Key Biscayne has expressed willingness to enter into agreement with Metro -Dada County to perform this function on their behalf; NOW THEREFORE, for and in consideration of the terms, conditions and covenants uuiitained herein, the parties hereto agree as follows: 1. Purpose: The village hereby its Film Coordination M=ice, still photography production utilize Village facilities and Village. 2. Term: The Village through its Film office,, one year, commencing tan of this agreement by,both authorizes the County, through to lusue permits to film and companies allowing them to services se authorized by the grants authorization to the County, to issue permits for the period of (10) days from the date of approval parties. 3. Option to Renew: The Village may, upon written notice to the county, thirty (30) days prior to the expiration of this agreement, renew this agreement for a period of three years. 4. Cancellation: This agreement may be cancelled by either party by providing written notice of intention to terminate, with 30 days prior notice, with or without cause. Any permits which may have been issuic prior to termination, but covering dates after the termination data will be honored. 5. Liaison: The Village will appoint a representative to act as liaison to the Film office, and who will coordinate Village facilities and services, and who shall have the authority to authorize the issuance of permits by thA county on behalf of the Village. 5. Advance (otice: The County agrees ter provide notice to the village of requests for Village facilities or services within one working day of receipt of the roquant from a production company for such service. The Village retains the right to deny issuance of a permit baood on insuffieiant advance notice. 7. Insurance: The County, through it's Film Office agrees to obtain from any production company issued a permit for the Village, an insuranc:a certificate, naming the Village as additionally insured, in the amount of one million dollars ($1,000,000)) for filar production and three hundred thou and dollars ($300,000) for still photography, providing for general liability. In the event that the County fails to verify required insurance, and the Village has not waived said requirement, the County shall assume liability QS per limits established by Florida statute 768.28. 8. Refusal: The Village maintains the right to reject any permit application if the production wurk will create a public nuisance or disrupt service to the public. 9. Non Exclusive Rights: The Village retains the right to issue authorization to any production company directly and without notice to the Film Office. 10. Priority Service Consideration: The County agrees that the Village services will be given first right to provide support service to production companies which are utilizing Village property. In the event the Village is unable to provide su h service, the Film Office is authorized to provide service through resources available. 11. Guidelines: The Village agrees to provide in writing, Ouidolinse; to govern the issuance of permits issued on the Villages behalf. Those Guidelines are subject to revision at any time, subject to ten (10) days written notice to the Film Office. All Guidelines must conform to law. 12. Facilities: The Village agrees to provide in writing, a schedule ul facilities, ocrvices and assnci.ated fees and required deposits, which they wish to make available for use. Furtnsr, the Ccw.4ity agrees to forward any rariuests for special facilities which the Village may own and may be requested by a production company. 13. Collections: Trig Village agreea that they will bet responsible for the billing and collection of any fees or charges assessed to a productiurc company for uca of facilities and/or services and the County will in no way be liable for such charges, if unpaid. The Village shall authorize the County to collect deposits for use of facilities as set forth in the schedule of facilities. The County to verify payment of deposits and remit to the village within 10 days of receipt. 14. Hold Harmless: ThR village agrees that they will hold the County harmless, and that the county 'will be in no way liable for any damages caurw«d by -a production company permitted to film in the Village, with the appropriate authorization of the Village's Liaison. 15. Any permitted production company aejreem that it will hold the Village of Key Biscayne harmless, and that tha Village of Key Bicoayna will be in no way liable for any dAmAgAse caused by a production company permitted to film in the Village of Key Discayne. 10. Cooperative Marketing: The County agroos to include the Village in any cooperative marketing material which may be iatsuud from the Film Office, and the terms of eoetc will be determined at the time of production. Facility Photo File: The Village agrees to provide the County with photographs of available areas or facilities which the Village wishes to promote for these of film production and the county agrees to make this material available to production companies, in an effort to market the Village, County and South Florida to the film industry. 18.
