THIS ADDENDUM is made and entered into this 19th day of _December,
2008, by and between Richmond, Indiana, a municipal corporation acting through its
Sanitary District with its office at 50 North 5th Street, Richmond, Indiana, (hereinafter
referred to as "City"), and Symbiont., 3850 Priority Way South Drive, Suite 110,
Indianapolis, Indiana 46240, formerly known as Triad Engineering, Inc. (hereinafter
referred to as "Contractor").
WHEREAS, City and Contractor entered into an Agreement numbered
136-2004 and two subsequent addenda to said Agreement; and
WHEREAS, City wishes to retain Contractor to provide certain
additional services ancillary to those within the scope of said Agreements; and
NOW, THEREFORE, in consideration of the mutual promises and covenants
herein contained, including the above stated recitals, City and Contractor hereby agree as
follows:
Contractor shall perform certain engineering services in connection with
the evaluation, design, specification and bidding of an alternative solution
in lieu of a manufactured screen for CSO diversion structure 006. Such
services shall be performed in a manner consistent with its proposal dated
November 21, 2007, which is hereby incorporated by reference, made a
part hereof and marked as Exhibit "A", consisting of four (4) pages.
Contractor shall provide all engineering and professional services
described on Exhibit "A."
2. Contractor shall be paid a sum not to exceed Five Thousand Dollars and
No Cents ($5,000.00) for all services described on Exhibit "A".
3. City and Contractor expressly agree that all other terms, conditions and
covenants contained in Contract number 136-2004, shall be applicable to
the work performed pursuant to this Addendum, unless such term,
condition or covenant conflicts with this Addendum, in which case this
Addendum shall be controlling.

IN WITNESS WHEREOF, the parties execute this Agreement effective the day and year
first above written, although signatures may be affixed at different times.
