A special meeting of the Leesburg Town Council was held on Tuesday, August 3, 1999,
following the Administration and Public Works Committee meeting, in the second floor
Councilmember's meeting room, 25 West Market Street, Leesburg, Virginia. Notice having been
delivered to all members of the Leesburg Town Council prior thereto. The purpose of the
meeting was to discuss personnel issues regarding the position of Town Manager. The meeting
was called to order by Mayor Clem.

MOTION: On motion of Buttery, seconded by McDonald, the following motion was made:
Pursuant to Section 2.1-344 of the 1950 Code of Virginia, as amended, I move that the
Leesburg Town Council convene in a closed meeting. The authority for this closed meeting is
found in Section 2.1-344 (a), Subsection (1) of the 1950 Code of Virginia, as amended. The
purpose of this closed meeting is to discuss personnel issues regarding the position of Town
Manager.

Absent from the vote: Jackson, Zoldos
MOTION: On motion of Webb, seconded by Zoldos, the following motion was made:
I move that the closed meeting be adjourned, that the Leesburg Town Council reconvene its
public meeting and that the minutes of the public meeting reflect that no formal action was taken in
the closed meeting.

MOTION: On motion of Webb, seconded by Zoldos, the following resolution was proposed and
adopted:
99-237 - RESOLUTION - A RESOLUTION: CERTIFYING THE CLOSED MEETING OF
AUGUST 3, 1999
WHEREAS, the Town Council of the Town of Leesburg, Virginia, has this day convened
in a closed meeting in accordance with an affirmative recorded vote of the Leesburg Town Council
and in accordance with the provisions of the Virginia Freedom of Information Act:
NOW, THEREFORE, BE 1T RESOLVED that the Leesburg Town Council does hereby
certify that to the best of each member's knowledge, 1) only public business matters lawfully
exempted from open meeting requirements under the Freedom of Information Act were discussed in
the closed meeting to which this certification applies; and 2) only such public business matters as
were identified in the Motion by which the said closed meeting was convened were heard,
discussed or considered by the Leesburg Town Council.

MOTION: On motion of, seconded by, the following resolution was proposed and adopted:
99-238 - RESOLUTION - REAFFIRMING SUPPORT FOR THE COUNCIL-MANAGER
FORM OF GOVERNMENT AND AUTHORIZING THE EMPLOYMENT CONTRACT
BETWEEN THE TOWN OF LEESBURG AND ROBERT S. NOE, JR.
RESOLVED, by the Council of the town of Leesburg in Virginia as follows:
SECTION I. The Council-Manager form of government established by the Charter for
the Town of Leesburg is hereby reaffirmed.
SECTION II. The Mayor of the Town of Leesburg is hereby authorized to execute an
employment contract on behalf of the Leesburg Town Council with Robert S. Noe, Jr., to serve as
Town Manager for the Town of Leesburg.
SECTION III. The necessary appropriation of funds is authorized to be made from the
Unappropriated General Fund Balance.
