THIS ADDENDUM is made and entered into this _28th day of
March , 2008, by and between the City of Richmond, Indiana, a municipal
corporation acting through its Board of Public Works & Safety, with its office at 50
North 5th Street, Richmond, Indiana, (hereinafter referred to as "City"), and JP Morgan
Chase Bank, N.A., 1 East Ohio Street, Suite IN1-0045, Indianapolis, Indiana 46277-0045
(hereinafter referred to as "Contractor")
WHEREAS, City and Contractor entered into an Agreement numbered
16-2006, and an Addendum No. 1 to Agreement No. 16-2006, both dated March 1, 2006;
and
WHEREAS, City wishes to retain Contractor to provide those services
within the scope of Agreement number 16-2006 and Addendum No. 1 to Agreement No.
16-2006 for an additional (third) year upon the same terms and conditions, including all
attached and incorporated Exhibits in said Agreement and Addendum, as proposed by
Contractor in its response dated January 12, 2006, to City's Request for Proposals dated
December 1, 2005 ; and
NOW, THEREFORE, in consideration of the mutual promises and covenants
herein contained, including the above stated recitals, City and Contractor hereby agree as
follows:
1. Contractor shall perform certain banking services as delineated in
Agreement No. 16-2006 and Addendum No. 1 thereto, for an additional
term of one (1) year ending February 28, 2009.
2. City shall pay Contractor the rates indicated on "Exhibit A" to Agreement
No. 16-2006 for such additional term.
Addendum No. 2 to Contract No. 16-2006
3. City and Contractor expressly agree that all other terms, conditions and
covenants contained in Agreement Number 16-2006 and Addendum No. 1
to Agreement No. 16-2006 shall be applicable to the work performed
pursuant to this Addendum, unless such term, condition or covenant
conflicts with this Addendum, in which case this Addendum shall be
controlling.
IN WITNESS WHEREOF, the parties execute this Agreement effective the day and year
first above written, although signatures may be affixed at different times.
