LOUIS SEWER DISTRICT September 10, 2020 The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members M.E. Yates, Chair B.L. Hoelscher, Executive Director R. Wilson T.R. Snoke, Secretary-Treasurer J. Singer (online) S.M. Myers, General Counsel M. Evans M. M. Gee, Director of Finance A. Fehr R. Unverferth, Director of Engineering Also present were: Trustee Yates called the closed session to order at 4:00p.m. Roll call was made, and all were present with Trustee Singer online. Motion was made by Trustee Fehr and seconded by Trustee Wilson to go into closed session. At 5:17p.m. Trustee Yates motioned to go into open session. Trustee Yates then asked for the approval of the August 13, 2020 (1635th) Journal of proceeding minutes. The Journal was approved by Trustee Fehr and seconded by Trustee Singer. Comments by Board Chair: None ~ ~ ~ ~ ~ Report of Board Committees: AUDIT COMMITTEE Trustee Fehr reported that The Audit Committee met at 7:30 AM on Tuesday, September 1, 2020. In attendance were Trustees Fehr, Evans, Singer, Wilson, and Yates. The Chairman had no introductory comments. The Committee approved the minutes from the August 4th meeting. Next Internal Audit presented a report for an audit engagement that consisted of attack and penetration tests of District-managed network systems, which include internal networks, external networks, and external websites. All systems facing the internet were included in the engagement scope. The attacks were designed to simulate the techniques of real-world cyber attackers. The engagement received three separate opinions: Unsatisfactory, Satisfactory, and Generally Satisfactory for the External testing, the External Re-Testing, and the Internal Testing, respectively. The report contained nine Opportunities for Improvement, which were presented to and discussed with the Committee. The attack and penetration testing procedures were performed during parts of April, May, and June of 2020. During the presentation, questions were discussed and addressed as they were received from the Committee. The meeting adjourned at approximately 8:00 am. The next meeting is tentatively scheduled for Tuesday, September 29, 2020. This concludes the Audit Committee Report. The minutes of the August 4, 2020 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ordinance No. 15496 – Lemay Pump Station Sluice Gate Replacement – Staff discussed this unplanned supplemental appropriation to an existing project being constructed by KCI Construction. The funding is needed to provide an additional $350,000 for repair costs for damage caused during the January 18, 2020 rain event and power outage. Expedited repairs were needed to keep the pump station and treatment plant in regulatory compliance. Ordinance Nos. 15497 and 15498 – Staff provided details of two CSO Volume Reduction Green Infrastructure Grants being awarded to reduce combined sewer overflows to the Mississippi River and River Des Peres per the Consent Decree. Staff provided details of the grants being awarded to Preservation Square and Good Shepherd Infant and Toddler Center for the construction of volume reducing bioretention basins and pervious pavement on the properties. Ordinance Nos. 15503 and 15504 – Easement Condemnation Requests – Staff gave an update on the status of the easement acquisitions on 10 parcels of ground on two separate projects. Staff continues to coordinate with the property owners, but requests approval to move forward with condemnation in order to keep these two Consent Decree projects on schedule. Staff then presented details on six Engineering Design Service Contracts. All contracts provide Engineering Design or Construction Management Services required for delivery of the consent decree program. One additional General Services contract for Water Quality Support provides staff with supplementary services in addressing regulatory and environmental issues. The next Committee meeting is tentatively scheduled for September 29, 2020. The meeting was adjourned at 8:32 a.m. FINANCE COMMITTEE Trustee Fehr reported that The Finance Committee met on September 1, 2020 with Trustees Fehr, Yates, Wilson, Evans, and Singer in attendance. The minutes from the August 4, 2020 meeting were approved. The first item on the agenda was a report by staff on the District's Operating Fund Portfolio as of August 28, 2020. Staff indicated that the portfolio is in compliance with the District’s Investment Policy. Next on the agenda, AON Hewitt Investment Consulting, Inc. (AON) discussed the second quarter plan performance related to the Pension Plan. Plan assets returned 12.7% in the second quarter, which outperformed the policy benchmark of 11.4%. AON representatives also discussed the second quarter performance of the Defined Contribution and Deferred Compensation Plans. The next item discussed on the agenda consisted of a staff request to exercise the second one-year renewal option of the contract with AON Hewitt Investment Consulting, Inc. AON will provide investment monitoring and consulting services for the District’s Defined Benefit Plan, Deferred Compensation Plan and the Defined Contribution Plan. This will be Resolution #3616 on tonight’s agenda. Staff then presented the quarterly June 2020 Adjustment Review Committee report as required by ordinance. The meeting adjourned at 9:25 a.m. The next tentatively scheduled meeting is Tuesday, September 29, 2020. This concludes the Finance Committee Report. Edited 10/1/20 Pg. 3 STAKEHOLDER RELATIONS COMMITTEE Trustee Wilson reported that The Stakeholder Relations Committee met at District Headquarters on Tuesday, September 1, 2020 at approximately 9:26 a.m. Those present at the meeting included Chairperson Wilson, Trustees Evans, Fehr and Yates, as well as District Directors and staff, and participating via video web call was Trustee Singer. Chairperson Wilson called roll and had no further comments. By motion of all Trustees, the minutes of the August 4, 2020 Stakeholder Committee Meeting Minutes were approved. The first Agenda item was a discussion by Tracey Coleman regarding three Resolutions for contract renewals for the District's Group Dental, Group Life and Accidental Death & Dismemberment, and Group Long-Term Disability Plans. These are Resolution Nos. 3613, 3614 and 3615 on tonight's Agenda. The next agenda item was a presentation by Bret Berthold regarding the District's Semi-Annual Regulatory Compliance Report. The presentation included a summary of various compliance reporting measures including Plant Compliance, Customer Service, and metrics related to the Collection System. There is no Board Action required at this time. The next item was a Board of Trustees Officer Election update provided by Brian Hoelscher. As a result of Trustee Faul's appointment ending in August, there is a vacancy of the Board's Vice-Chair position. There will be an election at the October 2020 Board Meeting to fill this position for the six-month period through March 2021. At the March 2021 Board Meeting, the positions of Chairperson and Vice-Chair will be voted on and an election made. There is no Board Action required at this time. By approval of all Trustees, the Committee then moved to go into Closed Session to discuss Labor Negotiations with Employee Groups under §610.021(9), RSMo. 1988 Supp. Roll call for Closed Session was taken at approximately 9:41 a.m. By consensus of all Trustees, Closed Session concluded at approximately 10:00 a.m. and returned to Open Session. The meeting was then adjourned at approximately 10:00 a.m. by Trustee Wilson. The next meeting date is tentatively scheduled for Tuesday, September 29, 2020. Comments by the Executive Director: None Comments from the Public: Yes Josh Clauser – HTS Coatings: My comment involves circular economy, MSD, and Project Clear. I believe repairs/reconditioning of pump shafts, pump impellers, and housings through the process of thermal spray (photos attached) could not only save money, but also save these parts from ending up in the landfill. Has the board looked into this process or circular economy? The Executive Director deferred to the Director of Operations, Bret Berthold, to respond to this customer. Bret Berthold confirmed that he would report back to the Board after contacting Mr. Clauser. CONSENT AGENDA: Adoption of Proposed Ordinance No. 15468 - 82nd Street to I-170 Sanitary Relief (UR-08, UR- 09) (11993) – Supplemental Making a supplemental appropriation of One Million Three Hundred Thousand Dollars ($1,300,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer construction in 82nd Street to I-170 Sanitary Relief (UR-08, UR-09) (11993) in the Cities of University City and Olivette, Missouri; and authorizing the Executive Director and Secretary- Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate additional funds to Contract No. 21758 with J. H. Berra Construction Co., Inc. for sanitary sewer construction. Adoption of Proposed Ordinance No. 15469 - CSO Volume Reduction Green Infrastructure (11146) – Supplemental Making a supplemental appropriation of Eight Million Dollars ($8,000,000.00) from the General Fund to be used for construction of green infrastructure in CSO Volume Reduction Green Infrastructure (11146) in the City of St. Louis and St. Louis County, Missouri. Adoption of Proposed Ordinance No. 15470 - CSO Volume Reduction Green Infrastructure – River Des Peres (13078) Making a supplemental appropriation of Three Million Dollars ($3,000,000.00) from the General Fund to be used for construction of green infrastructure in CSO Volume Reduction Green Infrastructure – River Des Peres (13078) in the City of St. Louis and St. Louis County, Missouri. Adoption of Proposed Ordinance No. 15471 - Easement Acquisition for Wastewater Projects (2021) (12818) Making an appropriation of Two Million Four Hundred Thousand Dollars ($2,400,000.00) from the Sanitary Replacement Fund to be used for property rights acquisition in Easement Acquisition for Wastewater Projects (2021) (12818) in The Metropolitan St. Louis Sewer District Service Area; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to acquire necessary property rights in order to construct combined and sanitary sewer projects. Adoption of Proposed Ordinance No. 15473 - Infrastructure Repairs (Facilities) (2021) (12995) Appropriating Three Million Dollars (3,000,000.00) from the Sanitary Replacement Fund to be used for repair, replacement, or improvement projects to address needs at facilities in Infrastructure Repairs (Facilities) (2021) (12995) in various locations throughout the District; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate funds for infrastructure repair projects to be bid through purchasing for repair, replacement, or improvement projects to address needs at facilities. Adoption of Proposed Ordinance No. 15474 - Lemay WWTF Aeration Basin Gates (13303) Appropriating Three Hundred Fifty Thousand Dollars ($350,000.00) from the Sanitary Replacement Fund to be used for wastewater treatment plant construction in Lemay WWTF Aeration Basin Gates (13303) in the Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21920 with Korte & Luitjohan Contractors, Inc. for the aforesaid wastewater treatment plant construction. Adoption of Proposed Ordinance No. 15476 - University City I/I Reduction – East (UR-08 and UR-09) Phase II (13344) Appropriating Six Hundred Seventy Thousand Dollars ($670,000.00) from the Sanitary Replacement Fund to be used for private I/I removal and storm sewer construction in University City I/I Reduction – East (UR-08 and UR-09) Phase II (13344) in the City of University City, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21928 with Fred M. Luth & Sons, Inc. for the aforesaid private I/I removal and storm sewer construction. Adoption of Proposed Ordinance No. 15477 - Gleason #656 Storm Sewer (11474) Appropriating One Hundred Five Thousand Dollars ($105,000.00) from the Districtwide Stormwater Fund to be used for storm sewer construction in Gleason #656 Storm Sewer (11474) in the City of Bellefontaine Neighbors, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21921 with Gaehle Grading LLC for the aforesaid storm sewer construction. Adoption of Proposed Ordinance No. 15478 - Reynosa – Melitta Streambank Stabilization (11630) Appropriating Nine Hundred Thousand Dollars ($900,000.00) from the Districtwide Stormwater Fund to be used for channel stabilization in Reynosa – Melitta Streambank Stabilization (11630) in Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21927 with DJM Ecological Services for the aforesaid channel stabilization. Adoption of Proposed Ordinance No. 15479 - Cherry Tree Lane Storm Improvement (10209) Appropriating Six Hundred Thousand Dollars ($600,000.00) from the Operation, Maintenance, Construction, Improvement Fund of University City to be used for storm sewer construction in Cherry Tree Lane Storm Improvement (10209) in the City of Olivette, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21916 with Kelpe Contracting, Inc. for the aforesaid storm sewer construction. Adoption of Proposed Ordinance No. 15480 - Lang Royce Sanitary Relief (Fargo Dr to Floridale Ct) (12325) – Easement Condemnation Declaring the necessity for the acquisition of easements and temporary easements in certain real property within The Metropolitan St. Louis Sewer District for the purpose of construction of sewers and related appurtenances in the project known as Lang Royce Sanitary Relief (Fargo Dr to Floridale Ct) (12325) in the Cities of Dellwood and Ferguson, Missouri to serve the needs of residents of the area, and authorizing staff to proceed with further condemnation efforts related to the project, including but not limited to the purchase and/or the filing of all necessary court pleadings or documents to commence and prosecute formal legal proceedings for the acquisition of said easements and temporary construction easements. Adoption of Proposed Ordinance No. 15487 - Stream Flow Gauge Operation and Maintenance (USGS) (10766) Making a supplemental appropriation of Four Hundred Eighty-Nine Thousand Dollars ($489,000.00) from the General Fund to be used for stream flow monitoring in Stream Flow Gauge Operation and Maintenance (USGS) (10766) Districtwide; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to amend Contract No. 10422 with U. S. Geological Survey for stream flow monitoring. Adoption of Proposed Ordinance No. 15488 - Stream Flow Water Quality Sampling (2020) (12004) Making a supplemental appropriation of Two Hundred Sixty-Three Thousand Two Hundred Twenty-One Dollars ($263,221.00) from the General Fund to be used for water quality sampling in Stream Flow Water Quality Sampling (2020) (12004) Districtwide; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to amend Contract No. 21859 with Geosyntec Consultants, Inc. for water quality sampling. Fehr - abstain Adoption of Proposed Ordinance No. 15490 - Collection Litigation Services – Gusdorf Law Firm, LLC Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into a contract with Gusdorf Law Firm, LLC, whereby Gusdorf Law Firm, LLC will provide collection litigation services for the District. Adoption of Proposed Ordinance No. 15491 - Collection Litigation Services – Law Office of John G. Heimos, PC Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into a contract with the Law Office of John G. Heimos, PC, whereby the Law Office of John G. Heimos, PC will provide collection litigation services for the District. Adoption of Proposed Ordinance No. 15492 - Collection Litigation Services – Kramer & Frank, PC Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into a contract with Kramer & Frank, PC, whereby Kramer & Frank, PC will provide collection litigation services for the District. Adoption of Proposed Ordinance No. 15493 - Classification Plan Repealing Ordinance No. 15401, as adopted on June 11, 2020, and enacting a new Ordinance prescribing changes to the Classification Plan to retitle existing positions. Adoption of Proposed Ordinance No. 15494 - Compensation Plan Repealing Ordinance No. 15402, as adopted June 11, 2020, and enacting a new ordinance prescribing changes to the Compensation Plan to update classifications to better align with the department’s function. These are the only changes to the existing Compensation Plan adopted by Ordinance 15402 on June 11, 2020. Adoption of Proposed Ordinance No. 15495 - Subordinate Wastewater System Revenue Bonds (State of Missouri – Direct Loan Program), Series 2020A for (C295833-02) AN ORDINANCE AUTHORIZING THE ISSUANCE OF NOT TO EXCEED $22,000,000 PRINCIPAL AMOUNT OF SUBORDINATE WASTEWATER SYSTEM REVENUE BONDS (STATE OF MISSOURI – DIRECT LOAN PROGRAM) SERIES 2020A OF THE METROPOLITAN ST. LOUIS SEWER DISTRICT, FOR THE PURPOSE OF IMPROVING, RENOVATING, REPAIRING, REPLACING AND EQUIPPING THE DISTRICT’S WASTE-WATER SYSTEM; PRESCRIBING THE FORM AND DETAILS OF THE BONDS AND THE AGREEMENTS MADE BY THE DISTRICT TO FACILITATE AND PROTECT THEIR PAYMENT; AND PRESCRIBING OTHER RELATED MATTERS Motion was made by Trustee Yates, seconded by Trustee Wilson, that Ordinance Nos.15468-15488, 15490-15495 be adoption. Fehr - aye UNFINISHED BUSINESS ORDINANCES None RESOLUTIONS None Edited 10/1/20 Pg. 8 NEW BUSINESS ORDINANCES Introduction of Proposed Ordinance 15496, Making a supplemental appropriation of Three Hundred Fifty Thousand Dollars ($350,000.00) from the Sanitary Replacement Fund to be used for pump station improvements in Lemay 1 Pump Station (P-301) Sluice Gate Replacement (13041) in the City of St. Louis, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate additional funds to Contract No. 21755 with KCI Construction Company for pump station improvements. Proposed Ord. No. 15496 was presented and read. The work to be done under Contract #21755 consists of the removal and replacement of six (6) sluice gates and actuators, two (2) new stop logs, and appurtenances at Pump Station No. 1 and the replacement of the river gate and actuator at Pump Station No. 2.
