THIS ADDENDUM is made and entered into this 8th day of
_March , 2008, by and between Richmond, Indiana, a municipal corporation
acting through its Board of Sanitary Commissioners with its office at 50 North 5th Street,
Richmond, Indiana, (hereinafter referred to as "City"), and Merrell Bros., Inc., 8811 West
500 North, Kokomo, IN 46901 (hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into an Agreement numbered 102-
2007; and
WHEREAS, City wishes to retain Contractor to continue providing the hauling
and land application of bio-solids within the scope of Agreement number 102-2007; and
NOW, THEREFORE, in consideration of the mutual promises and covenants
herein contained, including the above stated recitals, City and Contractor hereby agree as
follows:
Contractor shall perform certain hauling and land application of bio-solids
in connection with those identified within Agreement 102-2007. Such
services shall be performed in a manner consistent with its proposal,
which is hereby incorporated by reference, made a part hereof and marked
as Exhibit "A".
2. Contractor shall be paid a sum not to exceed $0.0263 per gallon hauled
and land applied plus applicable fuel surcharge fees listed on Attachment
#1 to this Addendum for all services described on Exhibit "A" containing
two (2) pages.
3. City and Contractor expressly agree that all other terms, conditions and
covenants contained in Contract number 102-2007, shall be applicable to
the work performed pursuant to this Addendum, unless such term,
condition or covenant conflicts with this Addendum, in which case this
Addendum shall be controlling.

IN WITNESS WHEREOF, the parties execute this Agreement effective the day
and year first above written, although signatures may be affixed at different times.
