SPECIAL MEETING OF THE COMMON COUNCIL
OF THE CITY OF RICHMOND
APRIL 14, 2008
The Common Council of the City of Richmond met in the large conference room of Richmond Power &
Light Company, 2000 South U.S. Highway 27, Richmond, Indiana, on the 14th day of April, 2008, at the
hour of 6:45 p.m., in a special meeting called pursuant to and in accordance with the rules of Common
Council.
The meeting was called to order by President Larry Parker, who presided.
City Clerk Karen Chasteen called the roll. The following members of Common Council were shown to be
present or absent as follows:
Present: Howard "Jack" Elstro, Kelley Cruse - Nicholson, Bruce Wissel, Bing Welch, Larry
Parker, Robert Goodwin, Diana Pappin
Absent: Clay Miller, Phil Quinn
Mr. Walter S. Chidester, City Attorney, and Karen Chasteen, City Clerk, were also present at the meeting.
Steve Saum and Randy Baker of Richmond Power & Light were also present.
Walter S. Chidester stated that Ice Miller LLP, attorneys of Indianapolis, employed by the City as bond
counsel, had prepared a form of bond ordinance for consideration by the Council in the matter of the
financing of the construction of certain additions, extensions and improvements to the municipal electric
utility of the City.
Walter S. Chidester then stated that it would now be in order for the Council to consider said Ordinance.
Bruce Wissel then introduced the bond ordinance, entitled "An Ordinance of the City of Richmond
authorizing the issuance of electric utility revenue bonds for the purpose of providing funds to apply on
the cost of the construction of certain additions, extensions and improvements to the municipal electric
utility of said City, providing for the safeguarding of the interests of the owners of said bonds, other
matters connected therewith, including the issuance of notes in anticipation of bonds, and repealing
ordinances inconsistent herewith," and moved that said ordinance be numbered and placed on first
reading, and that the same be read by title at this time. The rate for these bonds will not exceed 3.67 %.
Said motion was seconded by Bing Welch and on call of the roll was carried by the following vote:

The ordinance having been numbered 30 -2008, and having been read by title,
Jack Elstro moved that the ordinance be read a second time by title and opportunity be given for the
offering of amendments. This motion was seconded by Diana Pappin and on call of the roll was carried
by the following vote:

Ordinance No. 30 -2008 was then read a second time by title and no amendments were offered. Bruce
Wissel moved that any applicable local rules be suspended and that unanimous consent of the members
present be given for consideration of Ordinance No. 30 -2008 at this meeting at which said ordinance was
introduced and for third reading of Ordinance No. 30 -2008 at this meeting without further consideration.
This motion was seconded by Bing Welch, and on call of the roll the vote on said motion was as follows:

President Larry Parker stated that the motion for the suspension of the rules and such consideration of
Ordinance No. 30 -2008 having been carried by unanimous vote of the members present, final action on
said ordinance would now be in order. He then directed the Clerk to read said ordinance a third time by
title.
Said ordinance having been read a third time by title, Kelley Cruse - Nicholson then moved that the
ordinance be adopted as read. This motion was seconded by Robert Goodwin, and on call of the roll was
carried by the following vote:

President Larry Parker announced that there being at least two - thirds of the members elected to the
Common Council present at the meeting and the motion for adoption having been carried by a two - thirds
vote of all such elected members, Ordinance No. 30 -2008 had been duly passed and adopted.
There being no further business presented to the meeting, on motion duly made, seconded and
unanimously carried, the meeting thereupon adjourned.
