HomeMy Public PortalAboutResolution 62-228RESOLUTION NO. 62 - 228 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF TEMPLE CITY AUTHORIZING PREPARATION OF DOCU- MENTS FOR THE PURCHASE OF THE AMERICAN LEGION PROPERTY LOCATED AT )941 NORTH GOLDEN WEST, TEMPLE CITY, AS PART PERFORMANCE OF CITY'S OBLIGATIONS UNDER JOINT POWERS AGREEMENT WITH COUNTY OF LOS ANGELES RE CONSTRUCTION OF NEW COUNTY LIBRARY FACILITY WHEREAS, the City of Temple City and the County of Los An- geles have heretofore entered into a Joint Powers Agreement respecting the construction of a new County Library Facility and acquisition by Temple City of the present County Library Facility as a new City Hall, and WHEREAS, one of the terms of the aforesaid agreement pro- vides that the City shall acquire that certain real property located at5941 North Golden West, Temple City, known and here- inafter referenced as the American Legion property, and WHEREAS, a price, mutually agreed upon has been arrived at between the American Legion and the City, and certain terms and conditions arrived at. NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF TEMPLE CITY DOES RESOLVE AS FOLLOWS: SECTION 1. The City does hereby determine that a fair apd reasonable consideration to be paid for the aforedescribed American Legion property, including land and improvements, is the sum of Thirty Seven Thousand, One Hundred Sixty Dollars ($37,160.00). SECTION 2. Possession of said real property is not re- quired by the City until January 2, 1963 and since the American Legion does not have premises in which to move at the present time an element of consideration agreed upon is that the Ameri- can Legion retain possession of the subject premises until same shall be demolished or sold but no later than January 2, 1963, subject to (1) the American Legion maintaining its present fire insurance upon the Legion Hall building for the benefit of the City of Temple City until possession is surrendered by the American Legion, and (2) the American Legion obtain and have in full force and effect at all times personal liability insurance protecting the City as to the use by the American Legion of the above described American Legion property in a sum of not less than $300,000.00 to cover any one accident and with coverage' of $100,000.00 upon any one person and with $5,000.00 property damage. SECTION 3. The American Legion, as further consideration for entering into its agreement with the City to sell the afore described property shall have the right of first refusal to purchase the buildings upon the subject real property at such price as shall be offered by any bona fida purchaser for value upon the following terms and conditions: (a) The City shall offer the building for sale (excluding items which by law are denominated as fixtures) on or before Nobember 1, 1962. All offers shall be made upon the basis of 1 305 of completely removing all foundations, concrete slabs and con- crete porches constituting a part of the building. (b) Bids for the building shall be received on or be- fore November 15, 1962. (c) The American Legion shall be notified in writing within three days after opening of the bids of the highest bona fida bid. (d) The American Legion shall have until December 1, 1962 to meet the aforesaid high bid, and pay the price of same to the City. (e) Irrespective of who shall acquire the building, by the highest bidder (which phrase shall include the American if it exercises its rights herein) the building (including the concrete above referred to) shall be removed from the said property by December 21, 1962, and if for any reason after ac- ceptance of bid by the City the building (and concrete) is not removed by December 21, 1962 the City shall cause the building (and concrete) to be removed at the bidder's expense. SECTION 4. The American Legion shall furnish the City with a policy of title insurance issued by the Title Insurance and Trust Company, in the total sum of $37,160.00. SECTION 5. The American Legion shall cause any and all necessary resolutions to be adopted by its governing body ap- proving the proposed sale and authorizing its properly desig7 nated officers to execute any and all documents as shall be reasonably required by the City to effectuate said sale. SECTION 6. The City shall pay the consideration of $37,160.00 forthwith upon the American Legion furnishing to the City the aforesaid policy of title insurance and delivering to the City its deed and such other documents as may be required by the City Attorney to convey title to the said real property to the City, subject to such easements, covenants and condi- tions of record, which shall each and all be subject to approv- al by the City Attorney. SECTION 7. The City Attorney is hereby directed to prepare all necessary resolutions and other documents as shall be re- quired to legally complete the purchase by the City of the aforedescribed real property pursuant to the terms hereinabove set forth so that the City Council may by proper resolution authorize the Mayor and City Clerk to execute the said documents at its next regular meeting on August 27, 1962. SECTION 8. The City Attorney is hereby authorized to handle the purchase of the American Legion property through his office, without escrow. PASSED and ADOPTED th .:n Sth day of August, 1962.
