LOUIS SEWER DISTRICT NOVEMBER 12, 2020 The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members M.E. Yates, Chair B.L. Hoelscher, Executive Director R. Wilson T.R. Snoke, Secretary-Treasurer J. Singer (online) S.M. Myers, General Counsel M. Evans(online) M. M. Gee, Director of Finance(online) A. Fehr(online) R. Unverferth, Director of Engineering(online) Also present were: Trustee Yates called the open session to order at 5:05p.m. Roll call was made, and all were present with Trustee Singer, Trustee Fehr and Trustee Evans online. Trustee Yates then asked for the approval of the October 8, 2020 (1638th) Journal. The Journal was approved by Trustee Wilson and seconded by Trustee Singer. Comments by Board Chair: None ~ ~ ~ ~ ~ Report of Board Committees: AUDIT COMMITTEE Trustee Fehr reported that The Audit Committee met at 7:30 AM on Tuesday, October 27, 2020. In attendance were Trustees Fehr, Evans, Singer, Wilson, and Yates. The Chairman had no introductory comments. The Committee approved the minutes from the September 1, 2020 meeting. Next, the District’s external auditor, CliftonLarsonAllen, presented an overview of the results of the audit of the District’s financial statements for the year ended June 30, 2020. An unmodified or “clean” opinion was issued for the financial statements. No material uncorrected or corrected misstatements were identified. No new GASBs were adopted during the year. No fraud or illegal acts were identified. In working with Management and performing the engagement, no difficulties or disagreements were encountered by the auditors. The presentation included a summarized analysis of the overall financial results for the fiscal year ending June 30, 2020. No significant weaknesses in internal control were identified during the audit process. A management l etter was not issued, as no items were identified that met the threshold for formal communication. However, oral recommendations were made to Management. These oral recommendations were presented to and discussed with the Committee in summary form at the meeting. Next, Internal Audit presented a report for an audit engagement that involved a review of the District’s CMOM or Capacity, Management, Operations, and Maintenance program for the District’s wastewater collection system. The engagement focused on the effectiveness of the program’s operational processes as well as the program’s compliance with the requirements of the Consent Decree and the CMOM Program Plan document. The engagement received a “Satisfactory” or “clean” opinion. Two opportunities for Improvement were presented and discussed with the Committee. The discussions involved documenting the use of alternate priority codes for customer service calls and the performance of engineering reviews for repairs to manhole assets rated at a ‘5’. Internal Audit continued the meeting by reporting on the status of previously issued audit recommendations, stating that of the 238 recommendations issued since April of 2011, 218 or 92% of the recommendations have been implemented. During the presentations, questions were discussed and addressed as they were received from the Committee. The meeting adjourned at approximately 8:18 am. The next meeting is tentatively scheduled for Tuesday, December 1, 2020. This concludes the Audit Committee Report. PROGRAM MANAGEMENT COMMITTEE Trustee Evans reported that The Program Management Committee met on October 27, 2020 at 8:22 a.m. The meeting was attended by trustees Evans, Yates, Wilson, and Fehr; and Singer via online. The minutes of the September 29, 2020 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ordinance No. 15551 – Forder Sanitary Interconnection – Staff discussed this unplanned supplemental appropriation to an existing project being constructed by J.H. Berra Construction. The funding is needed to provide an additional $50,000 necessitated by significant unknown utility conflicts that have caused major re - design efforts and delays for the project. Staff is requesting Introduction and Adoption at tonight’s meeting to limit traffic disruption in the vicinity of the project. Ordinance Nos. 15552-15554 – Staff provided details of three CSO Volume Reduction Green Infrastructure Grants being awarded to reduce combined sewer overflows to the Mississippi River per the Consent Decree. Staff provided details of the grants being awarded to American Cancer Society, Andy’s Seasoning, and Beaumont Partnership for the construction of pervious pavement areas and volume reducing bioretention basins on their properties. Ordinance No. 15555 and 15556 – Hampton Creek Sanitary Relief Phase 1A – Staff briefly discussed an intergovernmental agreement with the City of Brentwood that was previously authorized by Ordinance #15378 in March 2020. Staff gave a brief overview of the overall project and the District’s coordination which will allow for the construction of portions this project to be built by the City of Brentwood and the developer of the Foss STL Swim School. These two ordinances allow the District to enter an agreement with Foss STL Swim School and appropriate $2,200,000 for this work and appropriates funds for the reimbursement of up to $1,000,00 to the City of Brentwood for constructing portions of this MSD project. Ordinance No. 15561 – Easement Condemnation Request. Staff gave an update on the status of the easement acquisition on one (1) parcel of ground for the Union Road Storm project. Staff has had difficulty contacting the remaining Church property due to a recent sale. Staff is requesting approval to proceed with condemnation to move the project forward. Ordinance No. 15569 – Emergency Repair #065 – Staff provided detailed information on this Emergency Repair sewer project located adjacent to the District’s Lemay Pump Station No. 1. The Executive Director declared the emergency and notified the Board on October 26, 2020. Staff explained the issues and immediate concerns that could impact District operations in the event of a complete failure. Staff agreed to update the Board on the future status of the work. This ordinance will be presented to the Board for Introduction and Adoption of the emergency contract and appropriation of $500,000 at the November 12, 2020 Board meeting. Other Business – As requested by the committee, staff provided an update on the Jefferson Barracks Tunnel project. Staff refreshed the committee regarding the purpose of the project, the contractor SAK Construction, the differing site conditions encountered, and staff’s recommendation for moving forward. This update outlined the current construction activities, future work, the phasing of the project, and the specific cost considerations for each phase. Staff then discussed an appropriation request the Board will tentatively see at the January 2 021 committee and board meetings. Staff answered numerous questions and offered further discussion if needed. The next Committee meeting is tentatively scheduled for December 1, 2020. The meeting was adjourned at 9:14 a.m. Edited 12/3/20 Pg. 3 FINANCE COMMITTEE Trustee Fehr reported that The Finance Committee met on October 27, 2020 with Trustees Fehr, Yates, Wilson, Evans, and Singer in attendance. The minutes from the September 29, 2020 meeting were approved. The first item discussed on the agenda pertained to a staff request to execute a one-year contract with four additional option years with US Bancorp Asset Management, Inc. (US Bancorp) to assist with general and transactional professional investment advisory services. This is will be Ordinance #15567 on to night’s agenda. Next on the agenda was a report by staff on the District's Operating Fund Portfolio as of October 26, 2020. Staff indicated that the portfolio is in compliance with the District’s Investment Policy. Staff then gave an update on the Wastewater System Revenue Bonds, Series 2020B. The plan is to go to market with a competitive bid at the beginning of December. The meeting adjourned at 9:30 a.m. The next tentatively scheduled meeting is Tuesday, December 1, 2020. This concludes the Finance Committee Report. STAKEHOLDER RELATIONS COMMITTEE Trustee Wilson reported that The Stakeholder Relations Committee met at District Headquarters on Tuesday, October 27, 2020 at approximately 9:30 a.m. Those present at the meeting included Chairper son Wilson, Trustees Fehr, Evans, Yates, as well as District Directors and staff, and participating via video web call was Trustee Singer. Chairperson Wilson called roll, had no further comments, and by motion of all Trustees, the minutes of the September 29, 2020 Stakeholder Committee Meeting Minutes were approved. The first Agenda item was a discussion by Jonathon Sprague regarding a contract renewal for Pretreatment Information Management System Software. This renewal authorizes staff to exercise opti on year 4 of a hosting and maintenance contract and is Resolution No. 3621 on tonight's Agenda. The next Agenda item was a discussion by Susan Myers regarding an Ordinance to authorize a lease for a small strip of District-owned property adjacent to the Maline Creek Storage Facility for use by a neighboring business for parking. This is Ordinance No. 15566 on tonight's Agenda. The next Agenda item was a discussion by Susan Myers regarding an Ordinance for a General Legal Services Contract to secure legal consulting services from a certified MBE/WBE firm to assist the Office of General Counsel in areas concerning general litigation of liability and real estate matters. This is Ordinance No. 15568 on tonight's Agenda. The next Agenda item was a presentation by Susan Myers regarding MSD's Federal and State Legislative Priorities. Susan provided a summation of the Priorities and Goals for the 2021 Federal and State Legislative Sessions. All priorities remained the same as in previous years. Ther e is no Board action required at this time. At approximately 9:55 a.m., with a vote taken, Trustee Wilson moved to go into Closed Session to discuss personnel actions under §610.021(3), RSMo. 1988 Supp. Trustee Wilson moved to end Closed Session and return to Open Session at approximately 10:22 a.m. The meeting was then adjourned at approximately 10:23 a.m. by Trustee Wilson and the next meeting date is tentatively scheduled for Tuesday, December 1, 2020. Adoption of Proposed Ordinance No. 15514 - CSO – Mary Avenue South of Manchester CSO Interceptor (I-132)/Outfall (L-106) Elimination Phase I (MoDOT) (13404) Appropriating One Million Three Hundred Thousand Dollars ($1,300,000.00) from the Sanitary Replacement Fund for intergovernmental agreement reimbursement for sanitary sewer construction in CSO – Mary Avenue South of Manchester CSO Interceptor (I-132)/Outfall (L-106) Elimination Phase I (MoDOT) (13404) in the City of Brentwood, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an intergovernmental agreement under Contract No. 21967 with Missouri Department of Transportation Commission to provide financial assistance for sanitary sewer construction. This ordinance authorizes the District to amend Contract #20100 with KAI 360 Construction Services, LLC for an annual extension based on acceptable performance to provide construction management services for Tanks, Treatment, and P ump Station Facilities associated with the District’s CSO and SSO programs. The preliminary construction estimate for the facilities is $368,000,000. The project consists of bidability and constructability review during the design of the facility project s and construction management services during construction. The value of the construction management contract for the entire program is estimated to be between $25 and $40 million. (CMT), whereby CMT will provide general engineering services for treatment plants, pump stations, and other operations groups to the District. Proposed Ord. No. 15565 was presented and read. This ordinance authorizes the District to enter into a Professional Services Agreement to perform General Engineering Services for Treatment Plants, Pump Stations, and other Operations groups. The purpose of the agreement is to have the consultant provide technical and engineering consulting services support to MSD’s wastewater treatment plants, pumping stations, warehousing, facilities management, and maintenance yards staff (Operations) on an as-needed basis. This ordinance authorizes staff to enter into a lease agreement with Sentry Security for a small strip of pr operty owned by the District as part of its Maline Creek Storage Facility. Sentry Security requested to lease the property for parking. The lease is for an initial five-year term with one five- year renewal option. Annual rental is $180 (based upon appraised value). US Bancorp subcontracts with Bingham A rbitrage Rebate Services, Inc. to provide arbitrage rebate calculation reports on the funds US Bancorp manages. Proposed Ord. No. 15568 was presented and read. This contract will allow the General Counsel’s office to add a certified minority firm to its suite of outside counsels available to provide general legal consulting serv ices. White Coleman & Associates proposes to provide services on liability and real estate matters. The Ordinance is for a six -month contract with three (3) one-year options at the sole discretion of the District. This will allow the contract to be on th e same renewal schedule as the other 3 general legal services contracts. Fehr - aye Introduction and Adoption of Proposed Ordinance 15569, Appropriating Five Hundred Thousand Dollars ($500,000.00) from the Emergency Fund to be used for emergency repair in Emergency Repair #065 (Lemay PS Number 1 – 108” Intake Line) (13582) in the City of St. Louis, Missouri; and authorizing the Executive Director and Secretary - Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an emergency construction contract under Contract No. 21988 with KCI Construction Company, Inc., for the aforesaid emergency repair services. Proposed Ord. No. 15569 was presented and read. The work done under the emergency Contract #21988 will include securing and supporting the electrical and communication services and exploratory investigation of pipe failure to determine the required repair. The pipe failure is believed to be directly below the electrical structure and approximately fifteen feet deep. When the electrical is secured, the exploratory excavation will begin to determine the extent of the pipe failure and develop a plan for the pipe repair. Based upon recommendation from staff, the Executive Director declared this project an emergency on October 26, 2020. The contractor, KCI Construction Company, Inc. was selected per MSD Emergency Declaration Policy. The repair has started and is expected to be complete before January 25, 2021. Fehr - aye RESOLUTIONS: Adoption of Resolution No. 3621 - Pretreatment Information Management System (iPACS) The adoption of Resolution No. 3621 will exercise option year four (4) of the contract previously authorized by Ordinance No. 14543, adopted November 10, 2016, which authorized the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into a contract with enfoTech, whereby enfoTech would provide information management software services in Pretreatment Information Management System (PIMS) for the District. Proposed Ord. No. 3621 was presented and read. This Resolution authorizes the District to enter option year four of the contract with enfoTech for hosting and maintenance services on its Pretreatment Informat ion Management System (iPACS). The iPACS system is the computer business application that is used to track and regulate MSD’s industrial customers for compliance with Federal and State regulations. The iPACS system is vendor hosted with interface capability to other existing District systems (i.e. Laboratory Information Management System (eLab), eCIS+ Billing, Maximo, and GIS. Implementation has been completed, this contract option extension is for hosting a nd maintenance only. No further resolutions will be brought forward on this contract due to it now being a contractual service.
