LOUIS SEWER DISTRICT December 10, 2020 The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members M.E. Yates, Chair B.L. Hoelscher, Executive Director R. Wilson J. Strahlmann, Asst. Secretary-Treasurer J. Singer (online) S.M. Myers, General Counsel M. Evans(online) M. M. Gee, Director of Finance(online) A. Fehr(online) R. Unverferth, Director of Engineering(online) Also present were: Roll call was made, and all were present with Trustee Singer, Trustee Fehr and Trustee Evans online. Trustee Yates called the motion to go into closed session at 4:30p.m. Motion was made by Trustee Wilson and second by Trustee Fehr. Trustee Yates called the open session to order at 5:20p.m. Motion was made by Trustee Wilson and second by Trustee Fehr. Trustee Yates then asked for the approval of the November 12, 2020 (1639th) Journal. The Journal was approved by Trustee Wilson and seconded by Trustee Fehr. Comments by Board Chair: None ~ ~ ~ ~ ~ Report of Board Committees: AUDIT COMMITTEE Trustee Fehr reported that The Audit Committee met at 7:30 AM on Tuesday, December 1, 2020. In attendance were Trustees Fehr, Evans, Singer, Wilson, and Yates. The Chairman had no introductory comments. The Committee approved the minutes from the October 27th meeting. Internal Audit continued the meeting by presenting a report for an audit engagement that involved a review of the administrative processes and procedures utilized by the Division of Environmental Compliance. Specifically, the engagement scope focused on the operations of three (3) units within the Division of Environmental Compliance: The Regulatory Affairs Unit, The Stormwater Unit, and the Emergency Response Unit. The scope period for the testing and review of activities and transactions was the two-year period of calendar years 2018 and 2019. The engagement received a “Satisfactory” or “clean” opinion. Two Opportunities for Improvement were presented and discussed with the Committee. The discussions involved the processes for inspecting food service establishments and the processes for documenting the performance of regulatory training. During the presentation, questions were discussed and addressed as they were received from the Committee. The meeting adjourned at approximately 7:50 am. The next meeting is tentatively scheduled for Tuesday, January 5, 2021. This concludes the Audit Committee Report. PROGRAM MANAGEMENT COMMITTEE Trustee Evans reported that The Program Management Committee met on December 1, 2020 at 7:58 a.m. The meeting was attended by trustees Yates and Wilson; and Evans, Fehr, and Singer via online. The minutes of the October 27, 2020 meeting were approved. Tamara Clinton MSD (online) Bret Berthold MSD (online) Jon Sprague MSD Tracey Coleman MSD (online) Sean Hadley MSD Shonnah Parades MSD (online) Edited 1/7/21 Pg. 2 The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Staff presented and reviewed details of eight (8) construction projects recently bid. Staff is seeking authorization to enter into contracts and appropriate funds for the projects. Projects were overall under the original budgets and all met the required MWBE goals established. Ordinance Nos. 15572 & 15573 – Staff provided details of two CSO Volume Reduction Green Infrastructure Grants being awarded to reduce combined sewer overflows to the Mississippi River and the River Des Peres per the Consent Decree. Staff provided details of the grants being awarded to Union Station Theatre Parking and Wilkinson School Apartments for the construction of pervious pavement areas and volume reducing improvements on their properties. Ordinance Nos. 15580-15584 – Stormwater OMCI Reimbursements. Staff gave a brief history of the OMCI Sub- Districts and their purpose, and the plan for funding needed for stormwater projects in these areas. Staff is requesting appropriation of budgeted funds for the establishment of a municipal stormwater grant program from available funds within five (5) OMCI Taxing Sub-Districts. Staff additionally requested authorization to administer the grants below $50,000 without future approval of the Board. Committee asked about MSD’s priority ranking system for stormwater projects and how these individual municipalities are prioritizing their projects for the reimbursement programs. The committee also requested an update twice a year listing all grants awarded and stormwater issues resolved. Staff agreed to this request. Ordinance Nos. 15586-15588 – Easement Condemnation Requests. Staff gave an update on the status of the easement acquisitions on 14 parcels of ground for three (3) projects on tonight’s agenda. Staff continues to coordinate with the property owners but is seeking approval to move forward with condemnation efforts in order to keep these Consent Decree projects on schedule. Staff then presented and reviewed details of seven (7) engineering design projects and the firms recently selected for design. Staff is seeking authorization to enter into contracts and appropriate funds for the projects. Projects’ design fees were overall under the budgets established in the Capital Program. The next Committee meeting is tentatively scheduled for January 5, 2021. The meeting was adjourned at 9:06 a.m. FINANCE COMMITTEE Trustee Fehr reported that The Finance Committee met on December 1, 2020 with Trustees Fehr, Yates, Wilson, Evans, and Singer in attendance. The minutes from the October 27, 2020 meeting were approved. The first item on the agenda was a discussion by Aon Hewitt on the third quarter performance of the Pension Plan. Plan assets returned 4.8% in the third quarter and 2.7% year to date, which outperformed the policy benchmarks of 4.3% and 2.6%. Aon representatives also discussed the asset allocation and third quarter performance of the Defined Contribution and Deferred Compensation Plans. The Trustees and Aon representatives then discussed the failing of an Allianz fund in which MSD almost invested, per an Aon recommendation. The Trustees asked for a copy of a lawsuit brought by another Plan against both Allianz and Aon. Secretary-Treasurer Snoke noted he did have a copy of the lawsuit and would circulate to the Trustees. Next on the agenda was a report by staff on the District's Operating Fund Portfolio as of November 30, 2020. Staff indicated that the portfolio is in compliance with the District’s Investment Policy. The next item on the agenda was an ordinance authorizing the District to enter into a contract with US Bank. The contract shall provide for a term of three (3) years with five (5) additional one-year options, not to exceed eight (8) years. This ordinance allows US Bank to provide banking services at a guaranteed price for a minimum of five years. This will be Ordinance #15600 on tonight’s agenda. Staff also discussed two ordinances that are included on tonight’s agenda which authorize the District to issue the Series 2021A and 2021B Bonds and authorize District officials to execute necessary documents. The Series 2021A Bonds will be issued for approximately $63.1 million with the proceeds funding the Lower Meramec Tunnel project. Edited 1/7/21 Pg. 3 The Series 2021B Bonds will be issued for up to $40.2 million with the proceeds being used to complete Phase VI of MSD’s Public I/I Reduction Program. These will be Ordinances #15601 and #15602 on tonight’s agenda. The next item on the agenda was a resolution authorizing MSD to reimburse project costs pertaining to the I/I program from the Series 2021B bond proceeds. This will be Resolution #3623 on tonight’s agenda. Next, the Adjustment Review Committee report for the quarter ended September 30, 2020 was presented as required by ordinance. Staff also reported on the current financial condition of the District indicating it continues to be financially stable. The meeting adjourned at 10:00 a.m. The next tentatively scheduled meeting is Tuesday, January 5, 2021. This concludes the Finance Committee Report. STAKEHOLDER RELATIONS COMMITTEE Trustee Wilson reported that The Stakeholder Relations Committee met at District Headquarters on Tuesday, December 1, 2020 at approximately 10:00 a.m. Those present at the meeting included Chairperson Wilson and Trustee Yates, as well as District Directors and staff, and participating via video web call were Trustees Evans, Fehr and Singer. Chairperson Wilson called roll, had no further comments, and by motion of all Trustees, approved the minutes of the October 27, 2020 Stakeholder Committee Meeting Minutes. The first Agenda item was a discussion by Tracey Coleman regarding an Ordinance for Corporate Medical Services. This action provides an administrator and service provider for District drug testing and other medical services. It is Ordinance No. 15598 on tonight's Agenda. The next Agenda item was a discussion by Tracey Coleman regarding an Ordinance for the District's Compensation Plan. Upon ratification of the AFSCME and SEIU contracts, this action will update Schedules A and B Employees' salary and wage grades. It is Ordinance No. 15599 on tonight's Agenda. The next Agenda item was a discussion by Susan Myers regarding an Ordinance for a Lease Amendment. This action will authorize the District to lease additional District-owned property. It is Ordinance No. 15597 on tonight's Agenda. The meeting was then adjourned at approximately 10:15 a.m. by Trustee Wilson. Adoption of Proposed Ordinance No. 15561 - Union Road 100 Block Storm Improvements (10366) Declaring the necessity for the acquisition of easements and temporary easements in certain real property within The Metropolitan St. Louis Sewer District for the purpose of construction of sewers and related appurtenances in the project known as Union Road 100 Block Storm Improvements (10366) in Unincorporated St. Louis County, Missouri to serve the needs of residents of the area, and authorizing staff to proceed with further condemnation efforts related to the project, including but not limited to the purchase and/or the filing of all necessary court pleadings or documents to commence and prosecute formal legal proceedings for the acquisition of said easements and temporary construction easements. (CMT), whereby CMT will provide general engineering services for treatment plants, pump stations, and other operations groups to the District. Fehr - aye UNFINISHED BUSINESS ORDINANCES None RESOLUTIONS None NEW BUSINESS ORDINANCES Introduction of Proposed Ordinance 15570, making an appropriation of Three Million Seven Hundred Thousand Dollars ($3,700,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer rehabilitation in Bissell – Coldwater – Missouri – Meramec Public I/I Reduction (2021) Contract B (12509) in the Cities of Bel-Ridge, Berkeley, Clayton, Florissant, Hazelwood, Ladue, Olivette, University City, and Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21943 with Insituform Technologies USA, LLC for sanitary sewer rehabilitation. Proposed Ord. No. 15570 was presented and read. The work to be done under Contract #21943 consists of the rehabilitation of approximately 69,422 lineal feet of sanitary sewers varying in size from 8-inches to 30-inches in diameter using cured-in-place pipe (CIPP) methods, 37 manholes, 1,301 service connections, and 20 point repairs. The purpose of this project is to reduce inflow/infiltration (I/I) in the Maline Creek watershed. This project is scheduled to be completed in 600 days. Fehr - aye Introduction of Proposed Ordinance 15571, making an appropriation of Fourteen Million Dollars ($14,000,000.00) from the Sanitary Replacement Fund to be used for wastewater treatment plant construction in Bissell Point WWTF Trickling Filter Media Replacement (12566) in the City of St. Louis, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 21966 with Goodwin Brothers Construction Co. for wastewater treatment plant construction. The work to be done under Contract #21966 consists of the removal and replacement of corrugated PVC sheet media and ancillary components within six (6) trickling filters. The purpose of this project is to extend the useful life of the trickling filters in order to maintain the current level of service for treatment. Fehr - aye Introduction of Proposed Ordinance 15572, authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an agreement with 401 S. 18th Street LLC, for cost sharing for green infrastructure construction in CSO Volume Reduction Green Infrastructure – Union Station Theater Parking (13575) in the City of St. Louis, Missouri. Proposed Ord. No. 15572 was presented and read. This ordinance authorizes the District to enter into an agreement with 401 S. 18th Street LLC to provide financial assistance through a Green Infrastructure Grant Program for construction of green infrastructure. The purpose of this project is to reduce combined sewer overflows into the Mississippi River per the Long Term Control Plan. This project will reduce runoff volume with the installation of permeable pavers. Total cost of the project is estimated at $160,000 and 401 S. 18th Street LLC, is requesting approximately $118,800 reimbursement for the cost of green infrastructure. Fehr - aye Introduction of Proposed Ordinance 15573, authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an agreement with 7212 Arsenal LLC, for cost sharing for green infrastructure construction in CSO Volume Reduction Green Infrastructure – Wilkinson School Apartment (13420) in the City of St. Louis, Missouri. Proposed Ord. No. 15573 was presented and read. This ordinance authorizes the District to enter into an agreement with 7212 Arsenal LLC to provide financial assistance through a Green Infrastructure Grant Program for construction of green infrastructure. The purpose of this project is to reduce combined sewer overflows into the River Des Peres per the Long Term Control Plan. This project will reduce runoff volume by removing impervious surface. Total cost of the project is estimated at $106,000 and 7212 Arsenal LLC is requesting approximately $52,200 reimbursement for the cost of green infrastructure. Proposed Ord. No. 15574 was presented and read. The work to be done under Contract #21978 consists of the construction of approximately 279 lineal feet of sanitary sewers 12-inches in diameter and appurtenances. The purpose of this project is to relieve overcharged sanitary sewers. This project is scheduled to be completed in 270 days. This contract allows the District to continue maintaining the integration between the existing rain gauge network and NEXRAD radar data in an effort that produces Gauge Adjusted Radar Rainfall (GARR) data for use by District engineers, various planning and design consultants, and Operations divisions. This contract provides web-accessible rainfall data to District personnel, monthly archive quality rainfall data, major rainfall event support, enhancement of web-based tools, and support for the District’s hydraulic models, as well as any training required. Vieux and Associates also provides QA/QC of our extensive fixed rain gauge network and notifies the District of issues found during the GARR calibration process. As part of this contract, Vieux continuously evaluates our telemetry system and rain gauge network. Radar rainfall data is a technology used for hydraulic modeling and calibration, confirming sewer flow metering responses to rain events, inflow/infiltration assessments, CSO and SSO control planning, and preliminary and final designs.
