RE: Limited Engagement Letter
Dear Mr. Long:
Pursuant to our recent phone conference, this letter will serve to outline our limited engagement
agreement concerning my representation of the City of Riverdale, Iowa ("City") in its
negotiations with ARCONIC and the State of Iowa regarding the issuance of up to $3,500,000 of
tax increment review financing in conjunction with ARCONIC's expansion within the City, and
such further matters as the City may desire.
I would be happy to assist the City with these negotiations at a discounted attorney fee rate of
$250.00 per hour plus any costs advanced, which fees and costs will be billed to the City on a
monthly basis.
If you'd like to discuss this matter further, please feel free to give me a call. Otherwise if the City
is agreeable to these terms, please sign the bottom of this letter, where indicated, and return a
copy to me either by email at giager(c�pastrnak.com or by fax at 323-7739.

RESOLUTION NO. 2018-08
RESOLUTION ACCEPTING THE LIMITED ENGAGEMENT
LETTER FROM GREGORY S. JAGER,
PASTRNAK LAW FIRM, PC,TO REPRESENT
THE CITY OF RIVERDALE WITH REGARD TO ITS
DISCUSSIONS WITH ARCONIC, INC.
WHEREAS, the City Council of the City of Riverdale("City")was advised by its corporate
counsel Hopkins and Huebner that attorneys in its employee who regularly represent Arconic, Inc. in
matters of law, and as such could not adequately represent the City in its discussions and negotiations
with Arconic, Inc.regarding a potential development agreement; and,
WHEREAS, based upon recommendations for alternate counsel and his knowledge of the work
of Gregory S. Jager as the retired City Attorney for the City of Bettendorf,the City Administrator did
interview Jager and does recommend that the City Council accept the terms presented by him in his letter
of February 22, 2018; and,
WHEREAS, in the interest of properly representing the City in its potential negotiations with
Arconic, Inc. the Council does approve of accepting the terms of the aforesaid letter and the retaining of
Gregory S. Jager in this limited engagement.
NOW THEREFORE, BE IT RESOLVED, BY THE CITY COUNCIL OF THE CITY OF
RIVERDALE, SCOTT COUNTY, IN THE STATE OF IOWA:
Section 1. That the Limited Engagement Letter of February 22, 2018 from Pastrnak Law Firm,
PC is hereby attached to and made a part of this Resolution.
Section 2. That the City Council accepts the terms of the aforesaid letter with its discounted
attorney fee rate of$250.00 per hour plus any costs advanced, at the direction of the Mayor or City
Administrator.
Section 3. That the City Administrator is authorized to execute said Engagement Letter on behalf
of the City. `
