AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE A $375,000.00 AGREEMENT WITH
CONTINENTAL COMMERCIAL PRODUCTS, LLC ("CCP").
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS
FOLLOWS:
Section 1. The Mayor and City Clerk are hereby authorized and directed to
execute an agreement with Continental Commercial Products, LLC.
Section 2. The agreement shall be substantially the same in form and content as
that agreement attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect from and after the date

DEVELOPMENT AGREEMENT
THIS CONTRACT, made and entered into, by and between the City of Jefferson, hereinafter
called "City" and Continental Commercial Products, LLC hereinafter called "CCP".
WHEREAS, CCP desires to relocate its manufacturing operation from its Bridgeton,
Missouri, location to 321 Wilson Drive, Jefferson City, Missouri; and
WHEREAS, CCP needs the assistance from the City to make the operation of the
relocation feasible; and
WHEREAS, in light of the jobs to be created and the economic development to be
provided by CCP and City desire to provide assistance to make relocation possible;
NOW, THEREFORE, the parties agree as follows:
1. Development Project. This project involves the relocation of CCP's manufacturing.
operation from its current location to 321 Wilson Drive, Jefferson City, Missouri. The
City desired to encourage the relocation for purpose of economic development.
2. Obligations for City and County. City and Cole County shall provide the following
economic incentives to CCP:
a. Through the Jefferson City Area Chamber of Commerce, CCP and 321 Wilson,
LLC has been provided 100% abatement for 10 years on real and personal
property upon terms already agreed to between CCP and the Chamber of
Commerce.
b. Upon notice of actual infrastructure expense being incurred, installed and
submitted in writing to the Jefferson City Area Chamber of Commerce, the City
and County shall provide up to five hundred thousand dollars ($500,000) of
economic incentive payments to be used on infrastructure improvements and a
new resin tank farm and delivery system for resin from rail spur to
manufacturing building.
i. Of the five hundred thousand dollars ($500,000), the City shall provide
three hundred seventy five thousand dollars ($375,000).
ii. Of the five hundred thousand dollars ($500,000), the County shall provide
one hundred twenty five thousand dollars ($125,000).
3. Obligations for CCP. CCP agrees as follows:
a. CCP shall relocate his manufacturing facility to 321 Wilson Drive, Jefferson
City, Missouri and lease the facility for not less than eleven (11) years as per
attached lease agreement.
b. Employment:
i. CCP shall employ at least one hundred fifty (150) people at its Jefferson
City, Missouri facility by December 31, 2015. This employment shall be
maintained for the life of the lease.
ii. CCP shall employ an additional thirty (30) people at its Jefferson City,
Missouri facility by December 31, 2016. This employment shall be
maintained for the life of the lease.
c. CCP anticipates the average wage for the employee listed above will be thirty
three thousand dollars ($33,000) per year based on a 4 year average (This
average wage shall be maintained for the 180 employees for the life of the
lease.)
4. Failure to abide by terms.
a. Should the City fail to abide by the terms of the agreement, CCP may withdraw
from the agreement, file suit for actual damages, or file suit for specific
enforcement of the terms of this agreement.
b. Should CCP fail to abide by the terms of this agreement, CCP shall refund an
apportioned share of the money paid to them pursuant to this agreement.
5. Notices. All notices required or permitted hereunder and required to be in writing may
be given by first class mail. If to City, notice shall be sent to the City Administrator at
320 East McCarty, Jefferson City, Missouri 65101. If to CCP, notice shall be sent to 321
Wilson Drive, Jefferson City, MO 65109. The date of delivery of any notice shall by the
date falling on the second fall day after the day of its mailing.
6. Agreement Binding. This agreement is to be binding on the successors and assigns of
the parties hereto and is not to be assigned by either party without first obtaining the
written consent of the other.
7. Applicable Law. The Laws of the State of Missouri shall govern the validity,
performance, and enforcement of this agreement.
8. Severability.
Any illegal or unenforceable provision of this Agreement will be severed here
from and will not render invalid the remaining provisions of this Agreement.
