Dear Mrs. Leavitt:
September 7, 2001
In response to my memorandum of July 23, 2001, we wish to acknowledge that the Off ice
of the Village Clerk has received copies of Internal Revenue Form 990, "Return of Organization
Exempt from Income Tax" from the Key Biscayne Athletic Club, Inc. for their fiscal years ending
May 31, 1997, 1998 and 1999. It is my understanding that Form 990 for tax year 2000 for the period
beginning June 1, 2000 and ending May 31, 2001, will also be forwarded to us within a reasonable
period of time.
In my opinion, and in the opinion of legal counsel, the Key Bisca , ne Athletic Club, Inc. has
complied with the requirement of their contract with the Village requesting that they provide an audit
of the funds provided to the Club. We interpret the contract requirement for an "audit" to mean that
the Athletic Club provide the Village with an annual accounting of Village funds.

Dear Mr. Valentine:
In response to your public records request of July 23, 2001 regarding the Key Biscayne Athletic
Club, the Office of the Village Clerk does not have any of the documents you requested.
The Finance Department has sent a memo to the Key Biscayne Athletic Club requesting the audits,
as required by their contract. As soon as these documents are filed in my office, I will provide them
to you.

Re: Request for Documents
Ms. Alvarez:
I would like to make a formal request for copies of the following documents as a
resident of the Village of Key Biscayne.
• A copy of the by-laws of the Key Biscayne Athletic Association, Inc., (KBAC).
• A copy of the last three years of audited financials from KBAC.
Given KBAC's status as a contracted consultant to the Village, I hope that you can
furnish the former.
Per the contract, between the Village and KBAC, KBAC is required to furnish the
Village with the latter. I consequently hope you will be able to provide these
financials.
Should this request need to be submitted in any other form, please advise at your
soonest convenience. I remain,

In reviewing the contract by and between the Village of Key Biscayne and the Key
Biscayne Athletic Club, the original document requires that an audit for funds received
be provided to the Village.
Our records do not indicate that we have received an audit from the Club. Could you
please check the status of this and provide the Village Clerk with a copy of your
documents for each year that the Village has provided these funds if it has not already
been done?

Key Biscayne Athletic Club personnel.
6. The Key Biscayne Athletic Club agrees to provide
coaches, referees, linesman, and any other personnel necessary to
organize and run the above -mentioned programs.
7. The Key Biscayne Athletic club agrees to purchase and
maintain all necessary equipment, including: balls, bats,
helmets, goals, bleachers, benches, and other equipment necessary
to run the above -mentioned programs.
8. The Key Biscayne Athletic Club agrees to purchase and
supply all necessary uniforms for participants in the
above -mentioned programs.
9. The Key Biscayne Athletic Club shall collect and
retain all fees pertaining to participation in its programs.
These fees shall be established at the discretion of the Key
Biscayne Athletic Club in accordance with the Key Biscayne
Athletic Club's purpose as a non-profit corporation, formed
pursuant to Florida law. The Key Biscayne Athletic Club will
provide an audit for those funds received from the VILLAGE.
10. The nature and purpose of the Key Biscayne Athletic
Club is set forth in its Articles of Incorporation, which states
in part:
"The general nature of the objects and purposes of this
corporation shall be to promote and encourage all kinds of
field and athletic sports; to promote and encourage the sport,
pleasure, exercise and recreation of any and all persons,
whether or not they are members of this organization; to
