THIS FIRST LEASE AMENDMENT executed this I() r day of Och be r , 2012 by and
between KEY BISCAYNE GATEWAY PARTNERS, LTD., a Florida Limited Partnership, hereinafter
referred to as "Landlord", and the VILLAGE OF KEY BISCAYNE, a Florida municipal corporation,
hereinafter referred to as "Tenant".
WINTESSETH
WHEREAS, Landlord and Tenant entered into a Lease Agreement dated June 22, 2010 ("Lease")
for that certain Premises described as a portion of the Property at 24 Crandon Boulevard, Key Biscayne,
Florida, 33149; and
WHEREAS, Landlord and Tenant would like to amend the termination right of the Lease.
NOW THEREFORE, in consideration of Ten Dollars ($10.00) and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged by each party to the other as
follows:
1. The foregoing recitals are true and correct and that the parties have entered into this First Lease
Amendment with full knowledge and full understanding of the same and have incorporated the recitals into
this agreement so they are made a part hereof.
2. The first sentence of Section 1.3 of the Lease shall hereby be amended to:
During the Term, Landlord and Tenant shall have the right, in their sole discretion, to terminate this Lease
upon not less than ninety (90) days prior written Notice (as defined below) to the other party.
3. The parties hereby ratify and confirm all other terms and conditions of the Lease dated June 22,
2010 except those amended herein.
